This Corporate Invoice must include: Title page showing beneficial ownership, Registration Number, Euroclear Access and Blocking Codes, ISIN/Cusip Numbers, Issuing bank, issue date, maturity date, Denominations, Text of Instrument, Custodial Safekeeping Numbers, Full Bonding Power information and other data for authentication, verification and blocking of the instruments on the Euroclear Screen. (NOTE: “PRIVATE PLACEMENT” - NO PRICE SHALL BE SHOWN ON THE SCREEN) (5) After receipt of the above referred to Gorporate Invoice, Buyer's Banken/Securities Officer will validate and authenticate on Euroclear Screen and contact Seller's Bank Officer /Securities Officer to issue the Buy Ticket and Seller's Bank Officer / Securities Officer to issue Sell Ticket and settle via Euroclear Standard Settlement Procedures. (6) After the Buy/Sell Tickets are issued, Buyer will sign an Irrevocable Master Fee Protection (IMFPA) agreement with all transaction identifying codes, (7) After the SELLER's Bank has received Euroclear settlement of clear funds, Seller's Bank will electronically deliver the MTN's per Buyer's Bank delivery Instructions. (8) Following tranches will be executed as agreed by both principals until the agreed amount of the MTN's are exhausted MULTIPLE BANKS AND ACCOUNTS MAY BE USED BY BUYER AND SELLER TO. FACILITATE EXHAUSTION OF THE CONTRACT. INVESTOR AND SELLER MAY CHANGE OR ADD TRANSACTION BANKS BY PROVIDING WRITTEN NOTICE WITHIN TWO (2) BANKING HOURS TO EACH OTHER. BOTH PARTIES, AS WELL, SHALL BE RESPONSIBLE FOR THEIR OWN INSTITUTIONAL COSTS, AND ACCEPT LIABILITY FOR TAXES, IMPOSTS, LEVIES OR CHARGES THAT MAY BE APPLICABLE IN THE EXECUTION OF THE TRANSACTION ANY UNAUTHORIZED BANK CALLS, PROBES OR COMMUNICATIONS OR ANY IMPROPER SOLICITATION OR DISCLOSURE INVOLVING ANY OF THE BANKS CONCERNED OR COMPLIANCE DOCUMENTS SUBMITTED BY THE BUYER IN THIS TRANSACTION WILL RESULT IN IMME DIATE CANCELLATION OF THIS TRANSACTION AND SUBJECT THE VIOLATING PARTY TO PAY DAMAGES.
