MEMORANDUM OF UNDERSTANDING

BETWEEN VINCIIS AND ‘O’ BARBA

1. PARTIES :- This Memorandum of Understanding (hereinafter referred to as

“MOU”) is made and entered into by and between the VINCIIS ,address is D-65/319-c,gopal
bhawan,baulia,lahartara,Varanasi-221002 and the
O BARBA, whose address …………………………………...

2. PURPOSE :- The purpose of this MOU is to establish the terms and

conditions under which the “VINCIIS” and O BARBA will collaborate together for
advertising of O BARBA’S product & services. VINCIIS will advertise through led screen
situated at lanka (opposite to V2mall).

TERMs OF MOU :- O Barba appoints VINCIIS to advertise the said product

and services for a term of 1 year.

(a) VINCIIS shall submit the estimate of cost, method and period of
advertisement to O BARBA and after the said estimate and method of
advertisement is approved by the company advertisement will be released.

(b) VINCIIS will be responsible for advertising the services in Lanka and
whenever the company has/intents to launch a new service in the market
for sale, VINCIIS shall undertake the special Ad campaign for the said
services in consultation with the company.

(c) O BARBA shall pay to VINCIIS sum of Rs.6000 on 5th of every month till the
collaboration is continued.

(d) VINCIIS shall assess & keep track of the ads, timing & appearance of ads
every two weeks providing the most up to date, decent and profitable eco
friendly mode of advertising.

3. GENERAL PROVISIONS :-
Either party may request changes to this MOU. Any changes, modifications,
revisions or amendments to this MOU which are mutually agreed upon by and between the
parties to this MOU shall be incorporated by written instrument, and effective when executed
and signed by all parties to this MOU.

4. Breach of contract :-
If the second party (O BARBA) fails to follow the terms & conditions of VINCIIS then it
 will be treated as breach of contract.

In case of breach of contract VINCIIS is free to discontinue its services thereafter.

5. SIGNATURES :- In witness whereof, the parties to this MOU through their duly
authorized representatives have executed this MOU on the dates set out below, and certify that
they have read, understood, and agreed to the terms and conditions of this MOU as set forth
herein.
The effective date of this MOU is the date of the signature last affixed to this
page.
