DEED OF EXCHANGE

KNOW ALL PERSONS BY THESE PRESENT:

This DEED OF EXCHANGE, made and executed by and between John


Lloyd Cruz, Filipino, of legal age, single, with residence and post-office
address at 221 San Jose Extension, Dumaguete City, and Shaina Magdayao,
Filipino, of legal age, single with residence and post-office at Bantayan,
Dumaguete City.

WITNESETH THAT:

That the said John Lloyd Cruz is the owner in fee simple of that
certain parcel of land with improvements thereon situated in Taclobo,
Dumaguet City, and more particularly described as follows:

OCT No. FV-21461

Containing an area of THIRTEEN THOUSAND THREE HUNDRED


EIGHTY ONE (13,381) SQUARE METERS, more or less.

Bounded on Due North, along lines 4-5-6 by Lipayo Creek; n the


North East, along lines 6-7 by lot 2533, Pls-759; on Due East, along line 7-8
by lot 2534, Pls-759, on Due east, along the line 8-9 by Lot 2535, Pls-759; on
the South East, and South, along lines 9-10-11-12 by Lot 2561, Pls-759; on
the South West, along the line 12-1-2 by Lot 2575, Pls-759, on the North
West, along the lines 2-3-4 by Lot 2562, Pls-759

His title being evidence by Original Certificate of Title No. FV-21461 of the
Registry of deeds of Dumaguete City;

That both parties hereto have mutually agreed to exchange their


respective properties as above-described, each free from all liens and
encumbrances whatsoever.
WHEREFORE, the said John Lloyd Cruz does hereby CEDE, TRANSFER
and CONVEY unto the said Shaina Magdayao the real estate first above
described, with all improvements thereon; and likewise, the said Shaina
Magadyao, in return, does hereby CEDE, TRANSFER, and CONVEY unto said
John Lloyd Cruz the real estate described in the second instance, with all
improvements thereon.

That the respective parties hereto warrant to each other the title to
the properties they have respectively ceded, transferred, and conveyed,
against all claims of any person whatsoever.

December 13, 2019, in Dumaguete City, Philippines.

CHATTEL MORTGAGE

KNOW ALL PERSONS BY THESE PRESENTS:

This CHATTEL MORTGAGE, made up and executed by John Lloyd


Cruz, Filipino, of legal age, single, with residence and post-office address at
221 San Jose Extension, Dumaguete City hereinafter called the
MORTGAGOR, in favor of Shaina Magdayao, Filipino, of legal age, single,
with residence and post-office address at Bantayan, Dumaguete City,
hereinafter called the MORTGAGEE.

WITNESETH THAT:

That the MORTGAGOR does hereby convey by way of chattel


mortgage unto the MORTGAGEE the following described personal property,
situated and ordinarily kept at Bantayan, Dumaguete City and presently in
he possession of the said MORTGAGOR, to wit:

A red, Honda Civic, 2019 Model, License Plate No. 133113, Chassis
No. 13131.

That this CHATTEL MORTGAGE is given as security for the payment of


a certain debt dated on February 14, 2019, for the sum of ONE HUNDRED
FORTY THREE THOUSAND PESOS (P 143,000).

That the condition of this CHATTEL MORGATE is such that if the said
MORTGAGOR, his heirs, executors, or administrators shall well and truly
perform the full obligation above stated according to the terms thereof,
then this CHATTEL MORTGAGE shall be null and void; otherwise, it shall
remain in full force and effect and shall be enforceable in the manner
provided by law.

28, 2019, in Dumaguete City Philippines.

CONTRACT OF LEASE

I, John Lloyd Cruz, Filipino, of legal age, single, with residence and
post-office address at 221 San Jose Dumaguete City, for and in
consideration of the agreements hereinafter mentioned, do hereby LEASE
unto Shaina Magdayao, Filipino, of legal age, single, with residence and
post-office address at Bantayan Dumaguete City, that certain building,
together with the lot on which it stands situated at Taclobo, Dumaguete
City, and more particularly described as follows:

Containing an area of THIRTEEN THOUSAND THREE HUNDRED


EIGHTY ONE (13,381) SQUARE METERS, more or less.

Bounded on Due North, along lines 4-5-6 by Lipayo Creek; n the

by lot 2534, Pls-759, on Due east, along the line 8-9 by Lot 2535, Pls-759; on

the South West, along the line 12-1-2 by Lot 2575, Pls-759, on the North

Of which lot I am the registered owner, in accordance with the provisions of


the Land Registration Act, my title thereto being evidenced by Original
Certificate of Title No. FV-21461 of the Registry of Deeds of Dumaguete
City.

That the term of this lease is 5 years, from and after the execution of
this contract of ease, renewable at the will of both parties.

And I, Shaina Magayao, for and in consideration of this contract of lease, do


hereby bind myself and promise to pay or cause to be paid unto the said
lessor, John Lloyd Cruz, at the latter’s residence, a monthly rental of TWO
HUNDERED FIFTY THOUSAND PESOS (P 250,000), during the period of this
lease, payable in advance during the first five days of each and every
month;

And it is hereby stipulated: that the lessee shall have no right to sublease
the above premises without the written consent of the lessor; that the
water, light, gas, and telephone charges in said premises shall be for the
account of the lessee; that all ordinary expenses incurred or that may arise
in the daily use of the toilet facilities and sewers in the premises shall be for
the account for the lessee; and that any improvements made by the lessee
in the above premises, and existing at the termination of the lease, shall
remain as the property of the lessor, without right to reimbursement to the
lessee of the cost or value thereof.

IN WITNESS WHEREOF, the parties hereto have set their hands on


December 23, 2019, in Dumaguete City.

presently residing at 221 San Jose Extension, Dumaguete City, am the
lawful and registered owner of a certain motor vehicle more particularly
described as follows:

That for and in consideration for the sum of FIVE HUNDRED
THOUSAND PESOS (P500,000), in hand paid to me in full satisfaction and
acknowledged to have received from the vendee Shaina Magdayo, of legal
age, single, with postal address and presently residing at Bantayan,
Dumaguete City, by virtue of the presents, do hereby sell, convey and
transfer unto the said vendee, his/her heirs, assigns, and successors in
interest the above described motor vehicle.

That I further declare that the said described motor vehicle is free
from liens and/or encumbrances and shall defend its ownership from
any/all claims whatsoever.

REVOCATION OF POWER OF ATTORNEY

KNOW ALL PERSONS BY THESE PRESENTS:

WHEREAS, I, John Lloyd Cruz, of legal age, single, resident of 221 San
Jose Extension, Dumaguete City, by certain public instrument made and
executed in Dumaguete City, on November 12, 2019, before Attorney
Rodrigo Roa Duterte and Notary Public for and in the form of a letter and
bearing Not. Reg. No. 132, Page 5, Book 4, Series of 2019 of his notarial
register, did name, constitute, and appoint Shaina Magdayao, resident of
Bantayan, Dumaguete City, my true and lawful ATTORNEY-IN-FACT, for the
purpose and with powers mentioned in the said public instrument;

WHEREAS, the said pubic instrument or Power of Attorney, was duly


registered in the Office of the Register of Deeds of Dumaguete City, on
November 21, 2019, as per Entry No. 4, Vol. 5, Book 12 of the said Office;

NOW, THEREFORE, I, John Lloyd Cruz, by virtue of these presents,


hereby REVOKE,ANNUL, and make VOID, the said power of attorney and all
powers and authority therein or thereby given or granted, or intended to
be given or granted to said Shaina Magdayao.
