Agreement on Transfer of Rights to Personal Property

This Agreement on Transfer of Rights and Personal Property is executed by and

between Ms. Maricar A. Berja married and a resident of
__________________________ herein after referred to as the First Party and Mr.
___________________ married and a resident of ____________________________
herein referred to as the Second Party.

Whereas the First Party desires to put up a business located in

___________________;

Whereas the Second Party is the owner of various personal property located in
____________________;

Whereas the Second Party in consideration of the amount of

____________________ hereby transfers the personal property located in the
said establishment tot he First Party;

Whereby the First Party in accepts the personal property turned over by the
Second Party an inventory of which is attached and made as an integral part
of this document;

Whereas the parties agree that the First Party shall assume the responsibility of
the the following:

1. Payment of Rent

2. Maintenance of the Establishment

3. Payment of Utilities (if applicable)
