RE: Proposal for placement of automatic vending machine (Hot/Cold Drinks)

In Reference to the above matter, we would like to propose to place our Vending Machine(s)
to service your organization. We would like to place the vending machines at your premise to
service your staff.

1) We are a Direct Importer, Retailer and Operator of Auto Vending Machines located in
Kajang.
2) Our Auto Vending Machine provides multiple benefits such as;
a. Convenient 24/7’ operation for the occupants.
b. Online monitoring and tracking of stock and replenishment service ( on
selected machines)
c. Minimal space use to install the Auto Vending Machine. (≈ 10 sft/unit).
d. Minimum electricity with Standard 13 amps AC supply.
e. Maintenance including hygiene are part of the service and the responsibility of
our Company
f. Product or cash loss from the Auto Vending Machine will be the sole
responsibility of our company.
g. The products are Safe to be consumed as it is produced/manufactured by MNC
in Malaysia.
h. The machines are Safe to use and user friendly.

3) The selling price of the products will be based on market price of the product type,
brand and quantity, current market price is as listed below.
4) We would like to seek you concern and approval for the installation of our Auto
Vending Machines in your premise, at the allocated space.
5) Delivery and installation of the Auto Vending Machines will be fully borne by our
Company.
6) Due to the costing of the machine and management of the auto vending products we
would like to propose 24 to 36 months terms after which we will re–propose for new
terms.

The type of machines propose to place at The Client promises are Nestlé hot and cold cup
vending machine with multiple choice of drinks

Products and prices

The proposed products List and prices are as attached in Appendix below. Various products
of Nestle are listed and your proposal are also welcomed.
The prices of the products are subject to changes based on the manufacturer and supplier.
Product may vary from time to time depending on the demand and the availability of the
product. In general the price of the product normally increase annually as determined by
Nestle as the manufacturer.

The company is agreed to provide hot and cold drink manufactured by Nestlé products and
juice of selected products. The below table are the listed products and cost in RM, based on
average monthly consumption per machine.

Subsidy Terms
As part of sustainability of the price and business we would like to propose that The Client to
subsidies the purchase of the drinks by the staff either fully or partially as part of the staff
benefits. This will ensure that the minimum consumption of the required Quantity of vending
is achieved.

This will also provide Assurance and Sustainability to our company in managing the vending
machine on site.

However, we will require an average consumption of 2500 cups per machine monthly to sustain
the business.

Service and maintenance

The Company, will provide a full service and maintenance of the vending machine throughout
the period of agreement of this contract. The company at its own cost will repair and service
the machine on a regular intervals to ensure full functionality of the machine.
On site breakdown services will be responded to within 24 hours of the notice of any
breakdown of the machine.
Daily onsite service will be provided including replenishment and cash collection.
Weekly general services will be provided to ensure the operability of the machine.
Quarterly maintenance service will be provided as part of preventing maintenance.
The company also provide a standby/on call service person for more than 5 machines placed
on site.

Additional machines
The company will install additional machine upon request in need based on the demand
however the same terms and condition of this document will cover all Additional machines.

Machine and Ancillaries

The machine and ancillaries will be placed on the site as part of the agreement and remain as
the property of The Company at all time. The machine shall not be removed, relocated,
tampered or what so ever without prior written notice and written consent from both parties.

Termination
The company reserves the right to terminate the service if the agreed minimum quantity of
vending are not achieved.
Either party can choose to terminate the services with a prior notice of three months subject
to Performance and services provided.
Upon termination The Company shall be responsible for the removal of the machine from the
site. Any vandalism, theft, tempering or damages of the machine during this period will be
there responsibility of the company and the machine shall be removed within 30 days from
the date of termination. If The Company fail to comply, The Client may deem The Company
have abandoned the machine and reserves all rights to remove, destroy, sell or deal with the
machine in any manner whatsoever without any liability incurred.
