AGREEMENT

AGREEMENT BETWEEN SEVEN LAKES RESORT AND PRAVIDHI ENGINEERING


CONSULTANCY

THIS AGREEMENT made on the 25 day of June in the year two thousand and
eighteen.

BY AND BETWEEN
Seven Lakes Resort Pvt. Ltd.

hereinafter called the "Owner"

AND

Pravidhi Engineering Consultancy

hereinafter called the "Consultant Architect"

WITNESSETH: that the Owner and Consultant Architect undertake and agree as follows:

A-1 THE WORK

The Consultant Architect shall:

(a) perform all the Work of the resort required by the Owner which is listed as below:
a. Interior Design of:
i. Guest Rooms and Honey Moon Suites of the Resort
ii. Restaurant
iii. Conference Room
b. Design of:
i. Conference Room
ii. Water Harvesting System
iii. Lighting System of the Entire Resort
iv. Landscape as required

c. Redesign of:
i. Swimming Pool with the provision of Water Overflow and Water Body
d. Site Supervision of the above mentioned work

(b) deliver the following listed as below:


a. Deliverables:
i. Interior Design Report of:
1. Guest Rooms and Honey Moon Suites of the Resort
2. Restaurant with Kitchen
3. Conference Room
ii. Design Report of:
1. Conference Room
2. Water Harvesting System
3. Lighting System of the Entire Resort
4. Landscape as required
iii. Redesign Report of :
1. Swimming Pool with the provision of Water Overflow
2. Water Body
iv. Detailed Master Plan with 3D Plan
v. Site Supervision Report

(b) do and fulfil everything indicated by this Agreement, and


(c) commence the Work by the 20th day of June , 20 18 and substantially
perform the Work of this Contract as certified by the Engineer/Architect/Project Management
Consultant by the ___25th____ day of __February_______ 20 19 .
(d) The "Engineer/Architect/Project Management Consultant" is the person designated as such
from time to time by the Owner.

A-2 CONTRACT PRICE

THE CONTRACT PRICE EXCLUDING APPLICABLE TAXES IS NRS.11, 00,000/- (In Words
Nepali Rupees Eleven Lakhs Only.)
Price shall be subject to adjustments as may be required in accordance with the General Conditions of
the Contract.

Breakdown of the Consulting Cost:

6. Design of Water Harvesting System 50,00,000/-
7. Design of Lighting System of the Entire Resort 1,50,000/-
Total Consulting and Design Cost Excluding Applicable Taxes 12,00,000/-

AGREEMENT

A-3 PAYMENT

Subject to applicable legislation and, where such legislation does not exist or apply, in
accordance with such prescribed regulations or industry practice respecting holdback
percentages and in accordance with the provisions of the General Conditions of the
Contract, the Owner shall:
(1) make payments to the Consultant Architect on account of the Contract Price based
on the agreed Payment Schedule. The amounts of such payments shall be as
certified by the Engineer/Architect/Project Management Consultant; and
a. upon Substantial Performance of the work as certified by the
Engineer/Architect/Project Management Consultant pay to the Consulting
Architect any unpaid balance of holdback monies then due; and
b. upon Total Performance of the Work as certified by the
Engineer/Architect/Project Management Consultant pay to the Consultant
Architect any unpaid balance of the Consulting Price then due.

(c) If the Owner fails to make payments to the Contractor as they become due under the terms of
this Contract or in any award by a court, interest at the rate and in the manner specified in
prevailing law of Nepal, shall become due and payable until payment. Such interest shall
be calculated and added to any unpaid amounts monthly.

Agreed Payment Schedule:

a. Advance (with Appointment Letter) 30%


b. After Presentation 30%
c. After Release of GFC Drawing 20%
d. Balance as per Site Progress 20%

Agreed Payment Terms:


e. Service Tax as per applicable rules which at present is 14.5% of total Bill as per
government rules.
f. Travel Expenses as per actual, but if travel made outside Nepal then USD 450 will be
charged in a daily basis.
g. Boarding and Lodging where required as per actual. Payments to be made directly by
owner of the Seven Lakes Resort.

A-4 ADDRESSES FOR NOTICES

All communications in writing between the parties or between them and the Engineer/Architect/Project
Management Consultant shall be deemed to have been received by the addressee if delivered to the
individual or to a member of the firm or to an officer of the Corporation for whom they are intended or
if sent by post or by facsimile addressed as follows:

N.B. Where any legal jurisdiction, local practice or client requirement calls for proof of authority to
execute this document, proof of such authority in the form of a certified copy of a resolution naming
the person or persons in question as authorized to sign the Agreement for and on behalf of the
Corporation or Partnership, should be attached.
