SERVICE CONTRACT OF AGREEMENT

KNOW ALL MEN BY THESE PRESENT:

This SERVICE CONTRACT made and entered into by and between:

E. A. FRANCISCO TRUCKING SERVICES, an organization duly registered and existing under and
by virtue of the laws of the Republic of the Philippines, represented by SONIA S. FRANCISCO of legal
age, Filipino citizen and with established residence address at 908 Busilak Street, Mandaluyong City in
his capacity as Trucking Service Contractor, hereinafter referred to as the CONTRACTOR;

AND

JULITO B. GUY-AB, of legal age, Filipino Citizen with residential address at Block 8 Lot 25,
Kamagong Street, ACM Sherwood Homes, Anabu II-B, Imus City, Cavite in his capacity as Manager of
Yupangco Music Corporation, hereinafter referred as the CLIENT;

WITNESSETH: That

WHEREAS, the client is engaged in accepting of Piano Moving in any point of Luzon from any Company,
Personal &/or individual own Musical instruments from one place to another &/or vice versa.

WHEREAS, the contractor is a private individual engaged in the business of hauling cargo and has the
necessary facility and personnel to undertake said business and has offered his services to the CLIENT;

WHEREAS, the CLIENT has accepted the offer of the CONTRACTOR under the terms and conditions
covered only of the contractor limit and liabilities.

NOW, THEREFORE, for and in consideration of the foregoing premises, the parties have mutually agreed
to abide by the terms and conditions as to the services required hereafter set fort;

1.0 SCOPE OF THE AGREEMENT : The contractor agrees to haul and rendered necessary services of
the units with plate number CAP-7826 and CAN -3313 for the CLIENT’s requirement on the specified
place of origin and deliver to any point of the Philippines destination transfer/moving the Piano &/or
instruments.

2.0 TERM : The term of SERVICE CONTRACT shall be for a period of Three (3) years
commencing on January 02, 2015 and expiring on January 02, 2018.

3.0 HAULING FEES : For and in consideration of the services to be rendered by the CONTRACTOR
to the CLIENT, appropriate rates shall be paid accordingly.

4.0 TERMS OF PAYMENTS : Payment for services contracted by the CLIENT shall be made to the
CONTRACTOR by Cash/Check upon delivery &/or within five (5) working days from the date of
acceptance by the CLIENT of CONTRACTOR’s proof of cargo delivery.

5.0 ACCOUNTABILITY OF THE CONTRACTOR : The COTRACTOR shall be accountable for the
damages or losses from the loading points to destination due to failure to follow rules &
procedures in handling the cargo.

If you are amenable to the above-stated terms and conditions, please indicate your conformity in the
space provided below and return the original copy to me on or before 15 January 2015.
