Extra-Judicial Settlement of Estate with Absolute Sale

KNOW ALL MEN BY THESE PRESENTS:

This AGREEMENT made and entered into this ____ day of __________, in ________,
by and between:

PRISCILLANO G. ALMEDA, of legal age, Filipino, married and a


resident of, IMUS, CAVITE;

1. That we are the legitimate children and the sole heirs of the deceased
CANDIDO S. NILO who died on AND MA. ESTRELLA GONZALES, who died on
October 8, 2002 at Sogod, Southern Leyte;

2. That said deceased died intestate, without any Last Will or Testament,
and without any outstanding debts or accounts;

3. That the deceased left a certain parcel of unregistered land situated in Brgy.
Santiago, Sta. Maria, Laguna covered by Tax Declaration99-26023-0024 and
more particularly described as follows:

TAX DECLARATION NO. 99-26023-000054

A certain real estate destined for, and in actual use as, Agricultural land,
situated at Brgy. Santiago, Sta. Maria, Laguna and more particularly bounded as
follows:

Bounded on the N. by Manara River; on the E. by Leopoldo


Baldomero; on the S. by Creek; and on the W. by Manara River;
with an area of Six Hundred Thousand (600,000) square meters,
more or less.

(a copy of which Tax Declaration is hereto attached as Annex "A")

4. That the above-described parcel of land is not tenanted and does not
come within the operation of the Comprehensive Agrarian Reform Program;

5. That pursuant to Section 1 of Rule 74 of the Revised Rules of Court


of the Philippines, and both being with full capacity to contract, we do hereby
adjudicate unto ourselves the land described above, in equal shares pro indiviso;

6. The HEIRS hereby sell a portion of the above-described real estate property
on the following terms;
a. The HEIRS will sell a portion of the property measured at around SIX
hundred SQUARE METERS (600,000 sq. meter) more or less valued at
FIFTY PESOS (Php. 50.00) per square meter.

FURTHER, FOR AND IN CONSIDERATION of the sum of

receipt whereof is hereby acknowledged in full from LAND GRABBER
CORPORATION, a domestic corporation duly organized and existing under and
by virtue of the laws of the Republic of the Philippines, with office address at
Rizal Avenue, Sta. Cruz, Manila, represented in this instrument by its authorized
representative, MASIBA, hereinafter referred to as the “BUYER”;
we do hereby SELL, TRANSFER, CONVEY and DELIVER, by way of ABSOLUTE
SALE, unto said CORPORATION, their heirs, assigns and successors in interest
the property above described with all the improvements existing thereon;

That we hereby warrant our valid title to and peaceful possession of the property
herein sold and conveyed and further declares that the same is free and clear of
all liens and encumbrances of any kind whatsoever.

IN WITNESS WHEREOF, the parties have hereunto signed this EXTRAJUDICIAL

The foregoing instrument which relates to a Extrajudicial Settlement of Estate


with Absolute Sale of a portion of parcel of land consisting of 3 pages including
the page on which this acknowledgment is written, has been signed on the left
margin of each and every page by the parties and the witnesses.
