CARETAKER AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Caretaker Agreement made and entered into by and between:

ROLANDO FRANCISCO, of legal age, married, Filipino and with postal


and resident address at 604-B Vasquez Madrigal Building, Indianapolis,
Greenhills, San Juan, Metro Manila, for and by himself, hereinafter referred to as
the Property Owner,

-and-

CESAR CONG-AY, of legal age, married, Filipino and with postal and
resident address at 1ST St. Sitio Kapihan, Virginia Summerville Brgy. Mambugan
Antipolo City, for and by himself, hereinafter referred to as the Caretaker

WITNESSETH:

Whereas, The Rolando Francisco is the owner of the property of a parcel


of land embraced under Transfer Certificate of Title Numbers T- 37223, T-
37437, T-37422, T-37417, T-37235, T-37234, T-37233, T-37233, T-
37226, T-37225, T-37221, T-37222, T-37227 and T-37230 (See
attachment-C for particular description of the above).

WHEREAS, the Property Owner expresses its intention, desire and


willingness to secure the services of Cesar Cong-ay, as designated Caretaker
over the parcels of land subject of this agreement.

WHEREAS, the Caretaker is likewise open and willing to take care of


the subject real property from all and any persons who may have rights,
interests and claims over the same. .
NOW THEREFORE, for and in consideration of the foregoing premises
and the covenants herein stipulated, the parties hereto hereby agree as follows:

1. LOCATION - It is further clarified that the location of property


subject matter of this agreement is at 1 st St. Sitio Kapihan Virginia Summerville
Brgy. Mambugan Antipolo City.

2. As part of Human Resource program of property owner shall allow


the ________________ to be caretaker of __________________.

3. EMPLOYER-EMPLOYEE RELATION- An employer-employee


relation exists between the parties. As such the caretaker is not a lessee much
more a tenant of the property within the contemplation of the law.

4. POSSESSION – Upon execution of this Agreement, the Caretaker


shall immediately take possession of the subject property and shall take care of
the same like a good father of a family.

5. DISTURBANCE FEES - In any event or for whatever reason that


the property shall be used or needed by the property owner, caretaker shall not
be entitled for disturbance fee or any compensation.

6. WAIVER OF CAUSE OF ACTION - The First Party agrees that all


claims for damages, of whatever kind, whether present of future, as well as all
demands, rights and causes of action he may have or may have against Property
Owner or any of its successors with respect to any and all actions relative to this
property subject matter of this agreement are renounced and forever waived.

The Caretaker, its legal representatives and assignees, agrees to refrain


from commencing any action, suit, demands or claims arising from law or equity
pertaining to the property subject matter of this agreement

7. Non-Waiver Rights - The failure of any party to insist upon a


strict compliance of any of the terms and conditions mentioned herein shall not
deemed relinquishment or waiver of any of its rights, remedies nor shall it be
construed as a waiver or relinquishment of any subsequent breach or default on
the aforementioned terms and conditions.

8. ENTIRE AGREEMENT- The foregoing, including the stated


attachments, constitutes the entire agreement between parties and may be
modified, altered and changed only in writing duly signed by both parties.

9. SEPARABILITY CLAUSE – If any of the paragraph, subparagraph


of part of this memorandum of agreement is declared contrary to law or public
opinion, or is otherwise declared invalid, such other provisions not affected shall
remain valid and enforceable.

10. VENUE – that in case of any litigation that may arise involving any
provision contained in this agreement, the proper court of City of San Juan shall
have the sole jurisdiction.
