Dear Sir,

We are pleased to have the opportunity to be of service to you. We look forward to working
with you and will do our best to provide the highest legal service in a responsive, efficient manner.

Fundamental to a sound relationship is a clear understanding of the terms and conditions upon
which we will be providing legal services. Accordingly, the purpose of this letter is to clarify and
confirm these terms and conditions.

Scope of Services. The legal services of the FIRM shall have the following scope of work:

a. Contract review with revisions on provisions in favor of the CLIENT, for a maximum of
Ten (10) documents per month, non-cumulative;
b. Drafting of demand letters, agreements, contracts, deeds, instrument or any other
documents, up to a maximum of Ten (10) documents per month, non-cumulative;
c. Unlimited consultation.
d. Notarial Services

Fees. This engagement is subject to the following:

a. RETAINER’S FEE in the amount of _______________ (₱__,000.00) monthly, payable

every 30th of the month, starting ___________________;

b. APPEARANCE FEE shall be billed to the CLIENT every time the presence of the FIRM
or any of its staff is requested or required. The fees shall be in the following order:

i. Lawyers – amount of FIVE THOUSAND PESOS (₱5,000.00) if within Metro

Manila.
ii. Paralegals - amount of THREE THOUSAND PESOS (₱3,000.00) if within
Metro Manila.
iii. Liaison Officer/ Messenger – amount of TWO THOUSAND PESOS
(₱2,000.00) if within Metro Manila.

c. DRAFTING FEE shall likewise be billed in case the CLIENT will exceed the allotted
documents for the given month as stated in paragraph 1 (Scope of Work), in the amount
of ____ HUNDRED PESOS PER PAGE (P__00.00 / page).

d. NOTARIAL SERVICES – Notary shall be subject to the following fees:

 i. Documents for Acknowledgment – amount of _____ HUNDRED PESOS
(₱__00.00) per document.
ii. Documents for Jurat - amount of ____ HUNDRED PESOS (₱__00.00) per
document.

The foregoing fees shall be for the Company only. Any other document submitted for
Notarization by any of the Owners, officers, employees and/or staff in their proprietary
capacity shall be subject to the regular notarial fees. (e.g. 2% of the total consideration of
Conveyance)

Termination of Services. This Agreement shall be valid and effective for a period of One (1)
Year upon execution, which may be extended upon mutual Agreement of the parties, or pre-
terminated due to serious and irreconcilable violation of any party as hereunder stipulated.
