The Parties have agreed that you would like to retain Contractor to serve as a Coach of [insert all of
your niche here] , which is more fully described below. The Parties agree to the following:

I GENERAL PROVISIONS

1. Term. This Agreement shall be effective as of the date listed above and shall continue
fourteen (14) days after written notice of Termination from either Party. Contractor
shall provide Coaching to FFC as an independent contractor pursuant to the terms of
this Agreement.
2. Services and Warranties. The Parties shall perform the Services described in this
Agreement.

Coach represents and warrants that:

(i) The Coach (you) is an expert in the areas needed to create the recorded courses,
and live webinars and has the necessary knowledge, skills, experience, qualifications,
rights, and resources to provide and perform the Coaching Services from us;

(ii) The Coach (you) will perform the Coaching in a timely, diligent, professional, and
workmanlike manner, in accordance with the Agreement and in a manner consistent
with best practices in the industry;
 (iii) The Coach (you) will perform the Coaching in compliance with all applicable laws
and regulations;

(iv) The Coach (you) has the full and unrestricted right, power, and authority to enter
into this Agreement, perform the Services, and grant the rights granted herein;

(v) The Coach (you) has no other agreements with any other party that would conflict
with this Agreement; and,

(vi) The Coach (you) is not authorized to enter contracts or agreements or create
obligations on behalf of Filipino Freelance Coaching to third parties. You are not
allowed to sell the videos privately and accept any payment directly to you unless
otherwise indicated by Filipino Freelance Coaching, in writing.

Filipino Freelance Coaching represents and warrants that:

(i) Filipino Freelance Coaching has the full and unrestricted right, power, and authority
to enter into this Agreement, perform the Services, and grant the rights granted herein;

(ii) Filipino Freelance Coaching has no other agreements with any other party that
would conflict with this Agreement;

(iii) All elements of text, images, or other artwork provided by Filipino Freelance
Coaching to the Coaches (you) are either owned by Filipino Freelance Coaching or
Filipino Freelance Coaching has obtained all necessary permissions or licenses for
their use;

(iv) Any elements of text, images, or other artwork provided to the Coaches (you) do
not infringe on the rights of any third parties, including trademark rights; and,

(v) The Filipino Freelance Coaching is responsible for the accuracy, completeness,
and propriety of all information regarding Filipino Freelance Coaching courses,
products and services provided by Filipino Freelance Coaching to You as a Coach.

3. Sub-Par Work or Performance. All work completed by the Coach is subject to review and
approval by Filipino Freelance Coaching. In the event Filipino Freelance Coaching deems
work performed by the Coach to be sub-par, The Coach will be held responsible to
immediately fix, correct, update, or otherwise edit said work to the satisfaction of Filipino
Freelance Coaching at no additional cost to Filipino Freelance Coaching, on the Coach own
time.

4. Compensation. Filipino Freelance Coaching shall pay the Coach the fees in Philippines
Peso. Filipino Freelance Coaching will send a payment with a summary of all sums sales. All
income are due upon receipt. All acceptable methods of payment will be indicated on the
invoice.

5. Expenses. Filipino Freelance Coaching shall not be liable to the Coach for expenses paid
or incurred by the Coach, except for those fees that the Parties agree to in writing.
 6. Termination. This Agreement may be terminated, postponed, or delayed, in whole or in
part, by the Parties upon 14 days’ written notice to the other party. In the event of a
Termination, all work by the Coach will remain the property of Filipino Freelance Coaching.
Upon termination, Filipino Freelance Coaching shall pay the Coach for the Services
completed on a pro rata basis within 5 days of receipt of a detailed invoice sent via electronic
mail.

7. Confidentiality. The Coach (you) agrees to hold in strict confidence and not to disclose to
others or use for any purpose (other than the performance of this Agreement and Services),
either before or after termination of the Agreement, any confidential or proprietary information
of Filipino Freelance Coaching, including, without limitation, any confidential or proprietary
information that is transferred pursuant to this Agreement. Confidential and proprietary
information includes, without limitation, any technical or business information, product
formulas or specifications, manufacturing techniques, process, experimental work, program,
software, marketing or distribution plans, strategies or arrangements, or trade secrets relating
to the products, systems, equipment, services, sales, research, or business of Filipino
Freelance Coaching. Confidential information is not limited to a specific medium and can be
oral, written, electronic, or physical in format. (“Confidential Information”).

The Coach shall not disclose Confidential Information to any third party in any form without
Filipino Freelance Coaching prior written consent. The Coach shall not disclose Confidential
Information to any personnel or agents without the need to know such information. Except as
otherwise provided below, information shall not be considered confidential hereunder nor
subject to the provisions of this section if it can be demonstrated:

(i) to have been rightfully in the coach's possession prior to the date of the disclosure of such
information to the coach, if such prior possession was not otherwise subject to a restriction on
disclosure;

(ii) to have been in the public domain prior to the date of the disclosure of such information to
the Coach;

(iii) to have become part of the public domain by publication or by any other means except an
unauthorized act or omission on the part of the Coach, or (iv) to have been supplied to
Contractor without restriction by a third party who is under no obligation to maintain such
information in confidence. Confidential Information shall not be deemed to be generally
available to the public or in the Coach’s possession merely because it may be embraced by a
more general disclosure, or merely because it may be derived from combinations of
disclosures generally available to the public or in the Coach’s possession.

Upon Filipino Freelance Coaching’s request, the Coach shall return to Filipino Freelance
Coaching any and all written or physical embodiments (including copies) of Confidential
Information disclosed to the Coach by Filipino Freelance Coaching which is then in the
Coach’s possession, custody or control. Such Confidential Information includes all
documents or computer files, including emails, prepared by the Coach which contain or
reflect the Confidential Information. The confidentiality obligations set forth in this Agreement
shall survive 1 year after termination or expiration of the Agreement.
8. Ownership of Services. the Coach acknowledges that the Coach has no right, title, or
interest in or to any Services provided hereunder. the Coach acknowledges that the Coach
will make no claim to any right, title, or interest in any of the Services created hereunder.

the Coach further acknowledges and agrees that FFC shall own all rights, title, and interest in
or to any Services provided hereunder.

For the avoidance of doubt and to further evidence the full ownership of the Services by FFC,
the Coach hereby assigns to FFC all rights, title, and interest to the Services. the Coach
agrees to assist FFC with the enforcement of any proprietary rights over the Services,
including the prompt execution of any additional documents that may be reasonably
requested by FFC.

9. Non-Solicitation. the Coach agrees that during the term of this Agreement, and for two (2)
years following the termination of this Agreement, the Coach shall not directly or indirectly
solicit or attempt to solicit any customers, clients, or employees of FFC, other than on behalf
of FFC itself, without express written agreement from FFC.

10. Notice. Except as otherwise provided herein, all notices that either party is required or
may desire to give the other party shall be in writing to the following addresses. Electronic
mail is permissible, but will only be considered sufficient notice if the non-sending party
affirmatively confirms receipt.

11. Miscellaneous. Any failure of either party to enforce any provision of this Agreement, or
any right or remedy provided for therein, shall not be construed as a waiver, estoppel with
respect to, or limitation of that party’s right to subsequently enforce and compel strict
compliance or assertion of a remedy.

This Agreement, along with all attachments, represents a single agreement, as well as the
entire agreement with respect to the subject matter. This Agreement supersedes any prior
agreement between the parties, whether written or oral, with respect to the subject matter,
and may be modified or amended only by a writing signed by the party to be charged.

Note: If you agree to provide us with the other services, please highlight green the other
services you want to provide and highlight red if you wish not to do it.

Timeline:

The Coach will respond to emails in a timely manner (no more than 24 hours after receipt of
email). In the event of an emergency, the FFC admins may contact the Coach by telephone
indicated above.

Compensation:

1 Sale is equivalent to 100%

The Coach will earn 65% for every sale.

The FFC will earn 35% for every sale.

Now the question is why 35%?

As you know we have a website, and we have pages. We have workers who are helping us
to improve, promote, and assist everyone’s inquiry.

We have a Web Designer and Web Developer.

We have an SEO.
We have 3 Virtual Assistants for email marketing, social media management, and Facebook
ads manager and a Manager.
Here’s the breakdown:

10% is for our Company Income.

15% is for our workers who will help us for everything.
10% is for our maintenance, yearly domain, yearly email, early hosting and etc.

If you choose Weekly, You will receive an Invoice of how many students enrolled from
Sunday - Friday on Saturday and we will send your salary every Sunday at 8am - 4pm

If you choose Bi-Weekly, You will receive an Invoice of how many students enrolled from 1 -
15 and we will send your salary on the 16th.
You will receive an invoice of how many students enrolled from 16-30 and we will send your
salary on the 31st or every 1st day of the month.

If you choose Monthly, You will receive an Invoice of how many students enrolled from 1-30
and receive your salary every 30, 31 or 1st day of the month.

Note: We will be transparent of how many students who brought your courses. Website will
always update the number of students enrolled. You can always check it anytime at any day.
What we will cover:
● Advertising. No need to advertise your courses because we will do it for you. Normal
advertising and Facebook Ads
● Uploading Courses. We will take care of uploading your courses on our website.
● Webinar tool to gather all of viewers.

What you will cover:

● Creating your outline.
● Course Title
● Screen recording tool. You can use loom, zoom or any other free screen recording
tools.
● Record the Courses.
● Prices of your courses, webinars and coaching (if you agree to provide above)

Description of Responsibilities:

Coach Responsibilities:

In the event the Coach is unexpectedly unable to perform these Services due to an absence
or emergency, the Coach shall immediately contact FFC at so the necessary steps can be
taken to have Services covered by another party.

Filipino Freelance Coaching Responsibilities:

FFC agrees to treat the Coach with respect, to answer work-related email in a timely manner
as to not affect the performance of the Coach and to pay the coach as and when payment
and fees are due. Furthermore, FFC agrees to provide the Coach with the necessary
information, documents, and resources needed in order for the Coach to perform the
necessary duties.
By signing this Agreement you agree to the Terms & Conditions laid out herewith and
the Proposal.
