UNDERTAKING AGAINST UNDUE INFLUENCE AND BRIBERY

I, MR. FERDINAND L. FIGUEROA, of legal age, President of F. L. FIGUEROA and

ASSOCIATES, INC. (the “supplier”) with business address at 670 Cavo F. Sanchez St., Hagdang
Bato Itaas, Mandaluyong City understand and agree to the following:

That I shall uphold strict ethical practices and standards, business integrity, transparency
and honesty in my business dealings, negotiations and bidding with all the officers, employees
and representatives of Universal Hotels and Resorts, Inc. (UHRI)and Robinsons Land
Corporation (RLC);

I recognize that RLC/UHRI penalizes any action by any of its officers, employees and
representatives in accepting money, expensive gifts, commissions and other remuneration
from suppliers, contractors, bidders, service and manpower providers, real estate property
sellers, brokers and agents;

In recognition of this corporate policy, I shall not give money, any valuable gifts,
commissions, non-cash incentives, and any other form of reward or remuneration, fringe
benefit, or promising anything of value to any officer, employee or representative of RLC/UHRI,
in connection with or in consideration of my bid, offer or business proposal or project. This
prohibition extends to the officer or employee’s spouse and immediate members of his / her
family and shall continue after the bid, proposal or project has already been approved and
executed.

In the event an employee or officer of Robinsons Land Corporation/Universal Hotels and

Resorts Inc. requests, hints or insists upon a personal reward for the awarding of a bid, project
or acquisition, I shall report the matter through email to the Office of the President at e-mail
address catherine.cancio@robinsonsland.com. The received e-mail will be handled with strict
confidentiality and will be investigated.

I fully understand and agree that if any action/s is made in violation of this Undertaking,
immediate steps will be taken for my suspension and blacklisting as supplier, bidder, seller,
sales agent/broker or representative, without prejudice to a civil or criminal action that may
filed against erring parties before the appropriate court or prosecutorial office. Furthermore, I
recognize the full authority of RLC/UHRI to investigate violations of this prohibition, as well as to
unilaterally terminate and cancel projects, biddings, acquisitions, joint venture or any
commercial agreement.

This undertaking is being made voluntarily and without any pressure, force or
compulsion.
