CONTRACT AGREEMENT

This agreement is made between Chaperon Security Services Pvt. Ltd., New Delhi Hereinafter Called
the Contractor) is the First Part and National Company Law Tribunal Block 3, CGO Complex, Delhi,
SOUTH EAST DELHI, DELHI-110003, (Hereinafter called the Buyer of service) is the Second part.

Whereas the NCLT is desirous of entrusting, Human Resources Outsourcing Service for (contract No.
GEMC-511687751267532 dated 28-11-19) its office at 3, CGO Complex, Delhi, DELHI-110003 to the
said contractor for a period of 12 months from 01.12.2019 to 31.11.2020 and have offered of render
these service at the said premises to which the contractor has also agreed on the terms and condition
herein under as laid down;-

 A Local Representative of Contractor shall be the in charge of the Service of Security


Personal (Any) and shall be responsible for the efficient rendering of the service under
contract while working at the premises of National Company Law Tribunal Block 3, CGO
Complex, Delhi - 110003. They shall work under directive and guidance of Assistant Registrar
and will be answerable to the National Company Law Tribunal (NCLT). This will however
not diminish in any way the contractor responsibility under the contract with National
Company Law Tribunal (NCLT).

 The contractor undertake to ensure that any replacement of personnel shall be effected
promptly (3-5 working days) for any reason specified or other shall be effected promptly by
him without any additional cost to the National Company Law Tribunal (NCLT). If the
contractor wishes to replace any of the personnel the same shall be done with prior
intimation to the National Company Law Tribunal (NCLT) at his own cost.

 Contractor shall ensure that the personnel deployed by them are disciplined and do not
participate in any activity prejudicial to the interest of the National Company Law Tribunal
(NCLT) Govt. of India/or any Union territory. The contractor shall be solely responsible to
ensure the provision* of various Labour and the Industrial Laws, PF, Bonus, Gratuity ESI,
Service Tax etc. relating to personnel deployed by them at NCLT or .to any accident caused to
them. However increase on account of statutory levies, like Minimum wages, service tax etc.
shall be borne by National Company Law Tribunal (NCLT). The contractor shall make
payments of wages to workers engaged by him on or before 7th of every succeeding month
and after making the payment can claim the settlement of their bill from. National Company
Law Tribunal (NCLT) within 10 days of submitting the bill for whatever reason and/or
labour legislation due to his failure to observe and comply with the same.

 In case of any thefts of pilferages loss or other offences by deputed staff happened at the
premises of NIMI, the contractor will investigate and submit a report to the National
Company Law Tribunal (NCLT), FIR will be lodged by the National Company Law Tribunal
(NCLT) whatever necessary, if needed, a joint enquiry comprising of both the parties shall be
conducted and action deemed fit to be taken accordingly.

 That the contractor undertakes to ensure that Security Personal (Any) staffs appointed by
him is fully loyal to and assist National Company Law Tribunal (NCLT), during normal periods
as well as during strike and other emergencies for the protection of personnel and property
both moveable and immoveable to the entire satisfaction of the National Company Law
Tribunal (NCLT).

 In case of any loss that might be caused to the National Company Law Tribunal (NCLT) due
to lapses on the part of the Security Personal (Any) personnel, responsibilities will be borne
by the contracting agency and in this connection the National Company Law Tribunal (NCLT),
shall have the right to deduct appropriate amount from the bill to make good of such loss to
the National Company Law Tribunal (NCLT). Besides imposition of penalty, in case of any
deficiencies on the part of the Security Personal (Any) staffs deployed by the contractor,
National Company Law Tribunal (NCLT) has its right to terminate the contract forthwith
or take any other action without assigning any reason whatsoever.

 In the event of the Security Personal (Any) Staff, being on leave/absent the contractor shall
ensure suitable alternative immediately to make up for such absence to meet such
eventualities and shall make provision for leave reserve. The service of the alternative person
should be used temporarily for the leave period of the said Security Personal (Any).

 As and when the National Company Law Tribunal (NCLT) requires additional Security
Personal (Any) staffs on temporary or emergency basis the contractor will depute such
Security Personal (Any) staffs personnel in accordance with pro data rates as per shift.
Similarly, if the Security Personal (Any) staffs deployed by the contractor at any time are
found absent from duty, the National Company Law Tribunal (NCLT) shall deduct requisite
amount at the pro data rates from the bill of the contractor

 The contractor will make payment and submit the bill based on attendance maintained and
sent by NCLT.

 The service charge for the contract is 1.16 percent in addition to the quoted rates i.e. Rs
29,79,908.12/-. The performance hank guarantee is to be provided by the service provider
in form of FDR for Rs.60000/-.

 The bill of the contractor shall be paid by the National Company Law Tribunal (NCLT).
Income tax as applicable shall be deducted from his bill unless exempted by the income tax
department.

 The agreement shall be valid for a period of 12 months commencing from 01.12.2019. The
quoted agreement can be extended on mutual consent for another period of 1 to 2 years based
on performance of the existing contract. However in normal circumstances the agreement is
terminable after giving one months' notice in writing by either party to the agreement.

 The contractor is to provide 7 number of staff as mentioned with this contract. The strength
of the staff can be increased or decreased based on further requirement and all the terms and
conditions of this contract will be applicable on future staff too.
 The contractor shall be solely liable for all payment / dues of the workers employed and
deployed by him.

 In case of any dispute arising out of the agreement the Assistant Registrar
(Administration) of National Company Law Tribunal (NCLT) shall nominate any officer
of the National Company Law Tribunal (NCLT) as an arbitrator to adjudicate upon the
issue involved in the dispute and the provisions of the arbitration act shall be applicable.

 The manpower employed through this agreement will not claim their
employment/absorption in National Company Law Tribunal (NCLT)

 In witness whereof we the parties to this contract set our have to the agreement on the day
and year mentioned in presence of the witness.
