CONTRACT OF LEASE

KNOW ALL MEN BY THESE PRESENTS:

This contract of lease is entered into by and between:

CRISTINA R. CHUA, Filipino, of legal age, and resident of 46 Notre Dame Avenue, Cotabato
City, hereinafier called the LESSOR:

DOK ALTERNATIBO BROTHERHOOD WITH INVENTORS GUILD CONSUMERS


COOPERATIVE (DABIGCCO) represented by EDGAR L. DELIBO, Filipino, of legal age,
and resident of Roxas Extension, Zone 2, Digos City, hereinafter called the LESSEE;

WITNESSETH:

WHEREAS, the LESSOR is the absolute owner and possessor of a property and its improvements
including, specifically, Commercial building located at Puyat Arcade, Governor Gutierez St.
Cotabato City, Philippines;

WHEREAS, the LESSOR has agreed to lease unto the LESSEE, and the LESSEE has agreed to
rent from the LESSOR the above mentioned commercial space for the price under the terms and
conditions herein provided.

NOW, THEREFORE, for and in consideration of the abovementioned premises and of mutual
covenants and stipulations herein contained the parties have agreed, and by these presents do hereby
agree, the one with the other as follows:

1. TERM- the lease shall be for a term of ___ ( ) years starting from ______________
to_____________________. This lease maybe renewed under such terms, conditions
and amount of rentals shall be agreed upon by both parties. The lessor shall communicate
with the Lessee at least (90) days prior to the expiration of the lease and Lessee shall
communicate with the Lessor whether or not it intends to renew said lease.

2. AMOUNT OF LEASE: The LESSEE hereby agrees to pay monthly rental of


___________________ Thousand Pesos (P ) PESOS, in Philippine Peso currency,
payable every Fifth (5th) day of each month and 5% withholding tax which will be
shouldered by the lessee. Upon signing hereof, the LESSEE shall make a deposit in cash
or check payable to the Lessor in the amount equivalent to _____ (3) months security
deposit and one (1) month advance rental. The security deposit shall answer for whatever
damages suffered by the leased premise attributable to the LESSEE or for any unpaid
utility bill remaining at the end of this contract. Any remaining balance shall be returned
to the LESSEE after the termination of this contract. Moreover, upon signing hereof, the
LESSEE shall also issue in advance _________________________( ) postdated checks
payable to Cristina R. Chua covering the term of this contract.

3. WATER, ELECTRICITY, TELEPHONE: Expenses for water, electricity, telephone


and similar facilities to be used by the LESSEE shall be for the sole account of the
LESSEE.

4. SUBLEASE: The LESSEE shall not assign this lease, nor Sublease the leased area or any
portion thereof without the written consent and approval of the LESSOR.

5. CLEANLINESS, SANITATION, AND SAFETY: LESSEE agrees to maintain the


premises at his own expense in clean and sanitary conditions. LESSEE shall also comply
with all the laws, rules ordinances and regulations whether of the City of Cotabato or
Republic of the Philippines concerning police, sanitation, fire prevention, public health
and safety, applicable to the leased property.

6. INSPECTION OF PROPERTY: The LESSEE hereby grants the LESSOR and/or its
agents, the authority to enter the property at a reasonable time and with prior notice in
order to inspect the property during the effectivity of this contract.

7. THEFT OR ROBBERY: The LESSOR shall not be held liable for any loss or losses
that may he suffered by the LESSEI3 by reason of theft, robbery, and other crimes
committed in or about the leased property nor shall the LESSOR be liable for any injury
to any person or damage to property resulting from water, electricity, lire or any act
of omission on the part of any tenant or agent or employee of the LESSEE;

8. FIRE HAZARD AND OBNOXIOUS SUBSTANCES: The LESSEE shall not keep,
deposit or store in the leased premises any obnoxious substances or highly inflammable
materials or substances that constitute a fire hazard;

9. PROHIBITIONS: The LESSEE shall use the leased property for legal purposes only
and it shall not be used in any manner for any illegal activities.

10. SUCCESSORS AND ASSIGNS: The terms of this contract shall be binding upon the
contracting parties, their heirs, successors or assign to comply with any of the conditions
of the lease. Any violation of this contract shall be cause for the LESSOR to terminate
the same, in which event the LESSOR shall then have the right to retain any advanced
rentals or security deposit that LESSEE shall have already paid to the LESSOR.

11. PRE-TERMINA'I'ION BY LESSEE: Should the LESSEE for any reason pre-
terminate this lease contract, the LESSEE shall give the LESSOR two (2) months notice
of its intention to pre-terminate and pay a penalty of three (3) months equivalent in rent to
the LESSOR In such case, the LESSEE shall likewise give the LESSOR the right to
show the leased premises to other prospective lessees;

12. TERMINATION BY LESSOR: Should LESSEE fail to pay two (2) months rental or if
LESSIEE shall violate or default on any of the other covenants, agreements, stipulations
or conditions, and such violation or default shall continue for a period of thirty (30) days
after notice of such violations or default, then it shall be optional for LESSOR to declare
this lease rescinded and the term ended. The LESSOR shall notify the LESSEE at least
thirty (30) days in advance prior to the date of termination and shall also have the right to
demand that the LESSEE vacate the leased. In such event the LESSOR shall then
proceed to apply the security deposit to the unpaid rentals and utilities that may be
maintained in the leased premises. After satisfying all the LESSEE’s unpaid obligation.
the LESSOR shall then return the remaining balance, if any, without interest to the
LESSEE.

13. IMPROVEMENTS: Anything bolted, nailed, glued, pasted, cemented shall remain
within the premises upon the expiration or pre-termination of this contract. Any repair
within the contract period will be on the account of the Lessee.

14. THIRD PARTY LIABILITY: The LESSEE during his occupancy of the leased
premises shall hold the LESSOR free and harmless from any damage or responsibility to
any person or property arising out of or as a consequence of the premises by the
LESSEE, his agents, employees and domestic help and guests; when such damage or act
of God, such as typhoon, earthquake, flood, etc. are beyond the control of the LESSEE,
the later shall not be liable to the LESSOR.

15. BREACH OF CONTRACT: In case of breach of the Lessee of any of the provisions of
this contract, the Lessor shall have the right and by these presents the Lessee hereby
empowers and authorizes the Lessor to padlock the premises concerned. After THREE
(3) days that the premises had been padlocked and the Lessee cannot come up with an
arrangement acceptable to the Lessor. The latter or its duly authorized representative
shall be authorized to open the premises in the presence of the City Sheriff or his duly
goods and articles of value shall be made. All these inventoried goods and articles of
value shall then be deposited with the Office of the Sheriff of Cotabato. If after THREE
(3) days from the date of the inventoried goods and articles of value of the Lessee and the
Lessee still fails to make acceptable arrangements with the Lessor of his breach of
contract then the Lessor or his duly authorized representative is hereby empowered to
cause the auction of sale of all inventoried goods and articles of value or so much thereof
as may be necessary by the City Sheriff of Cotabato or his authorized deputies to pay for
whatever arrears in rental, breach, All expenses in the padlocking of the premises and
auction sale shall be chargeable to the Lessee.

16. TERMINATION OF CONTRACT: Upon termination of this contract of lease, the


LESSEE shall promptly surrender the leased premises with all the keys pertaining to it
and in the same good and tenantable condition as they were received.

17. VENUE OF LITIGATION: Any violation of the conditions of this contract shall
subject the guilty party for the payment of damages, costs of suit and attorney’s fees. Any
legal dispute arising from this Contract of Lease or from the implementation of any of the
terms and conditions hereof shall be filled exclusively in the appropriate courts of
Cotabato City.

BEFORE ME, a Notary Public for the City of Cotabato, personally appeared CRISTINA
R. CHUA and EDGAR L. DELIBO with competent evidence of identity consisting of the above
written below their names known to me and to me known to be the same persons who executed the
foregoing instrument and they have acknowledged to me that the same is of their own free not and
deed and that of the principal which they represent.

This Contract of Lease consist of four ( 4 ) pages, including this page where the
acknowledgment is written, and is signed by the parties and their witnesses on each and every page
thereof.
