TERMS & CONDITIONS

a) All Tariffs of Ports and Customs are indicated in their schedules published from
time to time and are to be paid at actuals.

b) Actuals will be based on published Port rates for various services for supported by
necessary vouchers.

c) All statutory payments due to the port/customs/other authorities need to be funded

in advance (based on pro-forma disbursement schedule) to make the payments on
your behalf.

d) A 6 % service charge shall be levied for all actuals when Maxicon Shipping
Agencies Pvt. Ltd. Make urgent/emergency payments for any statutory
dues/services/supplies (on behalf of and at the specific request of COMACOE
without receipt of funds in advance.

e) Service Tax will be payable on applicable services and at applicable rates

prescribed by the Government of India and which is presently at 10.30%

f) Payment shall be effected within 30 days of submission of bills. If payments are

not received within 30 days an interest of 2% per month shall be levied.

g) COMACOE will indemnify Maxicon Shipping Agencies Pvt. Ltd. against all
consequences of all lawful acts performed by Maxicon Shipping Agencies Pvt.
 Ltd. In exercise of the authority conferred on Maxicon Shipping Agencies Pvt.
Ltd. In their role as agents for vessels owned by COMACOE.

h) COMACOE will indemnify Maxicon Shipping Agencies Pvt. Ltd. Form any
actions brought against them by third parties of consequence of any act authorized
by COMACOE and done in good faith by Maxicon Shipping Agencies Pvt. Ltd.

i) Maxicon Shipping Agencies Pvt. Ltd., shall not be held responsible with
Customs, Port, Statutory authorities if the goods imported to not tally with the
goods exported and if any Customs/Port/Statutory duties, fines penalties are
levied then it shall be charges at actuals and paid in advance by COMACOE.

j) The rates of remuneration, compensation, statutory tariffs, taxes, duties and other
expenses set forth and/or applicable under this agreement, relate to the
Government laws, Rules and Regulations in force and applicable at the date of
commencement of Agreement or in the event of any change or amendment or
interpretation of any Acts or Laws or Rules and regulations by Government of
India or State Government or Public Body which becomes effective after the date
of commencement of the agreement or after the expiry of this agreement and
which results in increase in liability of any taxes/duties (other than personal and
corporate taxes) shall be compensated/reimbursed by COMACOE.

k) This Agreement shall be governed by and construed in all aspects in accordance

with the laws of India. Any dispute that may arise out of or in connection with
this Agreement including its validity construction and performance shall be
determined by arbitration under the provisions of India Law. The venue of this
arbitration shall be Hyderabad, India.

l) This agreement can be terminated either by mutual agreement by both parties in

writing or by either party at their convenience by giving 30 days notice, all
invoices and or monies pre-funded to be resolved within 30 days from the date of
termination of the agreement.

Effectiveness

This Agreement shall come into operations from 01.09.2010 till 31.12.2011.
Terms of Payment

Rs.1,00,000/- (Rupees One Lakh) to be paid in advance as revolving fund on a

replenishment basis till the end of the contract.
