MEMORANDUM OF AGREEMENT

KNOWN ALL MEN BY THESE PRESENTS:

This agreement is entered into and executed by:

The CENTRAL LUZON STATE UNIVERSITY–NANOTECHNOLOGY R AND D FACILITY, hereinafter


referred to as CLSU–NANOTECHNOLOGY R AND D FACILITY, with principal office at Science City of
Muñoz, Nueva Ecija and represented herein by its Head, DR. JUVY J. MOSERATE;

and

The CENTRAL LUZON STATE UNIVERSITY-UNIVERSITY SCIENCE HIGH SCHOOL, hereinafter


referred to as CLSU-USHS, with principal office at Science City of Muñoz, Nueva Ecija and represented
herein by its Principal, DR. MERCEDITA M. REYES.

WITNESSETH

I. PURPOSE

This agreement seeks to support CLSU-NANOTECHNOLOGY R AND D FACILITY and CLSU-USHS


Research Consultancy Services Program to enhance the capabilities of young student researchers of
CLSU-USHS and for faculty members of CLSU- NANOTECHNOLOGY R AND D FACILITY to share their
technical expertise on different areas of specialization. This is in support to the mission of Central Luzon
State University to improve the research capabilities of its constituents towards becoming a National
Research University.

II. OBJECTIVE

To provide research consultancy services to the students of CLSU-USHS.

III. DURATION OF THE PROGRAM

The program shall be implemented for a period of one (1) semester.

IV. DEFINITION OF TERMS

In this Agreement, except insofar as the context or subject matter otherwise indicates or requires, the
following terms and expressions shall have the following meanings:

Agreement – means this agreement and shall schedules to it.

Confidential Information – means all information passing from the disclosing party to the other party
relating to the collaboration program including without limitation reports or findings, investigative studies,
consultation, methodologies. Discoveries, processes, innovations and inventions whether given orally or
in writing.

Intellectual Property – means all rights in relation to inventions (including patents), registered and
unregistered trademarks (including service marks), copyright, circuit layouts, registerable designs,
registerable plant varieties, processes, know-how, and confidential information in the industrial, scientific
and artistic fields including application or right to apply for registration of any of those rights.

Incidental Intellectual Property – means all Intellectual Property arising from or out of the collaborative
research which does not contribute to the intended research outcome.
V. OBLIGATIONS OF THE PARTIES

CLSU-NANOTECHNOLOGY R AND D FACILITY shall:

a. designate personnel to serve as the consultant(s)/adviser(s);


b. provide free use of laboratory space and laboratory instruments of the College depending on
the availability;
c. participate through the designated consultant(s)/adviser(s) in providing technical inputs and
assisting the students of CLSU-USHS during the conduct of the research project;
d. include the designated consultant(s)/adviser(s) as co-author(s) in all publication that may
arise from the research project;

CLSU-USHS shall:

a. endorse student(s) who will conduct the study;


b. through the students, provide the consumable materials required for the research study;
c. through the students, replace/repair all broken glassware and damaged laboratory equipment
during the conduct of the research project;
d. monitor the progress of the student(s) during the conduct of the research;
e. acknowledge the support provided by the CLSU-NANOTECHNOLOGY R AND D FACILITY
in manuscripts, presentations, or publications that may arise from the research project;
f. abide by the existing policies/guidelines on the use of room and facilities/equipment of CLSU-
NANOTECHNOLOGY R AND D FACILITY during the conduct of the research project.
g. provide a copy of the IP report or any published material generated from the research study
to CLSU- NANOTECHNOLOGY R AND D FACILITY.

Both CLSU-NANOTECHNOLOGY R AND D FACILITY and CLSU-USHS shall:

a. mutually agree on the presentation of the results of the study in a conference/contest or in


publishing results in a scientific journal;
b. follow the existing policies when using live animals for research in accordance to the
standards of the Institutional Animal Care and Use Committee of the University
c. take all reasonable actions to keen confidential all results or information created as a part of
the collaborative work;
d. agree that each identifiable items or incidental intellectual property shall be the property of
both CLSU-NANOTECHNOLOGY R AND D FACILITY and CLSU-USHS.

VI. EFFECTIVITY

The program shall start immediately as soon as signatures of institution head have been affixed in this
agreement and shall continue, as long as the program achieves the agreed progress/milestones within
the framework of the approved proposal.

IN WITNESS WHEREOF, the parties aforementioned have set their hands this 7th day of January, 2020
at Science City of Muñoz, Nueva Ecija, Philippines.
