DEED OF MORTGAGE

KNOW ALL MEN BY THESE PRESENTS:


This AGREEMENT, is made and executed by ___________________________________________________________,
of legal age and residing at ___________________________________________________________________________ in his/her
personal capacity and/or as the attorney-in-fact of ______________________________________ per the Special Power of
Attorney hereby appended and made integral part hereof as Annex “A” (as may be applicable hereof), referred to herein
in such personal/dual capacity as the MORTGAGOR; in favor of ZOE & R.S.T. FINANCING CORPORATION duly
organized and existing under the laws of the Republic of the Philippines with principal office at

______________________________________________ hereinafter called the MORTGAGEE.

WITHNESETH THAT:

WHEREAS the MORTGAGOR has obtained a loan from the MORTGAGEE in the sum of PESO:

Philippine currency, as the evidenced by the promissory note copy of which is hereto attached and made integral part of
Annex “B”,

WHEREAS, to secure payment of the above loan under this mortgage agreement, the MORTGAGOR hereby,
represents and warrants being the present lawful and unquestionable owner/authorized person/assignee/guardian of

as well as the lawful and absolute owner, free from any and all liens, charges and encumbrances, of the following.

(1) All the merchandise and stocks in trade, including their replacements, found and to be found in the above-mentioned
establishment, the current inventory which is stated in the list hereto attached and made integral part hereof as
Annex “C”;
(2) All the furniture, fixture, appliances, and equipment and other personal property found in said business establishment
and/or other stated locations, as itemized and described in the list hereto attached and made integral part of hereof
Annex “D”;
(3) The motor vehicle/s the make and description of which are particularly stated in the appended document made integral
part hereof as Annex “E”;

NOW, THEREFORE, for and in consideration of the aforementioned loan receipt in full of which is hereby
acknowledged by the MORTGAGOR to his/her complete satisfaction, and other loans and credit accommodations obtained
or which may hereafter to be obtained by the MORTGAGOR and/or his/her aforenamed principal ___________
____________________________________________________ personally, and to secure payment thereof in accordance with the
term of promissory note, Annex “B”, hereof and said other loans and credit accommodations, the MORTGAGOR hereby
cedes, transfers and conveys by way of mortgage unto and in favor of the MORTGAGEE, it’s successor, administrator, or
assigns: (a) all the rights, interest and participation of the MORTGAGOR in the business establishment and premises
mentioned in the second “whereas” hereof; (b) all the merchandise and stock in the trade enumerated in Annex “C’ hereof;
including all their replacements, and immediate procurement in similar quantity, quality and value of which is stipulated
to be mandatory, during the effectivity of this agreement; (c) all the furniture, fixture, appliances, equipment and other
personal property itemized and described in Annex ”D” hereof; and (d) the motor vehicle/s described and listed in Annex
“E’ hereof, subject to the following terms and conditions:

FIRST. – The MORTGAGOR and all persons acting under him/her or in his/her behalf are strictly prohibited from
mortgaging or removing from their present site, assigning, encumbering, transferring, or otherwise disposing in any
manner whatsoever any of the above-mentioned mortgaged rights, interest and properties without a prior written consent
of the MORTGAGEE and strict compliance with all the foregoing is hereby expressly warranted by the MORTGAGOR.
The MORTGAGOR also agrees and warrants not to commit any act which would jeopardize or adversely affect the
mortgaged rights, other rights, interest, and properties. The MORTGAGOR further warrants that all proceeds from the
sale of disposition of the merchandise and stocks in trade listed in Annex “C” hereof shall be used exclusively in the
immediate cash purchase of replacements therefore of at least the same quality, quantity and value which shall likewise
be free from any and all charges and encumbrances.

SEC0ND. – this mortgage shall remain subsisting and effective as continuing collateral to secure the prompt
payment not only of the loan evidenced by the promissory note (Annex “B” hereof) in accordance with this term but also in
any and all extensions, modifications, renewals, and/or replacements thereof, including future new or additional loans,
and the faithful compliance with all the other present and future obligations of the MORTGAGOR in favor of the
MORTGAGEE.

THIRD. – should the MORTGAGOR fail to comply with any of the terms and conditions of the promissory note
(Annex “B” hereof) and this mortgage contract, the MORTGAGEE shall automatically have the absolute right to, without
need of prior notice or demand to forthwith judicially or extra-judicially foreclose this mortgage and proceed against all or
any of the mortgaged rights, interest and properties for the full satisfaction of the MORTGAGOR’S entire obligation to the
MORTGAGEE, and in such event, the MORTGAGOR shall be further liable to the MORTGAGEE in the same judicial or
extrajudicial foreclosure proceedings for payment of attorney’s fees to an amount equivalent to twenty-five per cent (25%)
of the unpaid indebtedness but not less than P250.00 penalty charges in an amount equivalent to _________________ per
month of said outstanding obligation, and all the expenses and cost incidental to the above proceeding. The parties hereto
agree that any legal action in relation to this agreement shall be instituted in the proper competent courts of Santa Cruz,
Laguna or in any other court at the option of the MORTGAGEE. Provided that in case of Extra-Judicial Foreclosure, the
MORTGAGEE is hereby expressly and irrevocably appointed as Attorney-In-Fact of the MORTGAGOR, as such the
MORTGAGEE is irrevocably authorized by the MORTGAGOR to take possession of the mortgaged property(ies) and
forthwith undertake to file and pursue such Extra-Judicial Foreclosure and other appropriate actions in accordance with
law, rules and guidelines issued by competent authorities.

FOURTH. - The MORTGAGEE has the unilateral and exclusive right to sell, cede, assign, or otherwise transfer
all or any of its rights, title, interest and participation under this contract, including the subject present and future
promissory note and collateral documents, without need of securing the MORTGAGOR’s prior consent.

FIFTH. – The conditions of this mortgage are such that if the MORTGAGOR promptly pays the obligations under
the promissory note (Annex “B” hereof) in accordance with the terms and conditions thereof and of this mortgage, then
this contract shall be null and void, otherwise, said mortgage contract shall remain in full force and effect.

AFFIDAVIT OF GOOD FAITH

We severally swear that the foregoing mortgage is made for the purpose of securing the obligation specified in the
conditions thereof and for no other purpose, and that the same is just and valid obligation and not entered into for the purpose of
fraud.

over the business establishment premises heretofore mentioned, including all the merchandise and stocks in trade found therein
and listed in Annex “C” hereof, the furniture, fixture, appliances, equipment and other personal property listed in Annex “D” hereof,
and the motor vehicle/s listed in Annex “E” hereof, signed by the parties and their instrumental witnesses on the page and on said
annexes.
