WHEREAS, the Village of Glenview, (“Village”), is a home rule municipality located in Cook
County, Illinois;

WHEREAS, the Village’s Comprehensive Plan states the Village should investigate coordinated
marketing activities or other programs to promote retail, restaurant and entertainment uses that serve
local, as well as, multi-community trade areas.

WHEREAS, the Village desires to partner with the Glenview Chamber of Commerce (“Chamber”)
to improve the Village’s efforts in supporting local businesses through increased community events
within the various business districts and the development of business retention, promotion and
education programs;

WHEREAS, the Village and Chamber wish to enter into the attached Economic Development and
Business Services Agreement (“Agreement”) to supplement the Village’s economic development efforts;

WHEREAS, the corporate authorities have reviewed the Agreement by and between the Village
and the Chamber; and,

WHEREAS, the corporate authorities have determined that it is in the public interest to approve
the Agreement.

NOW, THEREFORE, BE IT RESOLVED, by the President and Board of Trustees of the Village of
Glenview, Cook County, Illinois, a home rule municipality, as follows:

That the President and Village Clerk are authorized to execute the Agreement, upon final
approval of the same by the Village Attorney.

AGREEMENT WITH THE CHAMBER TO PROVIDE ECONOMIC DEVELOPMENT
AND BUSINESS SUPPORT SERVICES

This Agreement is made and entered into as of the ______ day of __________________, 2020,
by and between the Village of Glenview, an Illinois home-rule municipality (“Village”) and The Glenview
Chamber of Commerce (“Chamber”).

WHEREAS, the Village desires to secure certain economic development and business support
services to complement its economic development, recruitment and business retention program, and

WHEREAS, the Chamber desires to provide such services to the Village under the terms,
provisions, and conditions set forth herein; and

WHEREAS, the parties desire to set forth the terms and conditions for the economic and
business support services in this Agreement;

NOW, THEREFORE, in consideration of the premises and of the mutual covenants and
agreements contained herein, the Village and Chamber agree as follows:

Section 1. Services. In exchange for the consideration provided for in Section 2 of this Agreement, the
Chamber agrees to provide certain economic development and business support services to the Village,
as described in this Agreement and as generally outlined in Exhibit A (“Services”). The Chamber will have
full and sole responsibility for administration of the Services and shall ensure there is adequate staffing
and other resources necessary to provide the Services. It is expected that the Services provided by the
Chamber will require approximately 2,000 hours annually. The Village and Chamber agree to meet
quarterly each calendar year to coordinate the Services and review established performance measures
for the Services. The meeting during the last quarter of each calendar year is to review the next year’s
events, planned programs and various Services to be provided and collectively agree to a schedule and
location of events. Following the meetings, the Services may be modified as agreed to by the Chamber
Executive Director and Village Manager or designee. The specific Services provided by the Chamber
under this Agreement shall not be limited to only Chamber members, except as noted herein. All
existing benefits and programs for Chamber members shall continue to exist as provided by the
Chamber.

Section 2. Payment for Services. In consideration of the Services performed pursuant to this
Agreement, the Village agrees to pay to the Chamber as listed in Exhibit B (“Cost of Services”).
Payments shall be made in semiannual installments issued on or before January 31 and July 31 of each
year.

Section 3. Ownership. Designs, drawings, plans, specifications, photos, reports, information,


observations, calculations, notes, and any other documents, data, or information, in any form, prepared,
collected, or received by the Chamber in connection with any or all of the services to be performed
under this Agreement (“Documents”) are deemed the exclusive property of the Village. The Chamber
shall have access to the data collected in a manner consistent with the Chamber’s mission and the
objectives of this Agreement. At the Village’s request, or upon termination of this Agreement, the
Chamber will cause the Documents to be promptly delivered to the Village.

Section 4. Village Services to Support Events. In consideration of continuing to support the existing
community focused special events managed by the Chamber (e.g. Summer Street Festival,
Blocktoberfest, and Holiday in the Park and Parade) and the two new Chamber events (as outlined in
Exhibit A and to be determined) the Village agrees to provide Village services (including, but not limited
to Fire and Police services, traffic control, services provided by Public Works, health inspection services,
review of event permits, and event marketing and promotion) that the Village determines will
contribute to safe and successful community events, subject to the availability of budgeted funds.

Section 5. Taxes. Chamber shall be responsible for the payment of all taxes required by law.

Section 6. Term and Termination. This Agreement term shall commence on February ___, 2020 and be
effective for an initial three-year term. The initial term may be extended by the parties for two
additional one-year terms. This Agreement may be terminable at will by either party at any time upon
90 days prior written notice given by the terminating party to the other party. In the event this
Agreement is terminated, the Chamber will be paid for Services actually performed and reimbursable
expenses actually incurred, if any, prior to termination, not exceeding the value of the Services.

Section 7. Chamber’s Status. It is agreed and understood by the Chamber and the Village that the
Chamber is an independent contractor and the Chamber is not an employee of the Village and shall not
be entitled to any benefits or privileges provided by the Village to its employees, including but not
limited to, worker’s compensation and unemployment benefits. The Chamber shall not have any
authority or power to bind or commit the Village in any manner whatsoever.

Section 8. Annual Review of Services. The Chamber shall submit to the Village, on a quarterly basis, the
supporting documentation to substantiate the use of the Village of Glenview’s monetary
contribution. The Village reserves the right to ask follow-up questions on this documentation or request
additional supporting documentation. In addition, the Chamber will provide the annual financial
statements for the Chamber of Commerce as a whole within 90 days of the close of their fiscal year. On
an annual basis, the Village Board will review at a Village Board meeting the services provided by the
Chamber under this Agreement.

Section 9. Insurance. The Chamber shall, prior to and at all times while providing, performing, or
completing the Services, procure, maintain, and keep in force, at Chamber’s expense, at least the
following minimum insurance coverages:

A. Workman’s Compensation: The Chamber is required to carry, with a company


authorized under the laws of the State of Illinois, a policy for protection against liability under the
Workman’s Compensation and the Occupational Disease Statutes of the State of Illinois.

B. Hired Not Owned Motor Vehicle Liability Insurance: The Chamber shall carry a policy
under a comprehensive form to insure the entire automobile liability for this operation with limits of not
less than $1,000,000 each accident for bodily injury and not less than $1,000,000 each accident for
property damage liability.

C. Comprehensive General Liability: The Chamber shall carry a comprehensive general


umbrella liability policy for all operations with limits of not less than $1,000,000 each accident for bodily
injury liability and not less than $1,000,000 each accident for property damage liability.

The Chamber shall provide certificates of insurance and, if specified by the Village, copies of policies
evidencing the minimum insurance coverages and limits set forth below to the Village. Such policies
shall be in form and from companies acceptable and satisfactory to the Village to afford protection
against all claims for damages to public or private property, and injuries to persons, arising out of and
during the progress of the Services until final acceptance and payment by the Village. A copy of the
certificate of insurance shall name the Village as additional insured. The policy of insurance shall contain
no provisions that invalidate the naming of the Village as additional insured.

All such insurance must include an endorsement whereby the insurer agrees to notify the Village at least
30 days prior to non-renewal, reduction, or cancellation of any policy. The Chamber shall cease
operations on the project if the insurance is cancelled or reduced below the required amount of
coverage.

The insurance coverages and limits required above shall be deemed to be minimum coverages and limits
and shall not be construed in any way as a limitation on the Chamber’s duty to carry adequate
insurances required above or on the Chamber’s liability for losses and damages under this Agreement.
The Chamber shall at all times carry such additional coverage and limits as may be necessary to fully
comply with this Agreement.

Section 10. Indemnification. The Chamber shall indemnify, save harmless, and defend the Village
against all damages, liability, claims, losses, and expenses (including attorney’s fees) that may arise, or
be alleged to have arisen, out of or in connection with the Chamber’s performance of, or failure to
perform, the Services or any part thereof, or any failure to meet the representations and certifications
set forth in this Agreement. The Village shall indemnify, save harmless, and defend the Chamber against
all damages, liability, claims, losses, and expenses (including attorney’s fees) that may arise, or be
alleged to have arisen, out of or in connection with the Village’s performance of, or failure to perform,
the Village services to support events or any part thereof, or any failure to meet the representations and
certifications set forth in this Agreement.

Section 11. Release and Waiver. The Chamber, for and on behalf of itself and each of its personal and
legal representatives, heirs, devisees, executors, successors and assigns (collectively, the “Releasor”),
fully and forever waives, releases, acquits, and discharges the Village and its elected officials, appointed
officials, employees, agents, representatives, attorneys, and insurers, in both their official and individual
capacities (collectively, the “Releases”) from any and all claims, causes of action, grievances, demands,
rights, liabilities, damages, obligations, costs, expenses, and, of every kind and nature, whether based on
statute, tort, contract, common law, or other theory of recovery, whether known or unknown,
suspected or unsuspected, or fixed or contingent, arising out of or related to the performance of the
work which is the subject of this agreement (collectively referred to as “Claims”). The Releaser shall
hold the Releasees and each of them harmless from any Claims asserted or made by any Releasor.

Section 12. Default. If it should appear at any time that the Chamber has failed or refused to execute,
or has delayed in the execution of, the Services with diligence at a rate that assures completion of the
Services in full compliance with the requirements of this Agreement, or has otherwise failed, refused, or
delayed to perform or satisfy the Services or any other requirement of this Agreement (“Event of
Default”), and fails to cure any such Event of Default within 10 business days after the Chamber’s
receipt of written notice of such Event of Default from the Village, then the Village will have the right,
without prejudice to any other remedies provided by law or equity, to pursue any one or more of the
following remedies:

A. Cure by the Chamber. The Village may require the Chamber, within a reasonable time,
to complete or correct all or any part of the Services that are the subject of the Event of Default; and to
take any or all other action necessary to bring the Chamber and the Services into compliance with this
Agreement.

B. Termination of Agreement by Village. The Village may terminate this Agreement


without liability for further payment of amounts due or to become due under this Agreement after the
effective date of termination.

C. Withholding of Payment by Village. The Village may withhold from any payment,
whether or not previously approved, or may recover from the Chamber, any and all costs, including
attorneys’ fees and administrative expenses, incurred by the Village as the result of any Event of Default
by the Chamber or as a result of actions taken by the village in response to any Event of Default by the
Chamber.

Section 13. Legal Compliance. The Chamber certifies that the Services shall be provided, performed,
and completed in compliance with, and Chamber agrees to be bound by, all applicable federal, state,
and local laws, orders, rules, and regulations, as they may be modified or amended from time to time.
The Chamber shall be solely liable for any fines or civil penalties that are imposed by any governmental
or quasi-governmental agency of body that may arise, or be alleged to have arisen, out of or in
connection with Chamber’s, or its subcontractors or suppliers’, performance of, or failure to perform,
the Services or any part thereof. Every provision of law required by law to be inserted into this
agreement shall be deemed to be inserted herein.

Section 14. Assignment. The Chamber shall have no right to transfer or assign his interest in or his
obligations under this Agreement without the prior written consent of the Village.

Section 15. No Third-Party Beneficiaries. The Village and the Chamber agree that this Agreement is not
intended to create or give rise to any rights in any person or entity other than the Village and the
Chamber and no claim as a third-party beneficiary under this Agreement by any person or entity shall be
made or be valid against the Village or Chamber.

Section 16. Notices. Any notice required or permitted to be given pursuant to this Agreement shall be
in writing and shall be deemed give either upon delivery or such notice in person or on the third day
after posting by certified mail, postage prepaid, return receipt requested, addressed to the party to
whom notice is given as follows, unless the address listed below is modified on any notice subsequently
given by such party.

Section 17. Governing Law. The execution, validity, construction, interpretation, performance, and
enforcement of this Agreement shall be governed by the laws of the State of Illinois.

EXHIBIT A

DESCRIPTION OF SERVICES

Overview:
The Services provided by the Chamber are described in more detail herein and shall include A) the
management, coordination, and promotion of community events that create a family-friendly
environment, foster community pride, and create a connection to local businesses; B) the maintenance
of a commercial, office, and light industrial business database to gain a better understanding of the
community’s economic health; and, C) the creation and dissemination of training and/or educational
information to businesses and economic development services to ensure a successful business
environment.

A. Community Events
The Chamber shall plan, manage, coordinate, advertise and promote two new (2) community
events, with one of the events taking place at a location somewhere besides downtown Glenview.
Each of these annual community events will be described using the attached template (see Exhibit
C), which is reviewed and approved by both parties, and designates the purpose, event details,
scope of services and performance measures for the event. The attached example template, shall
be filled out by the Chamber, and reviewed and approved by the Village Manager or designee for
each approved event. The template shall include sufficient detail to describe the necessary steps to
manage and promote an event, including specific metrics that can be used to measure the event’s
success. Due to the necessary coordination, fund raising, and preparations to create a new event,
both new planned events may not be scheduled to take place until 2021, and under such
circumstances temporary events will be created for 2020 and managed by the Chamber to comply
with the conditions of this Agreement.

B. Business Database
The Chamber is to maintain a commercial, office, and light industrial database (i.e. business name
and contact, address, s.f., lot size, use, occupied/vacant, etc.) for use by the Village in performing
assigned economic development activities (e.g. business retention and recruitment).
 At the beginning of the first year, the data categories to be collected shall be mutually
identified prior to the start of data collection based on business type and size, and organized
in a format that will allow the data to be searched and used in conjunction with the Village’s
GIS.
 In year one, the Chamber would utilize the Chamber member database to pull together the
statistical information.
 In year two, any remaining commercial, office, and industrial business information would be
gathered, as well as any updates to the existing database, which would also occur during
following years.
 Additional information may be provided by the Village in association with Glenview’s
Economic Development Strategic Plan or other Village led data collection efforts.

C. Training, Education and Economic Development


The Chamber shall create, record and disseminate training, education and economic development
information to be included in a Business Programming Library of discussions consisting of webinars
and taped live programs.

 Training, education and economic development concepts could include:
o “Story behind the Story Front” – In an effort to foster a better understanding of what
makes our community tick, this program would encourage support of the local business
community by making it personal. This is a campaign that tells the backstory about our
neighbors and friends, who offer services, sell great products and have great places
where patrons can come together as a community. This multi-facet program will
showcase the entire business community to residents in a modern fresh way, utilizing a
variety of platforms to get the message out to the whole community. The program could
involve 17+ businesses and organizations, interviewing them about why they picked
Glenview, what they bring to the community and who they are on a personal level.
Podcasts, GVTV programming, Facebook, enews are some of the many ways to get this
message and program into our community. Collaborators could include the Village’s
GVTV and Glenbrook South’s TV program to make these pieces come to life.
o “Running a Restaurant in the Social Media Age” – This program could include Glenview
health inspectors describing best practices for keeping a clean and organized kitchen in
addition to offering tips on food service and sanitation.
o The “My 1.75%” shop local campaign could promote all retail shops on a weekend to be
determined, geared to be educational regarding the value of supporting local business
with couponing options to encourage involvement.
o Economic development (marketing and promotion) programs
o Permit and licensing educational seminars
o Signage tutorials
o New resident programs
o New business owner training

 The Chamber will work with the Village Manager or designee to identify the best potential
presenters and format, and prioritize a discussion list that will be used to create a three-year
program. This allows the flexibility to create content most relevant to the business needs as
they shift or as Village ordinances or processes are updated and need to be communicated to
the business community.

 Several available delivery systems could be considered depending on the topic:


o Existing Chamber Lunch and Learn seminars
o Webinar or Podcast series utilizing MediaPodz or GVTV
o Village website could host the content library, which would allow access to any business in
Glenview
o Various social media platforms

EXHIBIT B – COST OF SERVICES

In consideration of the performance of the services outlined in this Agreement, the Village shall pay to
the Chamber the following sums in 2020:

Service Cost

1. Management and Coordination of Community Events (1,003 hours) $25,847

2. Business Database (261 hours) $6,731

3. Training, Education and Business Promotion (527 hours) $13,575

4. Event Production and Promotion (Print and Social Media) $5,000

Total Services Costs $51,153

The services noted above and the corresponding allocation of hours are subject to change on an annual
basis as mutually agreed to by the Parties and subject to budget approval.

Cost Basis for Contracted Services

Hourly Rate: $19.23/ hour ($40,000 per year ÷ 2,080 hours = $19.23) x 1.34 multiplier = $25.77
The cost basis (hourly rate) shall remain the same through the initial term of the contract. Following the
initial term, rates may be increased each additional year in accordance with the Chicago Consumer Price
Index (CPI) and upon final Village approval.

EXHIBIT C – COMMUNITY EVENT TEMPLATE

Event Description - 1 - Wine about Winter

Event Purpose
 To offer a first time public winter event encouraging residents to shop, dine and enjoy the
opportunities from our retail community. This will be done through targeting a specific weekend
and offering special deals and discounts.

Event Details
 Planning in 2020 with event in early 2021.
 Held on a Friday and Saturday in February in the downtown Glenview and The Glen Town Center
commercial districts. Specific locations to be determined based on those who wish to participate.
 500 attendees (weather dependent).
 15-20 participating vendors.
 20 Chamber and residential volunteers.

Scope of Services
The Chamber:
 Shall plan, manage, budget, promote and coordinate the event.
 Shall create a steering committee of interested residents and retailers. They will be responsible for
making recommendations on the direction of the event and activities, which shall be approved and
managed by the Chamber.
 Shall determine the structure and costs for sponsorships and advertisements based on the
established event budget.
 Shall advertise and promote the event (e.g. flyers, print media, websites, social media, GVTV,
Chicago’s North Shore Convention and Visitor’s Bureau (CNSCVB) coordination, etc.), including:
o Full page ads in Glenview Lantern extended audience.
o Use of Chamber’s social media, e-newsletter, posters around town, press and promotional
articles.
o Coordination with CNSCVB on outreach to members and general public
o Coordination with FDG on outreach to members and general public

The Village:
 Shall market the event through the mailed newsletter and its email lists to boost all advertising &
social media efforts.
 Shall review other marketing efforts to support the event (i.e. the creation and placement of signage
and street banners on Waukegan Road and Glenview Road).
 Shall provide Village services (including, but not limited to Fire and Police services, traffic control,
services provided by Public Works, health inspection services, review of event permits, and event
marketing and promotion) attributable to ensuring a safe and successful community event.

Performance Measures
 Conduct a survey of the participants/vendors, volunteers and attendees of the event to gauge the
event’s success and identify areas of improvement.
 Conduct a survey of the surrounding local businesses to quantify the impact of the event on their
business activity compared to a normal business day.
 Collect data on promotional materials and techniques to determine which media and/or methods
reached the widest audience. Cross reference the results with the survey data to determine if
marketing the event to a targeted audience is more effective that generating awareness with a
larger audience that is less likely to attend the event.
 Monitor social media to gauge the impact of the event on the community given posted positive or
negative comments.
