DEED OF ABSOLUTE SALE

Know All Men By These Presents:

This Deed of Absolute Sale (or "Deed") is entered into by and between:

SPOUSES_______________________________________,
both Filipinos, of legal age, and with postal addresses at
___________________________________, represented in this
act by their attorney-in-fact, ____________________, and hereafter
collectively referred to as the "SELLERS"

-and-

SPOUSES _________________________________, both


Filipinos, of legal age, with residence at 614 San Isidro Street, Ayala
Alabang Village, Muntinlupa City, and hereafter collectively referred to as
"BUYERS"

Witnesseth:

Whereas, the Sellers are the lawful owners of a parcel of land without
improvements located at _______________________, with an area of ________
square meters, more or less, and covered Transfer Certificate of Title No.
_________________________ ("Property") where it is more particularly described
as follows:

Whereas, the Buyers have offered to buy and the Sellers have agreed to sell the
Property;

NOW, THEREFORE, for and in consideration of the above and the covenants
herein stipulated, the Sellers have agreed to sell to the Buyers the Property under the
following terms and conditions:

1. Purchase Price - The Sellers agree to sell the Property to the Buyers for and in
consideration of the total sum of __________________ (PHP __________)
PESOS, receipt of which is hereby acknowledged by the Sellers.

2. Taxes and Fees - The capital gains tax due on the Property shall be for the
account of the Sellers. All other taxes, fees or charges due on the sale of the
Property including those which are necessary to transfer title to the Buyers shall
be for the account of the Buyers.

3. Warranties - The Sellers warrant that the Property is free from any liens
or encumbrances and they shall, at their own cost, defend said title against any
claim, suit, demand or adverse interest.
