deployment process. Its services include active as well as passive infrastructure services for wireline

site implementation services, acceptances services, site documentation services, and validation

GTL provides network operations and maintenance services including network monitoring and

HISTORY
GTL Limited’s (GTL) history dates back to 1985 when Manoj Tirodkar and Fritz D.Silva teamed up
to form a partnership firm called Global Telecom.
Global Tele-Systems was incorporated in 1987, in response to the movement towards the deregulation
of the Indian telecom sector that opened up opportunities for manufacturers and distributors of
telecom equipment.
In 1991, Global was converted into a public limited company. In the same year, Global set up branches
in Delhi, Calcutta and Chennai. In the following year, GTL went public.
GTL set up a group company, GTL Electronic Commerce Services Ltd (GECS), to provide value
added services and obtained license from DoT for data related services, in 1993.
Global entered into a joint venture with Broadsystem Multimedia of Australia to start a call
management company in India and shifted its focus from telesolutions to infosolutions and services
in 1997.
In 2001, the company merged with GECS. In the same year, the company acquired two software
companies, Fine Infotech and Thermax Systems & Software. Later in that year, Global changed its
name to GTL Limited.
GTL acquired a stake in Global Assets Holding in 2006. In the same year, the company acquired
Genesis Consultancy, a network management services provider in the telecommunication industry
in the UK. Also in 2006, the company opened a office in Thailand.
In 2007, GTL International, the wholly owned international subsidiary of GTL, acquired ADA Cellworks,
a network planning and optimization player in Asia Pacific. In the same year, GTL International
acquired 100% interest in Strategic Communication Services (SCS), a network deployment company
in North America. Also in 2007, GTL hived off Enterprise Networks and Managed Services business
to Orange Business Services, an arm of France Telecom. Later in that year, the company changed
its financial year end from 31 December to 31 March.
GTL entered into a strategic alliance with Ericsson UK, to offer managed network infrastructure
services to customers in UK and Ireland, in February 2008.
In March 2008, GTL entered into a strategic alliance with Vanu, to address the Shared Active
Infrastructure Services Market in India.
In July 2009, the Board of the company decided to acquire Ada Cellworks Engineering Pvt. Ltd, a
step down wholly owned subsidiary of the company.

Former Deputy Director at Indian Institute of Technology (IIT) Mumbai. Mr. Sahasrabudhe brings to
GTL his visionary role to effect the adoption, implementation and integration of the various
technologies within and outside GTL. He obtained his MSc from Nagpur University in 1964, followed
by MTech, from IIT Bombay in 1966. He received his PhD in 1971 from Leningrad University of the
erstwhile USSR.
Sadanand D Patil
Mr. Patil has been an Independent Senior Director at GTL Limited since 1998. He has more than
21 years across functions like finance, audit, logistics, distribution, customer service, human relations
and administration. Mr. Patil is a Commerce Graduate from the Mumbai University.
Mr. Poddar has been an Independent Director at GTL Limited since 1998. He was previously at
Golden Tobacco Company Limited where he was the President and Director General during his
tenure from 1979 to 1986. Mr. Poddar has experience of over three decades in finance, automobiles,
garment exports, precision engineering and other areas. He has been the Managing Director at Bajaj
Auto Finance Limited since 1987, and holds directorship in several other leading companies. Mr.
Poddar is a Science Graduate and holds a Masters degree in Mechanical Engineering from MIT,

T N V Ayyar
Mr. Ayyar has been an Independent Director at GTL Limited since 2000. He has over 20 years post
qualification experience and has been involved in development and public finance, privatizations
and investment banking in advisory capacity. Mr. Ayyar has spent over four years as a long-term
consultant to projects funded by multilateral and bilateral agencies in over twelve developing countries
around the world. These projects included parastatal review and restructuring, institutionalizing
private sector initiatives for promoting non-conventional energy programs and other development
projects. Mr. Ayyar has participated as an advisor to several state utilities in the power sector in
India and was also a member of the expert committee appointed by the state government for
renegotiating the Dabhol Power Project. He also served on the Boards of several Indian and
multinational companies as a Non Executive Director. These companies include those engaged in
consumer durables, aviation, networking and telecom solutions, power transmission and distribution,
3D animation, agro processing and logistics, software development, asset management, banking
and finance and insurance. Mr. Ayyar is a qualified Chartered Accountant, and has been an
independent financial Consultant involved in corporate finance and investment advisory related
practice.
Shamkant B Navathe
Dr. Navathe has been an Independent Director at GTL Limited since 2001. He currently serves as
a professor at the College of Computing, Georgia Institute of Technology, Atlanta. Dr. Navathe has
worked with IBM and Siemens in research divisions and has been a Consultant to various companies,
including Honeywell, Nixdorf, CCA, ADR, Digital, MCC, Harris, Equifax and Hewlett-Packard. Prior
to his current position, Dr. Navathe was with the Database Systems Research and Development
Center and was a Professor of Computer and Information Sciences at the University of Florida in
Gainesville from 1979 to 1990. He was on the faculty of New York University's Graduate School of
Business Administration from 1975 to 1979 and a system engineer for IBM World Trade Corporation
and Electronic Data Systems. Dr. Navathe is a PhD from the University of Michigan, US and MS in
Computer and Information Science from Ohio State University, Columbus and a BE in Electrical
Communications Engineering from the Indian Institute of Science, Bangalore.
Vinod Sethi
Mr. Sethi has been an Independent Director at GTL Limited since 2001. His earlier assignments
include working with Morgan Stanley as Chief Investment Officer and Portfolio Manager at Morgan
Stanley Asset Management. Mr. Sethi is also the founder of Sethi Capital Inc, a New York-based
private equity firm that would invest in companies of the future. He is currently on the board of several
companies and has international exposure and expertise in financial markets. He is considered an
expert in investment banking. Mr. Sethi is a graduate in Chemical Engineering from IIT, Mumbai and
an MBA in Finance from Stern School of Business, New York University.
Vijay Vij
Mr. Vijay has been an Independent Director at GTL Limited since 2008. He is the Managing Partner
at P. Parekh & Associates, Chartered Accountants, and is an expert in Direct Taxation, Valuations,
Financial Modeling, Business consultancy and M & A. Mr. Vijay has advised several companies on

Environment. He has hands on experience in providing advice on tax efficient entry strategy for
India, transfer pricing and tax treaty implications. He is a Practicing Chartered Accountant and has
an experience of over 18 years in almost every facet of taxation, auditing and consulting profession.
Mr. Vijay is a commerce graduate from Mumbai University and became Chartered Accountant from
ICAI in 1995.
S K Roy
Mr. Roy serves as the Chief Operating Officer at GTL Limited. He has an overall experience of over
25 years. Mr. Roy has over 25 years of experience in business management, Strategic Planning,
Sales and Marketing in IT services, Telecom and System Integration Industries. He has an extensive
experience in management at various positions in GTL. He has been associated with GTL for over
10 years and has been instrumental in staring the ERP practice in GTL. Before GTL, Mr. Roy has
worked with companies like Philips and ATandT. He is an engineer and holds an MBA from IIM C.
L Y Desai
Mr. Desai serves as the Deputy Chief Operating Officer at GTL Limited. He is an industry veteran
with more than 20 years of experience, Mr. Desai has led all the facets of Marketing Strategy, with
emphasis on Business Growth, Industry Leadership, Revenue Growth, Innovation, and Distribution
leadership. He has also been instrumental in handling several critical management positions including,
setting up the North American operations, spearheading the Software & Internet Division of GTL,
Investor relations and corporate communications and has served as a Chief Financial Officer of the
group from 1992 to 1998. Mr. Desai is a Charter Accountant.
H K Gohil
Mr. Gohil serves as the President of Telecom Engineering at GTL Limited. He is a BE in Electronics
and has an experience of over 20 years, having spent his entire career in the telecom and associated
technologies. In a career spanning over 11 years at GTL, Mr. Gohil has held several key leadership
roles including heading the delivery. He has experience in almost all the facets of business ranging
from delivery, business development, pre sales to International business, and enjoys extensive
relationships with global leaders like Ericsson, Nokia, Motorola, Nortel, Alcatel.
Mr. Gandhi serves as the Vice President of Strategic Planning and Investor Relations at GTL Limited.
He is an Electronic Engineer and an MBA, has over a decade of experience in Corporate
Management. Mr. Gandhi brings with him a wealth of experience in Strategic Planning, Investor
Relations, Mergers and Acquisitions and Organizational Restructuring. He acts as an interface
between the various stakeholders and the senior management. His keen acumen, foresight, and
understanding of business environment have helped the company charter its strategy.
Rahul Desai
Mr. Desai serves as the Vice President of Risk Management at GTL Limited. He has over eight years
experience in various corporate functions like Risk Management, Legal, Capital Markets, Investor
Relations, Project Finance, Financial and Economic Modelling, Corporate Strategy and M & A. Mr.
Desai now heads the Risk Management Group since 2001, and has been responsible for setting up
the new division, formulating policies, procedures and plans to help mitigate risks affecting GTL. He
