With reference to the discussions had with the Librarian and Network Manager demonstrating
the VIRTUAL E- Library Solution. We take pleasure in introducing ourselves as one of the
Education startups which is working in the field of providing Digital Learning Solutions to
various Smart Cities, Universities, Schools, Colleges, Public Libraries and Government

Terms & Conditions:

1. Prices: The prices quoted are subject to change without any notice, as and when our Publisher partners
revise the same and is valid for 30 days from the date of this proposal.
2. Payment: 50% in advance along with your Purchase Order and balance on successful completion of
deployment. Purchase Orders would be processed within one week on receipt of order and payment.
3. GST: GST will be applicable at the time of your releasing the payment. 18% GST applicable on e-library
deployment services and 5% GST on e-books.

4. Subscription Period: The quoted price for subscribed e-books is on perpetual model basis.

5. Access: Deployment of e-library will be done in 4-5 weeks. Access to the e-books would be provided
within one week on receipt of confirmed order and payment. The access would be IP authenticated or
ID/Password based. For IP based access please provides the IP address of your institute’s server. The access
is for limited concurrent users in a single campus. The access will be continuous except for the days of
maintenance of publisher’s main server. The usage statistics will be sent on request at the end of the
subscription period.

6. Cancellation: Orders once placed cannot be cancelled. A cancellation request would be accepted only if
the Publisher agrees to cancel the order. All refunds due to cancellations if any, would be refunded to the
client only after the publishers agree for cancellation and Digibook Technologies Pvt. Ltd receives the
refund from the Publishers.

7. License Agreement: Mutual license agreement will be signed with us to commence access to the
subscribed e-books.

8. Personalisation: Customisation features shall be charges extra as applicable.

9. AMC & Cloud Hosting Charges: Deployment of E-Library and e-books contents will be hosted on
Cloud. Hence renewal charges will be applicable only for e-library platform services @ 15% of order
value.
