ESCROW AGREEMENT

This escrow agreement is made and entered into on March 20, 2020 between Shelly Tomliso
(Seller) and Emma Powell (Purchaser), collectively known as the “Parties..

The Seller and Purchaser have expressed an interest to enter into this escrow agreement for
the sale and purchase of the item - 2015 CAT 257D Track Skid Steer Loader - located at 610
Lohwest Ln, Billings, MT 59106, Storage Facility number 1.

The Parties have appointed JMK Logistics LLC located at 610 Lohwest Ln, Billings, MT 59106, US
(Escrow Agent) to hold $12,600.00 accordance with the terms and conditions of the escrow
agreement, listed below.

The Seller and Purchaser have agreed to appoint the Escrow Agent to hold the above amount
for the term of this agreement.

Furthermore, the Escrow Agent is willing and able to accept such responsibilities as well as act
in compliance with this escrow agreement in its entirety.

In the instance any disagreement shall arise, the Parties agree the Escrow Agent shall not be
held liable for any costs, damages, or losses that may arise from duties performed.

Furthermore, unless written permission has been received from the Parties by the Escrow
Agent then no releases or disbursements shall be made.

If such disagreement between the Seller and Purchaser does occur the Escrow Agent will have
the right to be discharged from this agreement by turning all agreements and documentation
over to the jurisdiction responsible for this agreement.

Any and all costs to the Escrow Agent from such proceedings shall be the responsibility of the
Seller.

This agreement is for the benefit of the Escrow Agent, Seller and Purchaser.

Furthermore, all parties agree there are no beneficial results for any third parties nor will third
parties be involved in any decisions for this escrow agreement.

All funds received with regard to this escrow agreement shall be deposited into a escrow
account.

The Escrow Agent will not be permitted to combine personal accounts with the escrow funds at
any time during the period of this escrow agreement.

The Escrow Agent will hold any notifications and instructions they may receive as valid without
the requirement to investigate or question the sender.

Escrow Guarantee Policy

1. Buyer and seller agree to terms

Both parties agree to terms and conditions of the transaction, which includes a description of
the item, sale price and number of days for the buyer's inspection of the item. Seller warrants,
covenants and agrees that the Seller is the sole owner of the item, that the Seller has good and
marketable title to the item, and that the item is free and clear of all liens, encumbrances,
mortgages and debts of any nature whatsoever.

2. Buyer Pays JMK Logistics LLC

The buyer submits payment using the payment instructions above. Processing time for
payments is less than 48 hours..

3. JMK Logistics LLC ships the item

Upon payment verification, JMK Logistics LLC starts the shipping process. JMK Logistics LLC
verifies that the buyer receives the item. The inspection period begins once the item is
delivered.

To protect you against the risk of liability, JMK Logistics LLC holds the buyer's funds pursuant to
the terms of the JMK Logistics LLC Purchase Protection Program Policy, and any other
agreement entered JMK Logistics LLC and its customers. When payment is received, it will be
verified and secured into a non-interest bearing trust account. After payment is secured, JMK
Logistics LLC ships the item to the buyer.

JMK Logistics LLC Payment Guarantee Policy is a unique benefit that offers you protection from
unwarranted refunds, allowing you to accept more high risk orders. For all eligible transactions,
we will completely reimburse you for any refunds resulting from claims of unauthorized
purchases and non-receipt of goods.

Protection and Refund

Once the item is delivered, the buyer has a five ( 5 ) days inspection period. After the inspection
period is over, the buyer will contact JMK Logistics LLC with the results of the inspection. If, for
any reason, the item does not pass the Purchaser's inspection, it will be returned to the seller,
on seller's expense and the funds will be returned to the buyer, in full in within 24 hours

For safety reasons the payment details will be dealt with the utmost security and will not be
handed to any third parties. JMK Logistics LLC will be in full control of the funds as soon as it
reaches our trust fund account, so we will be able to protect and guarantee your funds. Once
the funds have been sent to our trust fund account, no one but the Purchaser will have access
to it.

Liabilities

Under the following circumstances the Escrow Agent shall not be held liable or found at fault,

 For any omission or error by a party other than the Escrow Agent themselves.

 Any loss of funds directly related to the suspension, insolvency, or failure of the funds or
the bank themselves.

 Any legal proceedings between the Purchaser and Seller

 Any and all interest accrued during the term of this Escrow Agreement shall be property
of the Purchaser and shall be disbursed as so.
