Subcontractor Agreement

This contract provides the terms and conditions for the provision of services
to .................. (“the Contractor”) by .................. (“the Subcontractor”).

1. The Services

1.1 All Work of the Subcontractor will be performed in a good and workmanlike
manner in accordance with the plans and specifications for each job and must
comply with all Federal and State laws, codes and regulations and all county and/or
municipal ordinances and regulations effective where the work is to be performed
under this contract. All permits, fees, taxes, and expenses connected with such
compliance are to be paid by the Subcontractor.

2. Provision and Acceptance of Services

2.1 The subcontractor has no obligation on the parties to accept work from the
Contractor.

2.2 The Contractor is under no duty or obligation to provide the Subcontractor with
work at any time or of any nature other than that provided for under this
Agreement.

2.3 The Subcontractor is under no duty or obligation to accept any offer of work
received from the Contractor other than that provided for under this Agreement.

2.4 The Contractor is entitled to offer work to, and engage the services of, any other
sole trader, partnership, firm or Contractor who provides the same or similar
Services as the Subcontractor.

2.5 The Subcontractor is entitled to accept and carry out its Services for any other
sole trader, partnership, firm or Contractor, except where to do so would
detrimentally affect the Subcontractor’s ability to provide Services to the
Contractor as agreed under this Agreement.

3. Invoicing and Payment (including taxation)

3.1 The Subcontractor will provide a weekly invoice with all the works carried out for
the week which just finished and the invoice issued by the Subcontractor will be
sent to the Contractor in within maximum 3 days after the period agreed.
3.2 Invoices not received by the stated time will be processed and paid in the next
pay period. Invoices in question will be held in their entirety until the disputed
charge is resolved. Payment for a disputed charge may be held from the
Subcontractor’s total payment regardless of the specific project in dispute.
3.3 The Contractor will do the payment to the Subcontractor by bank transfer, on
Friday, as per the approved information given.
3.4 The Parties agree that the Subcontractor is responsible for payment of any taxes
or national insurance arising from the performance of, and remuneration for, the
Services.
3.5 The Subcontractor agrees that it will indemnify the Contractor in respect of all
liability for taxes and National Insurance contributions including, but not limited
to, Income Tax, Corporation Tax and Capital Gains Tax arising out of the
performance of the Services.

4. Health and Safety

4.1 Subcontractor agrees to exercise all precautions necessary to prevent accidents


to himself, his workers, and all others. If applicable Subcontractor shall supply at
his own expense all protective eyewear, ear protection, head protection, etc. to
his workers.
4.2 The Subcontractor will at his own expense comply with all specific health and
safety requirements of the Federal Occupational Safety and Health Act,
Tennessee Occupational Safety and Health Act, and any other applicable
authority. The Subcontractor also agrees to defend at his own expense and be
responsible for penalties of any nature assessed by such agencies for non-
compliance by himself or his employees or agents. Subcontractor agrees that he
and all his employees have undergone proper safety training and have been
properly trained and educated with regard to any hazardous material used in
conjunction with the trade as required by the State or Federal law or as mutually
agreed to by both parties.

4.3 Any hazardous materials, containers, or waste shall not be left on the job by the
Subcontractor and shall be removed from the job site and disposed of properly at
the Subcontractor’s own expense.

5. Independent contractors
9.1 The Contractor and Subcontractor are contractors independent of each other,
and neither has the authority to bind the other to any third party or act in any
way as the representative of the other, unless expressly agreed to in writing by
both parties.

6. Entire agreement

6.1 This Agreement constitutes the entire agreement of the parties and supersedes
all prior communications, understandings and agreements relating to the subject
matter hereof, whether oral or written.

7. Notices

7.1 All notices and other communications provided for in this Agreement and any
associated document shall be in writing and shall be delivered by post, fax, email
or hand to an authorised representative, to the address, fax or email shown in
the Contract Information at the end of this Agreement.

7.2 Any notices served shall be deemed to be effective on actual receipt by the
receiving Party, who shall acknowledge receipt within two working days of the
date of receipt.

8. Jurisdiction

8.1 This Agreement shall be construed in accordance with English Law and the Courts
of England and Wales shall have exclusive jurisdiction in so far as any matter
arising from this Agreement is required to be referred to a court of law.
