Dear Sir,

This has reference to the subject matter & your e-mail dated on 25th November, 2
010 & 2nd December,2010. We are pleased to place amended Purchase Order for supp
ly, â SINORIX 1230 FIRE SUPPRESSION SYSTEMâ for Sabarmati Gas Ltd (SGL), Gandhinagar und
r the following term & conditions.However the earlier issued PO No SGL/HSE/2010-
11/008 dated 24th Sept 2010 shall stand cancelled.
1. Scope of Work
The broad scope of work for the M/S Siemens Building Technology Pvt. Ltd, hereaf
ter called CONTRACTOR shall be follows â
Contractor shall execute the complete work of Gas (SINORIX 1230) based FIRE SUPP
RESSION SYSTEM which includes supply of Fire Suppression System at site and one
year maintenance/warranty service on turnkey basis. The material to be supplied
shall be as per the equipment/material specified in annexure-1.
2. Work Commencement
The Work commencement shall be with immediate effect after receipt and acceptanc
e of this Purchase Order.
3. Period of Contract
This Purchase Order shall be in force for a period of One & Half month (i.e. up
to 15th January, 2010) from the date of this Purchase Order.

4. Contract Value
Total Value of the Contract for purchase of equipments mention in SOR are Rs.2,1
1,760 /- Including all Taxes, as per details provided in the Schedule of Rates a
ttached in Annexure-1 of this order,however payment shall be made against actual
supplied materials as per SOR attached in Annexure -1.
Rates mentioned in Annexure â 1 shall remain firm till the completion of Work and th
roughout the period mentioned above.
5. Transportation:
All transportation and conveyance charges shall be in the scope of contractor an
d no extra payment shall be paid to Contractor by SGL.
6. Taxes:
All applicable taxes as actual shall be paid by SGL. â C formâ shall be provided by SGL.
7. Warranty Terms:
Warranty on the products shall be valid up to 12 months from commissioning date.
8. Payment Terms
a. Advance:
10% of the contract value shall be paid as advance against an unconditional acce
ptance of the order, and raising the Performa Invoice and submission of a bank g
uarantee from scheduled bank for the like amount valid till the end of the compl
etion period by the Supplier/Contractor
b. Against delivery of Materials
70% of the contract price on pro-rata basis against safe receipt of complete equ
ipment and accessories at Site.
c. Against Completion of all Installation Work:
10% of the contract price on pro-rata basis after satisfactory completion of ins
tallation Work.
9. Final Payment:
Final 10% of the contract value, on completion of trial runs and commissioning
of the complete system, against the final bill, accompanied by a bank guarantee
for the 10% of the total certified bill value from a scheduled bank valid till t
he end of the defect liability period
10. Performance Bank Guarantee:
Performance Bank Guarantee (PBG) shall be 10% of the total certified bill value.
The validity of PBG shall start from the date of certification of final bill by
SGL. The validity of the PBG shall be till the end of Defects Liability Period.
The defect liability period is One year from the certification date of final bi
ll by SGL
11. Insurance:
The Contractor will insure the entire equipment and materials for transit/storag
e during erection up to commissioning against any losses, damages due to fire, e
arth-quake, war, floods, insurrections etc. No claim will be admissible on this
account, including third party insurance.
12. Health , Safety & Environment:
It will be Contractorâ s responsibility to acquaint his site staff operative all curr
ent safety legislation & statutory requirements .
Contractor will ensure that their staffs have proper and adequate PPEs & tools.
13. Termination:
SGL shall be at liberty to terminate this Contract at its will at any time durin
g the term of this Contact by giving a notice of Seven (07) days. Upon receipt o
f notice to termination the Contractor shall at once stop all the Work at site a
nd shall leave the site within fifteen (07) days.
All the pending bills/invoices for the Work done up to the time of termination s
hall be paid by SGL. If there is any pending dispute on the invoices/Work comple
ted by the Contractor then the same shall be decided by arbitration.
14. Arbitration:
Any dispute, disagreement or question arising Out of or relating to or in conseq
uence of the agreement of fulfillment or the validity of enforcement thereof whi
ch cannot be settled mutually, within thirty days (or such longer period as may
be mutually agreed upon) from the date that either party inform the other in wri
ting that such dispute or disagreement exists and that be settled through arbitr
ation in accordance with the procedure laid down by Arbitration and Conciliation
Act 1996 as may be amended from time to time. The award passed by the Arbitrato
r shall be final and binding on the parties and shall not be subject to revision
or appeal. The venue of the arbitration shall be Ahmedabad//Gandhinagar and cou
rts at Ahmedabad / Gandhinagar shall have exclusive jurisdiction.
15. Contract Labour Act & Minimum Wages Act:
Contractor shall ensure that all formalities like obtaining all permissions and
licenses not limited to but including the contract labour license etc. as requir
ed by law are fulfilled by him at appropriate stipulated times. Contractor shall
be responsible for all legal liabilities concerning the labour employed by him
at site. The Contractor shall comply with all the statues and legislation includ
ing but not limited to Payment of wages, Minimum wages etc. relating to labourer
s/workers. The Contractor shall
