proportion as mentioned in GCC for corresponding value of work under a particular phase.
The bidders will suitably plan and steer the processes, so that the construction activities
could progress faster, so as to facilitate building's completion in a phased manner as per
above.

2. During construction as mentioned above Phasing of the building shall be done with 18 M
High barricading to separate the building under construction with Completed building.
The barricading of 18-meter height along from road side and outer boundary the· periphery of

the project site shall be constructed by contractor as per direction by Engineer-in-charge.The
barricading constructed and shall be aesthetically maintained by regular cleaning and painting
by the contractor as directed by the Engineer-in-charge. The expenditure Incurred for
barricading and maintenance of barricading shall be borne by the contractor.

3. The bidder shall have In-house design capabilities to provide the required
specialized services as per the scope of work. In case, the in-house design capabilities
are not available, then the bidder shall enter into in an agreement with a specialized
design consultant who has requisite credentials & shall be appointed after approval of
Engineer-in-charge. zyxwvutsrqponmlkjihgfedcbaZYXWVUTSRQPONMLKJIHGFEDCBA
The bidder, within 7 days of award of work, shall submit details of
such in house design capabilities or details of the design consultant proposed to be
engaged by 'the bidder along with requisite credentials.

4. Maintenance during defect liability Period is included in the scope of bidder. The
period of one year for maintenance shall be started after handing over of project as a
whole to the client.

5. Bidders are required to use standard software for project management, ensuring
successful commissioning of project. Bidder will also implement contract management
and project management through standard mutually agreed software etc and will also
provide customized dashboard in MoH&FW/NBCC in format approved by
MoH&FW/NBCC for facilitating project monitoring.

6. One IT engineer & Biomedical Engineers shall be deployed by bidder for this project
up defect liability period.
7. 10 years warranty/CM( (5 years warranty followed by 5 years CMC) support for complete
equipment systems with back to back similar warranty CMC support commitment from
OEM for major components of MGPS and MOT systems.

8. (a) After award of work, the Contractor, under its own expenses, shall appoint proof
check consultants (the "Proof Consultants") for Structures, MEP works and Medical
Planning after proposing to the. Architectural Consultant & NBCC a panel of three
names of qualified and experienced firms from whom the Architectural Consultant &
NBCC may choose one to be the Proof Consultant. Provided, however, that if the
panel is not acceptable to the Architectural Consultant & NBCC and the reasons for the
same are furnished to the Contractor, the Contactor shall propose to the Architectural
Consultant & NBCC a revised panel of three names from the firms empaneled as proof
consultants by the Architectural Consultant & NBCC for obtaining the consent of the
Architectural Consultant & NBCC. The Contractor shall also obtain the consent of

professor should have preferably been on board/ex-member of MCI for granting


approval to various medical colleges in the past seven years.

The Architectural Consultant &. NBCC shall, within 15 (fifteen) days of receiving a
proposal from the Contractor hereunder, convey its decision, with reasons, to the
Contractor, and if no such decision is conveyed within the said period, the Contractor

AMENDMENT TO GCC

The following are the amendments to General Conditions of Contract: -


Instructions to Tenderer(ITI)

9. Clause-1( Modified as under):


NBCC invites tenders on Design, Engineering, procurements & Constructions (EPC) basis open e-
tender from eligible contractors, for Construction of All India Institute of Medical Sciences At
Kothipura, District Bilaspur (Himachal Pradesh)".

10. Clause-21.2 ( Modified as under):


The efforts will be made by the NBCC to handover the site to the Contractor free of encumbrances.
However, in case of any delay in handing over of the site to the Contractor on account of any
reasons whatsoever like (Including but not limited to) non vacation of land, none receipt of any
approval /NOC from any statuary body (Obtaining approval of which are excluded from
contractor's scope) etc, then NBCC shall only consider suitable extension of time for the execution
of the work. It should be clearly understood that the contractor will not be entitled for any extra
claim on such account and NBCC shall not consider any revision in contract price or any other
compensation whatsoever. The contractor shall be responsible to obtain statuary approval for
commencement of work from all statuary authority/Departments

11. Clause-22 "Scope of works":

This clause is replace in entirely with scope of work mentioned in tender documents.

12. Clause-25 'Order of Precedence of Documents':

This Clause is entirely replaced from the following Clause as under: -

In case of difference, contradiction, discrepancy, with regard to conditions of contract,

v) Should this tender be accepted, I/We agree to abide by and fulfill all terms and conditions
referred to above and as contained in tender documents elsewhere and in default thereof, to
forfeit and pay NBCC, or its successors or its authorized nominees such sums of money as are
stipulated in the notic.e inviting tenders and tender documents.

vi) If I/we fail to commence the work within 10 days of the date of issue of Letter of Award
and/or I/we fail to sign the agreement as per Clause 82 of Clauses of Contract and/or I/we
fail to submit performance guarantee as per Clause 02 of Clauses of Contract, I/we agree
that NBCC shall, without prejudice to any other right or remedy, be at liberty to cancel the
Letter of Award and to forfeit the said earnest money as specified above.

Clauses of Contract (CC)

14. Clause-1.0 'Definitions'

The following definition is added, as under:

i) Execution shall mean carrying out /cause to carry out every work by the contractor so as to fulfil
his contractual obligation as per his Scope of Work commencing from the issue of Letter of Award
including {but not limited to) Design, preparation of Drawings, Construction activities, approval
processes etc. till completion/handing over of work also including Defects liability period &
maintenance.
ii) Empl':)yer/NBCC: shall means NBCC India Limited.
iii) Employer's Engineer shall means Engineer-In-charge of NBCC
iv) Project Manager shall means representative of Engineer-In-charge of NBCC
v) Bidder/Agency shall means contractor
vi) The.words Tenderer, Bidder, Applicant shall have the same meaning.

15. Clause -6 " Deviation/Variation extent and pricing


The clause is replace as under.

The Engineer-in-Charge shall have power (i) to make any alterations in, omissions from, additions
to or substitutions for, the original specifications, drawings, designs and instructions that may
appear to him to be necessary or advisable during the progress of the work and (ii) to omit part
· of the works in case of non-availability of a portion of the site or for any other reasons and the
contractor shall be bound to carry out the works in accordance with any instructions given to him
in writing signed by the Engineer-in-Charge and such alterations, omissions, additions, or
substitutions shall form part of the contract as if originally provided therein and any altered,
additions or substituted works which the contractor may be directed to do in the manner specified
above as part of the work, shall be carried out by the contractor on the same conditions in all
respects including price on which he agreed to do the main work except as hereunder provided:

(b) 25% of the time calculated in (i) above or such further additional time as may be considered
reasonable by the Engineer-in-Charge ..

(ii) In the case of extra item(s), (items that are completely new, and are in addition to the items
contained in the contract) the contractor may within fifteen days of receipt of order or occurrence
of the item(s) claim rates, supported by proper analysis, for the work and the engineer-in-charge
shall within prescribed time limit of the receipt of the claims supported by analysis, after giving
consideration to the analysis of the rates submitted by the contractor, determine the rates on the
basis of the market rates and the contractor shall be paid in accordance with the rates so
determined.

(iii) Any operational incidental to or necessarily has to-be in contemplation of tenderer while filing
tender,or necessary for proper execution of the items included in the financial bid and schedule
of payments whether or not specifically indicated in the description of the item and the relevant
specifications shall be deemed to be included in the rate quoted by the tenderer or the rate given
in the said schedule of rates as the case may be . Nothing extra shall be admissible for such
operations.
(iv) In the case of substituted items (items that are taken up with partial substitution or in lieu of
items of work in the contract), the rate for the agreement item (to be substituted) and substituted
· item shall also be determined in the manner as mentioned in the following para:

(a) If the market rate for the substituted item so determined is more than the market rate of
agreement item (to be substituted), the rate payable to the contractor for the substituted item
shall be the rate for the agreement item (to be substituted) so increased to the extent of the
difference between the market rates of substituted item and the agreement item (to be
substituted).
(b) If the market rate for the substituted item so determined is less than the market rate of the
agreement (to be substituted), the rate payable to the contractor for the substituted item shall be
the rate for the agreement item (to be substituted) so decreased to the extent of the difference
between the market rates of substituted item and the agreement item (to be substituted)

(v) Market Rates to be determined as per various sub-clauses under the clause 15 of sec shall be
on the basis of Prevailing rates of Material (unless mentioned other wise), Relevant Labour
authority rate for Labour, market rates of T&P etc. plus 15% towards Contractors' Profits and
Overheads.

The following factors may be considered in the justification of rates on which Contractor's overhead
& profit shall not be applicable:
a)Buildings and Other Construction Worker Cess as applicable in the state of work place.
b) EPF (Employer Contribution) component, as per EPF act on the portion of labour's wages
c) GST on works contract zyxwvutsrqponmlkjihgfedcbaZYXWVUTSRQPONMLKJIHG

16. Clause-16 'Time Essence of Contract & Extension for Delay'

The following is added to Clause 16:

A) Within 10 (Ten) days of the. iss_ue of LOA, the Contractor shall submit to the Employer and the

Employer's Engineer a program (the "Program") for the Works, developed


techniques giving the following details:

Part I: Contractor's organization for the Project, the general methods and arrangements

and construction, environmental management plan, including design quality plan, and sa

covering safety of users and workers during construction, Contractor's key personnel and

equipment:

Part. II: Quality Assurance, Monitoring and Supervision system mechanism and records and

documents, Methodology Monthly Progress Report Test

Part Ill: The program for completion of all major stages and project mile stone of the work as

specified in project completion schedule. The program is required format such as MS project or

other software as specified in the bid/ tender document shall include:

(i) The order in which the contractor intend to carry out the work including the anticipated

tim of each stage of design and major stage of works.

(ii) The period of review

(iii) The sequence and timing of inspection and test specified in the contract. The contractor

shall submit a revised program whenever the previous program is inconsistent with the

actual progress or with the contractors obligations.

B) zyxwvutsrqponmlkjihgfedcbaZYXWVUTSRQPONMLKJIHGFEDCBA
Mile stone:

The Tentative milestone for the execution of the project is given as under; however, the

contractor shall finalize the milestone in consultation with the Engineering in charge (EiC} after

award of the work without changing the project duration(phase wise). The decision of EiC shall

be final and binding on the contractor in this regard. The Contractor has to achieve the agreed

milestone during the execution of this contract. Failure to achieve these milestones shall invite

withholding of appropriate amount from the Running Account bill. The withheld amount against

the n.on-achievement of any milestone can be released if delay is covered and subsequent
milestone is achieved.

The amount withheld against the non-achievement of milestone shall be adjusted against

Liquidated Damages (LD)/compensation for delay, if any levied on final completion. ·If Extension

of Time is granted without any LO, the· withheld amount shall be released to the contractor.

However, the decision of NBCC shall be final and binding in this matter.

The above time lines are outer limit for achievement of milestones. However bidder has to ensure
the milestones, according to phase wise completion schedule for various components as

17. Clause No.23.0 'Payments' Sub-Clause 23.1

The sub-clause 23.1 of the GCC pertaining to "Payments" is entirely replaced and shall be read as
under:

ii) The Contractor shall base its claim for interim payment for the work executed till the end of the

month. for which the payment is claimed, supported with necessary particulars and documents in

. accordance with this Agreement. The basis of payment on "Pro rata basis" shall be worked out on

the percentage of work done of total scope of work under their activity/item for the respective Cost
Centre.

iii) The proportion assigned to an item will apply only to the Awarded Contract Price. It shall not apply

to any additions or reductions to the Contract Price arising from the issue of any Change of Scope

Order. A Change of Scope Order shall specify the stages of interim payments for the works covered
by such order.

iv) The Contractor shall submit a statement (the "Stage Payment Statement"), in 3 copies, by the 7th

(seventh) day of each month (statement for the previous .month) to the Employer's Engineer in the

. form as directed, showing the amount calculated to which the Contractor considers himself entitled

for work executed under their a_ctivity/item for the respective Cost Centre. The Stage Payment

Statement shall be accompanied with the progress reports, at least two set of twenty photographs

and any other supporting documents & with the satisfaction of Engineer-in-charge.

v) Within 7 (seven) days of receipt of the Stage Payment Statement from the Contractor, the
Engineer-in-charge shall broadly determine the amount due to the Contractor and recommend the
release of 75% (seventy five) percent of the amount so determined as part payment against the
Stage Payment Statement, pending issue of the Interim Payment Certificate (the "IPC") by the
Engineer.-in-charge. In case of discrepancy or for want of correction in the bill submitted by
contractor is returned back to the contractor, then time of 7 days will be considered from
submission of bill after attending observations of the Engineer-in-charge. Within 7 (seven) days of
the receipt of recommendation of the Engineer-in-charge, the Employer shall make payment to the
contractor through electronic payment directly to the Contractor's bank account.

vi) Within 14 (fourteen) days of the receipt of the Stage Payment Statement, the Engineer-in-charge
shall determine the amount due and payable to the Contractor, after adjusting the payments
already released to the Contractor against the said statement. In cases where there is a difference
of opinion as to the value of any stage, the Engineer-in-charge's view shall prevail.

vii) Balance payment against IPC shall be made to contractor by the Employer within 28 (twenty eight)
days of submission of Stage Payment Statement to the Engineer-incharge. Payment by the
Employer shall not be deemed to indicate the Employer's acceptance, approval, consent or
satisfaction with the work done.

certificate and shall not by itself be conclusive evidence that any work or materials 'to which it
relates is/are in accordance with the contr~ct and specifications. Any such interim payment, or any
part thereof shall not in any respect conclude, determine or affect in any way powers of the
Engineer-in-charge under the contract or any of such payments be treated as final settlement and
adjustment of accounts or in any way vary or affect the contract. zyxwvutsrqponmlkjihgfedcbaZYXWVUTS

(B) Final Bill Payment:

(i) Within 60 (Sixty) days after receiving of the Completion Certificates and upon completion of all
incomplete and outstanding works, the Contractor shall submit to the " Engineer-in-charge for
consideration six copies of a Final Payment Statement (the "Final Payment Statement") for Works,
with supporting documents showing in detail, in the form prescribed by the Engineer-in-charge

a) the summary of Contractor's Stage Payment bills for Works


b) the amounts received from the Employer against each bill; and
c) any further sums which the Contractor considers due to it from the Employer.

If the Engineer-in-charge disagrees with or cannot verify any part of the Final Payment Statement,
the Contractor shall submit such further information as the Engineer-incharge may reasonably
require. The Engineer-in-charge shall deliver to the Employer:

(a) an IPC for those parts of the Final Payment Statement which are not in dispute, along with a list
of disputed itemswhich shall then be settled in accordance with the provisions of contract; or
{b) a Final Payment Certificate if there are no disputed items.
( C) Final Payment Certificate:

(i)Within 90 (Ninety) days after receipt of the Final Payment Statement for Works, and the written
discharge, and there being no disputed items of claim, the Engineer-in-charge shall deliver to the
Employer, with a copy to the Contractor, a final payment certificate {the "Final Payment
Certificate") stating

a) the amount which, in the opinion of the Engineer-in-charge, is finally due under this Agreement or
otherwise; and

b) after giving credit to the Employer for all amounts previously paid by the Employer and for all
sums to which the Employer is entitled, the balance, if any, due from the Employer to the
Contractor or from the Contractor to the Employer as the case may be.
[ii) The Employer shall pay to the Contractor the amount which is finally due, less all amounts
previously paid by the Employer and any deductions for the amounts the Employer considers itself to
be entitled jn accordance with this Agreement, and shall provide the particulars thereof to the
Contractor.
(iii) Payment against Final Payment Certificate shall be made not later than 60 (sixty) days from the
date of issue of the Final Payment Certificate for Works.

b) If any part or item of the work is allowed to be carried out by a subcontractor, assignee or any
subsidiary or allied firm, the Engineer-in-charge shall have power to secure the books of such sub-
contractor, assignee or any subsidiary or allied firm through the Contractor, and shall have power to
examine and inspect the same. The above obligations are without prejudice to the obligations of the
Contractor under any statute,rules or order zyxwvutsrqponmlkjihgfedcbaZYXWVUTSRQPONMLKJIH

18. Clause No. 32.0 'Mobilization of Men, Materials and Machinery'


Sub-Clause No. 32.6
The Sub-Clause No. 32.6 is entirely replaced with the following Sub-Clause as under:-
The Preparation of design/dra"'-'.ing.s & bill of quantities (of his stated scope of work) etc.: Bar Bending
Schedule, Shop & Fabrication drawings for a·11 work shall be supplied by the contractor as per agreed
schedule/ as the work progresses. However, it shall be the duty and responsibility of the contractor to
bring to the notice of the NBCC in writing as to any variation, discrepancy or any other changes
required in Drawing, design etc. whether of NBCC's Scope or Contractor's Scope of work and to
obtain/prepare (as· the case may be) revised drawings and designs and/ or approval of the NBCC in
writing for the same.

19. Clause No, 51.0'Schedule of Quantities/ Bill of Quantities:' Deleted.

20. The contractor shall have to obtain all Approvals including Connections/ NOCs/ Completion
Certificates/ Occupancy Certificate, etc from the concerned Local/Statutory authorities for Sewerage
works, Water Supply works, Fire Fighting work, Fire Alarm system work, DG set /pollution
clrearance, lift, Forrest etc. at his own cost and nothing extra other than statutory fee/charges shall
be payable on this account to the contractor. However, the letters required from the owner for the
needful stated purposes will be arranged by NBCC from the owner as per the request of contractor
along with the statutory charges/fee demanded by the local/statutory authorities.
