The Scope of work, Terms & conditions are as follows:

Scope of work and deliverables for the Civil & Structural Engineering Services will be defined under
the following stages.

1. Concept Design Stage.


2. Schematic Design Stage.
3. Design Development Stage.
4. Detailed Design & Construction Documentation.
5. Construction Stage.

1. CONCEPT DESIGN STAGE:

a) To develop appropriate alternatives and structural concepts, including preliminary structural


types and forms, ground retention systems (if required), construction, / techniques, grid
layouts, and the indicative positioning of critical members.

b) Prepare the Concept drawings and Preliminary Sketch drawings based on chosen alternative.

c) Review the design with the Architect and QS and make any concept changes to obtain the
most cost effective design.

d) Review the Soil Report and make suggestions as required. Liaise and coordinate with other
consultants for the project.

e) To Attend Concept Design meetings with Architect & other Specialist Consultants to agree
concept design, design criteria and structural framing.

2. SCHEMATIC DESIGN STAGE :

a) Based on selected conceptual structural design solution, establish member sizes.

b) The Consultant shall prepare and submit final Design Basis Report.

c) Co-ordinate with Architect, other Service Consultants and the Municipal Architect employed
by the Client to ensure that all the deliverables are in line with the required bylaws and
develop the Municipal Drawings required for submission.

d) The Consultant shall provide soft copies and 5 hard copies of all deliverables.
e) The Structural Consultant shall comply the Owners instructions regarding the requirements
of the Project as a whole.

3. DESIGN DEVELOPMENT STAGE:

a) Develop design drawings based on the architectural drawings received.

b) Prepare typical drawings with main structural framing members, with reinforcing quantities
identified for typical members. (General Assembly GA drawings).

c) Preparation of framing plans and column schedules giving sizes of all structures members.
d) Schematic Column / wall foundation layout showing piles / raft / retaining walls.

e) Submission of all structural and civil design documentation as required for local authority for
building permits.

f) The Consultant shall provide soft copies and 5 hard copies of all deliverables.

g) Attend all Design Coordination Meetings with other Specialist Consultants.

4. DETAILED DESIGN AND DOCUMENTATION STAGE:

a) On approval of the Architectural drawings by the Client, updation of Design and proceeding
with Tender Drawings.
b) Complete detailed design and working drawings for civil and structural works.

c) The Consultant shall Issue 6 sets of Construction drawings.

5. CONSTRUCTION STAGE
i. Respond to any design queries raised by Contractor / Client.
ii. Attend relevant site meetings and make other periodic visits to the site as appropriate to the
stage of construction.

iii. To check contractor’s temporary works shop drawings, material submissions and also assist
for shuttering design.

iv. Maintaining upto date set of design drawings incorporating any changes and to be made
available to us.

v. Review testing proposals and inspection duties with our Project Manager who will witness
and approve tests, reject or approve construction.

vi. Review and approve all construction materials to ensure adherence to design.

vii. The Structural Consultant shall during the construction stage advice and consult with the
owner. The Structural Consultant shall visit as on required basis.
viii. The Structural Consultants shall at all times have access to work whether work is in
preparation or progress for Owners authorized officials.

ix. Based on site visits, to prepare list of defects for all trades and issue to and check rectification
by the contractor.
x. Issue structural Stability Certificate in the prescribed format.
xi. Issue 5 sets of as-built Structural drawings.

6. BASIS OF REMUMERATION:

a) The Owner shall compensate the Structural consultants for the Services provided in
accordance with the above mentioned clauses by way of payments as follows.

b) We shall pay the fees at Rs. 25/- per Sq.ft. of construction built-up area. The approximate
construction area of the project is 10,000.00 Sq.ft.

c) TAXES : Service Tax will be paid extra as applicable.

d) We shall be deducting applicable TDS from your bill and TDS Certificate will be issued to
you after completion of Financial Year. You will provide us with a copy of PAN & Service
Tax registration copy along with your 1st bill or before.

7. SCHEDULE OF PAYMENTS:-

Payment shall be made after 21 days on receiving of bills from you at the following stages of the
project as per given below schedule.

8. TERMINATION OF WORK ORDER :

a) This work order may be terminated by either party upon 30 days notices, should the other
party fail to perform in accordance with each term through no fault of the party initiating the
termination.

b) This work order may be terminated by the owner upon at last 30 days written notice to the
Structural consultant in the event that the project is abandoned.

c) Upon termination of the consultants appointment by virtue of any provision in the contract
the consultant shall be paid balance of the fee for work actually completed upto the date of
Termination without prejudice to any other rights that may have accrued to either party
against each other.

Concurrent with Consultants receipt of such payment, Consultant shall deliver to owner:

d) A written release & waiver of all the claims against owner & its affiliate.

9. MISCELLANEOUS PROVISIONS:

a) All record and documents of the Structural consultant; or its associates, which could be
subject to audit, should be retained for a minimum period of 5 years.

b) The owner has right to use Consultants name, Logo, etc. in brochures, application to statutory
bodies and advertisements.

10. SUCCESSOR AND ASSIGNS :


Neither the owner nor the Structural consultant shall assign or transfer any interest in this work
order without the prior written consent of the other.

11. EXTENT OF WORK ORDER:


This work order may be amended only by the written instruments signed by both Client and
Structural consultant. In witness where of the parties above named have executed the work order,
in the presence of witness attesting here under:

12. FORCE MAJEURE :


Neither party shall be held to be in breach of the terms to this Contract if it is prevented from
performing its obligations by reason of force majeure including but not limited to flood,
earthquakes, storms, typhoons, blockade, war, acts of God, Governmental order, Government
restrictions, strikes (i.e. national / state or city), lockouts, riots or other civil commotion, war, or
requirements of the governments or military authorities in any state or by other causes beyond its
control, provided that notice is given to the other party as soon as possible of the occurrence of
the aforesaid events, and either party may treat this contract as terminated should the aforesaid
events continue for a period exceeding three months or such other period as the parties may
agree.

13. LIENS :
The Structural Consultant represents that the services, other work contemplated hereunder, shall
be performed, finished and delivered to the Client free form all claims, liens and charges of any
kind. If at any time, there should be evidence or any lien or claim for which the client might have
become liable and which is chargeable to the Structural Consultant, the Client shall have the right

to retain out of any payment then due or thereafter to become due an amount sufficient to
completely indemnify the Client against Such lien or claim and if such lien or claim be valid the
Client may pay and discharge the same and deduct the amount so paid form any money, which
may be or may become due and payable to the Structural Consultant. If any lien or claim remain
unsettled after all payments are made, the Structural Consultant shall refund or pay to the Client
all moneys that the latter may be compelled to pay in discharging such line or claim including all
cost and reasonable expenses. The liability of the Consultant for such liens or clause is limited to
10% of the total fees received by the consultant.

14. GOVERING LAW :


This Contract shall be governed by and construed in accordance with the laws of India. The
Consultant hereby submits to the jurisdiction of the courts situated at Mumbai for the purposes of
actions and proceedings arising out of the contract and the courts at Mumbai only will have the
jurisdiction to hear and decide such actions and proceedings.

15. ACCEPTANCE :
The acceptance of the order implies and includes acceptance of all terms and conditions
enumerated in this work order. Please sign the duplicate copy of this work order as a token of
your acceptance.
