VOTING TRUST AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Voting Trust Agreement is made, executed and entered into this 6th day
of March 2020, at Angeles City, by:

TOM DACAT, Filipino, of legal age, single, a resident of #1 Catcat St.,

Brgy. Cutcut, Angeles City, herein referred to as STOCKHOLDER;

-AND-

JERRY MOOSE, Filipino, of legal age, and resident of #2 Ratrat St., Brgy.
Balibago, Angeles City, herein referred to as VOTING TRUSTEE.

WHEREAS, the STOCKHOLDER is the owner of ONE HUNDRED (100)

SHARES of TWO DIRECTIONS, INC., a corporation organized under Philippine
laws with office address at #143 Cartoon St., Brgy. Cutcut, Angeles City;

NOW, THEREFORE, for and in consideration of the above premises, the

parties hereby agree as follows:

1. That the STOCKHOLDER entrusts ONE HUNDRED

(100) SHARES to the VOTING TRUSTEE;

2. That the VOTING TRUSTEE is hereby fully authorized,

empowered, and directed to cause such Voting Trust to be
registered in the books of the corporation and to the
Securities and Exchange Commission;

3. That the VOTING TRUSTEE shall be authorized to vote

in respect of the aforementioned shares and that he may
vote by proxy as appointed by him;

4. That the Agreement shall be valid for five (5) years from
signing thereof;

5. That all rights granted in in this Agreement shall

automatically expire at the end of the agreed period, and
the voting trust certificate as well as the certificate of stock
in the name of the VOTING TRUSTEE shall thereby be
deemed canceled and new certificate of stock shall be
reissued in the name of the STOCKHOLDER.
 IN WITNESS WHEREOF, we have hereunto affixed our hands this 6th
day of March 2020 at Angeles City.
