KNOW ALL MEN BY THESE PRESENTS:

This DEED OF ABSOLUTE SALE made and executed this ___ day of
___________________, 2020 at Batangas City by and among:

EVANGELINE T. DIMAYUGA, EDITHA TUMBAGA SEVIDAL, and EBELINDA

T. ROVIRA, all of legal age, Filipino citizen, and with residence and postal
address at Tinga Itaas, Batangas City, Philippines, hereinafter referred to as
the SELLER;

-and-

SOROSORO IBABA DEVELOPMENT COOPERATIVE (SIDC), a duly

registered cooperative under the Cooperative Development Cooperative, with
office address at Sorosoro Ibaba, Batangas City, and represented by its
Chairperson of the Board DR. ANGELITO B. BAGUI and Director REMEDIOS
C. CASAS, Asset and Security Management Committee Chairperson, hereinafter
referred to as the BUYER;

WITNESSETH:

That the SELLERS, EVANGELINE T. DIMAYUGA, EDITHA TUMBAGA SEVIDAL and

EBELINDA T. ROVIRA are the registered owner of a parcel of land located at Tinga Itaas,
Batangas Citt and covered by Transfer Certificate of Title No. (RT 3367) (T-114), which real
property is more particularly described as follows:

A parcel of land, situated in the Barrio of Tinga Itaas, City of Batangas,

Island of Luzon. Bounded on the NE., and SE by Bago River, on the SW by
provincial road, and on the NW by Lot No. 24. Containing an area of TEN
THOUSAND FOUR HUNDRED SIXTY FOUR (10,464) SQUARE METERS,
more or less.

WHEREAS, the BUYER has offered to buy and the SELLER has agreed to sell the
above mentioned property for the amount of TWENTY SIX MILLION PESOS ONLY (PHP
26,000,000.00), Philippine Currency;

NOW THEREFORE, for and in consideration of the sale for the sum of TWENTY SIX
MILLION PESOS ONLY (PHP 26,000,000.00), in Philippine currency, payable in the form
hereinafter expressed, the SELLER do hereby SELL, TRANSFER and CONVEY by way of
Absolute Sale in favor of the BUYER, its heirs and assigns the above-described parcels of land,
including all rights, title and interest in all of the fixtures, improvements, leases, maps, reports,
plans and other such material having to do with the aforementioned real properties; and all land
use entitlements, governmental permits and allocations, and other such governmental and
agency approvals as may exist concerning the properties described above, free from all liens
and encumbrances of whatever nature including real estate taxes as of the date of this sale
