SCOPE: COST OF CERTIFICATES:

Our scope of supply is limited to items specifically mentioned in this offer.
PRICES:
The prices indicated in the offer shall be the contract price for delivery of materials
from our works at Dhaka/Chittagong.
The quoted prices are inclusive of VAT which will be payable at actual as applicable
at the time of delivery. VAT challan (Musak -11) will be provided at the time of
dispatch of material from our end.
Any major variation in price on account of Exchange rate fluctuation between Swiss
Franc vs Bangladeshi Taka would be to your account.
TERMS OF PAYMENT:
100 % of contract value plus all applicable Taxes and Duties shall be paid in
advance against Proforma Invoice prior to dispatch of the goods. We shall submit
our Proforma Invoice immediately on receipt of your technically and commercially
clear firm order. Any changes in taxes at the time of dispatch of goods shall be paid
immediately after dispatch of the Goods
The Certificates e.g. Certificate of Origin, Guarantee Certificates,
Test Certificate, etc. issued by ABB Turbo Systems, Switzerland if
required, shall be charged extra.
FORCE MAJEURE
We shall not be held responsible for any delay, loss or damage
arising solely by reasons of any cause, matter or thing beyond our
reasonable control, including without prejudice to generality, enemy
action, riot, civil commotion or grave disorder, strike, lockouts, fire,
power cuts, epidemics, requisition by lawful Authority of personal
and / or property movable or immovable, rejection of any raw
material or important working part and delay in approval of drawing,
Sanctions whether such delay or impediment occurs before or after
the time for despatch or completion as the case may be and in such
events suitable time extension shall be granted in the delivery time.

FREIGHT & INSURANCE: LIMITATION OF LIABILITY & CONSEQUENTIAL DAMAGE :

Quoted prices are exclusive of Freight & Insurance charges from our ABB works to
the place of destination.
Necessary Insurance cover against transit risks, storage, etc. may please be
arranged by you with your Underwriters for which complete despatch particulars
will be furnished to you.
INCOTERMS – Transfer of Ownership
The Transfer of ownerships to the buyer takes place at Ex-ABB works.
DELIVERY:
Delivery Period indicated starts from the receipt of your technically and
commercially clear firm order.
Kindly note that the delivery is subject to Force Majeure conditions.
MINIMUM ORDER VALUE :
Each order placed must not be of value less than BDT 50000/-
APPLICABLE LAW & ARBITRATION :
The Order shall be governed by and construed in accordance with the substantive
laws of Bangladesh.
Any dispute or difference arising out of or in connection with this order which cannot
be settled amicably shall be finally resolved under the Arbitration Act, 2001 by three
arbitrators appointed in accordance with the said Rules. The place of the arbitration
shall be Dhaka and the language of the arbitration shall be English.
Notwithstanding anything contained herein, contractor’s (ABB’s)
overall liability under the order, whether as a result of breach of
contract, warranty, guarantee, tort, including negligence, strict
liability or otherwise, shall be limited to the value of the Order.
“Notwithstanding anything contained in this contract to the contrary,
the contractor (ABB) shall not be liable for any special, indirect or
consequential damages or losses such as, but not limited to, loss of
power, costs of capital or costs of replacement power, etc”
GUARANTEE/ WARRANTY:
The spare parts are covered under warranty against defective
workmanship, defective materials for a period of 6 Months from the
date of readiness for dispatch.
In case the scope of supply is Basic Turbocharger then the
turbocharger is covered under warranty against defective
workmanship, defective material for a period of 12 Months from the
date of dispatch.
The warranty does not cover any damage / loss caused due to
wrong negligent handling of materials, incorrect use, operation not
conformation to ABBs recommendation etc.
The warranty is valid if the spares or basic Turbocharger are
assembled /installed by ABB authorized personnel.
GENERAL:
1. In the event of cancellation of a firm order once placed against
this offer and accepted by us, 40% (forty percent) of contract
price will be payable to us as cancellation charges.
2. Nothing in this Tender nor in a contract which may derive there
from shall constitute seller’s liability for any indirect and/or
consequential loss and/or which buyer’s may be subject to.
