DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Absolute Sale made and entered into by and between:

JULIANA A. SINGSON, of legal age, Filipino, Married to


EUGENIO SINGSON, and a resident of 15-A Carlock St., Sawang
Calero, Cebu City, Philippines, (hereinafter referred to as the
"VENDOR");

GenVi, a domestic corporation duly registered under the laws of


the Republic of the Philippines, with office address
at___________________, herein represented by ______________
of legal age, Filipino, (single / married / widow), and a resident of
_____________, Philippines, (hereinafter referred to as the
"VENDEE");

WITNESSETH:

WHEREAS, the VENDOR is the true and registered owner of a parcel of land covered
by Transfer Certificate of Title No. _____________, situated in _____________, Philippines,
more particularly described as follows:

A parcel of land (Lot 6324-C, Psd 07-056730, of the subdivision plan, being a portion of Lot
6324 Cebu Cad, 12) situated in the Barangay of Guadalupe, City of Cebu, Island of
Cebu. Bounded on the NE., along lines 1-2 by Lot 6324-D Psd-07-056730, of the
subdivision plan, on the SE.; along lines 1-3 by Lot 6324-D Psd-07-056730, of the
subdivision plan, on the SW., along line 3-4 by lot 6324-A, Psd 07-056730, of the
subdivision plan, and on the new publicland. Beginning at a point marked “1” on the
plan being S. 89 deg. 34’W., 25.17m. to point 3; thence N. 54 deg 57’W., 17.69m. to
point 4; thence N. 35 deg. 08’E., 25.15 m. to point of the beginning containing an area of
FOUR HUNDRED FORTY-FIVE (445) square meters more or less. All corners referred

the subdivision survey was executed by Filomeno S. Lipang Geodetic Engineer on Feb.

Bounded on the NW., along lines 1-2 by Public Land, and on the SE., along line 3-4, by
Lot 6324-B, Psd-07-056730, of the subdivision plan, on the SE.; along line 4-1 by Lot
6324-C, Psd-056730; of the subdivision plan beginning at a point marked “1” on the

plan being S. 89 deg. 34’ W., 438.86 m. from BM No. 59, Cebu Cad. 12; thence N. 35.
Deg. 08’ E., 25.10 m. to point 2; thence S. 55 deg. 04’E., 17.69 m. to point 3; thence S 35

owner JULIANA A. SINGSON, Filipino, of legal age, married to Eugenio Singson, also
Filipino.

WHEREAS, the VENDOR desires to sell and the VENDEE agrees to buy the
aforementioned parcels of land, including all the improvements found and standing thereon.

NOW, THEREFORE, for and in consideration of the sum of FIVE MILLION


THREE HUNDRED THIRTY-FOUR THOUSAND PESOS (Php 5,344,000.00), Philippine
Currency, computed at the offered price which was duly accepted at Six Thousand Pesos
(Php 6,000.00) only per square meter for the total area of Eight Hundred Eighty-Nine
(889 m2) square meters, more or less;

That the VENDEE hereby undertakes to pay the total selling price of FIVE
MILLION THREE HUNDRED FORTY-FOUR THOUSAND PESOS (Php 5,344,000.00),
in two tranches, of TWO MILLION SIX HUNDRED SEVENTY-TWO THOUSAND (Php
2,672,000.00) to the vendor. Payment of the first tranche shall commence upon the
perfection of this Instrument and the second tranche shall be upon the issuance of the
authority to transfer.

That the VENDOR has agreed to sell the subject property to the VENDEE on an
"AS IS, WHERE IS" basis. The VENDEE hereby declares that he has inspected the subject
property prior to the execution of this Agreement, and acknowledges that he is fully
satisfied with the conditions thereof. The VENDOR makes no warranty as to any hidden
defects of the subject property, which the VENDOR warrants to know by virtue of the
VENDEE's duty to inspect.

That the herein ownership shall be kept by the VENDOR and shall only be deemed
transfer to the VENDEE upon full payment of the aforesaid stated price thereto.

The VENDOR hereby undertakes that he, his heirs, successors and assigns shall warrant
and defend the title to the real property subject of this Deed against all claims of all persons or
entities. The VENDOR also guarantees the right of the VENDEE to take possession of the
property subject of this agreement upon the signing and execution of this agreement and will
defend the latter against all judicial or administrative actions for eviction.

Capital gains tax, transfer tax and other taxes, fees and charges that may be imposed on
the transfer of title in favour of the VENDEE shall be for the sole account of the VENDEE.

This Agreement shall be valid and binding not only on the parties herein but also on their
heirs, agents, representatives, successors and assigns.

and every page hereof.
