ARTICLE 1: NAME

RULE 1: The name of the Association shall be “The Boxing Association of


Grenada BAG (herein after called the Association) and the Association
shall be affiliated to the International Boxing Association (AIBA) and
the Grenada Olympic Committee (GOC).

The Association and each of its members must always comply with
the AIBA Statutes, the AIBA Bylaws, the Technical & Competition
Rules issued by AIBA from time to time, the AIBA Code of Ethics, the
AIBA Disciplinary Code and Procedural Rules and the AIBA Anti-
Doping Code (collectively the “AIBA Regulations”). Where there is any
discrepancy between the constitutional provisions of the Association
and the AiBA Regulations described above, the AIBA Regulations
shall prevail.

ARTICLE 2: PHILOSOPHY

RULE 2: The Boxing Association of Grenada (BAG) is an institution in the


tradition of our outstanding leaders, coaches and boxers committing
ourselves to education and skills training within the rich heritage of
these legacies.
We therefore, prize the values of the hard work, discipline, competence
through dedication to training and actual experience, adaptation to
new information and technologies, fair play, peace and service. While
we welcome persons of diverse background and sex into our
organisation, shall be guides by the motto:
“The First or With the First” – “El Primus El Com Primus”

ARTICLE 3: MISSION STATEMENT

RULE 3: The Mission Statement of the Association shall be:


“The pursuit of excellence in Open Boxing in the State of Grenada.

RULE 4: The objectives of the Association shall be:


1. To encourage the development of the sport of boxing throughout Grenada.
2. To promote regulate and control the sport of boxing in Grenada
3. To organise championships at national and regional level.
4. To participate in such international events as shall from time to time be
decided.
5. To control the appointment of personnel to represent Grenada at games,
including boxers, managers, coaches, officials and medical personnel deemed
by the executive, as necessary to carry out the objectives of the Association.

Rule: Autonomy
The Association shall be an autonomous body and shall resist pressures of all kind
from any government or other authority.

Rule: Discrimination
Any kind of discrimination is prohibited whether based on gender, ethnic origins,
colour, language, religion, politics, and other opinion and social origins; whom ever
does not abide by this shall be subject to suspension or expulsion according to
theses Statutes and the AIBA Regulations.

ARTICLE 4: DEFINITION OF OPEN BOXING

RULE 5: An Open (AOB) Boxer shall be a person who participates in


boxing as a boxer, a boxing official or a boxing administrator for
the love of the sport, and as a means of recreation.

ARTICLE 5: COMPOSITION

RULE 6: The Association shall be the sole competent authority of Open


Boxing (AOB) and AIBA Pro Boxing (APB) in the state of
Grenada and shall be an independent body formed by Clubs,
Gyms, Colleges, Schools, Universities and members as provided
under article 6 of this constitution.

The Association shall create a new body within the association to


run and administer the APB program in Grenada (the “APB
Body”). The APB Body shall fall under the authority and control
of the Association and its President shall serve as President of
the APB Body.

The Association cannot be a member of or affiliated to any


professional boxing or professional combat sport organization or
body (other than APB and World Series of Boxing).

The Association recognizes Boxing Marketing Arm SA as the sole


and exclusive promoter of the APB Program on a continental and
worldwide level and shall not associate with any other promoter
associated with any professional boxing or professional combat
sport organization (other than APB and World Series of Boxing)
for APB events on a continental or worldwide level.

It is prohibited for the Association and/or its President to be


responsible for governing any other sporting activity, including
mixed martial arts (MMA), UFC, Kickboxing, K-1 and other
similar combat sports as may be determined by AIBA

ARTICLE 6: MEMBERSHIP

RULE 7: The Association shall consist of the following categories of


membership:

A. Member Clubs and Gyms


B. Schools, Colleges and Universities
C. Ordinary Members
D. Honorary Members

Member Clubs – shall apply for membership in writing and must satisfy the
Executive Committee of the Association that they are properly constituted
bodies.
An application for membership to the Association shall be submitted to the
Executive Committee together with –

(a) A copy of the applicant’s Constitution/Statutes and or by-laws which must


be in a form that is acceptable to the Executive Committee;
(b) An undertaking by the applicant to comply with these Statutes, the AIBA
Statues and By-Laws, the AIBA Technical and Competition Rules, the
AIBA Code of Ethics and the AIBA Disciplinary Code and Procedural
Rules;
(c) A summary of the applicant’s past and proposed activities and an
undertaking to participate in the Association’s activities and competitions;
and
(d) Any other documents that the Executive Committee may deem necessary.

Such member clubs shall be represented at all general meetings by two


delegates who shall have the right to speak and vote at the meeting.
A. Schools, Colleges and Universities - that are bona fide institutions of
learning shall apply for membership in writing to the Executive Committee.
Such schools, colleges and university shall be represented at all general

B. Ordinary Members - shall be such persons who shall have written an
application to the General Secretary of the Association and have been
admitted to the Association as ordinary members by the Executive
Committee. They shall be entitled to attend all General Meetings of the
Association and to speak and vote on any matter at the General Meeting
and to offer themselves for election to any office, committee or commission.
C. The affiliation to a professional boxing organization of any elected officer
of a National Federation, it being understood, that where any such elected
officer has held any position within, or has been affiliated to, any
professional boxing entity (other than World Series of Boxing and/or APB),
including as a boxer, coach or trainer, such officer must have resigned
from such position no later than one (1) year prior to the relevant election.
Such officer shall not be entitled to hold any position within, or be
affiliated to, any professional boxing organization (other than World Series
of Boxing and/or APB) for so long as such officer is an Official of his/her
National Association.
D. Honorary Members – shall be such persons who shall be elected by the
Association at an Annual General Meeting by a two- thirds majority of
members present. Such members shall not be required to pay entrance fee
or subscription. They shall be persons who made outstanding
contributions to the cause of boxing. They shall be entitled to attend all
General Meeting of the Association and to speak but not to vote on any
matter.

ARTICLE 7: ENTRANCE FEES AND SUBSCRIPTION

RULE 8: There shall be an entrance fee of twenty dollars for each Club,
Gym, School, College and University and five dollars for each
ordinary member.
a. Each member club shall pay an annual subscription of one
hundred dollars.
b. Each school, college, and university shall pay an annual
subscription of fifty dollars.
c. Each ordinary member shall pay an annual fee of twenty dollars.
d. All subscriptions shall become due on the first day of January in
every year.
e. Any member whose subscriptions for any year remains unpaid at
31st March shall not be able to vote at General Meetings and shall
not be able to offer themselves to any office, committee or
commission.
f. All entrance fees, subscriptions or other sums of money due to the
Association are payable to the Treasurer of the Association or to
such other person or persons who may be duly authorised by the
Executive Committee to receive same.

Rule: Election and Appointment Processes

The election and appointment processes adopted by the Association hereunder and
by each member must prevent any and all external interference in the election and
appointment processes.

The election process must be approved by AIBA.

Any person elected or appointed as Official who is not elected or appointed in


compliance with this article shall not be recognized by the Association or AIBA.

Decisions passed by bodies that have not been elected or appointed in accordance
with this article shall not be recognized by the Association or AIBA.

Rule: Elections

The election of a candidate as President or the appointment of any other


Executive Committee member shall be set aside on any of the following
grounds:

a) That there was failure to conduct the election in accordance with the
provisions of the Statutes and/or the AIBA Statutes and/or local laws and that
the non-compliance and failure affected the result of the election in a
substantial manner.

b) That a person other than the one elected purportedly won the election.

c) That an illegal practice was committed in connection with the election


by the candidate personally or with his or her knowledge and consent or
approval .

d) That the candidate was at the time of his or her election not qualified or was
disqualified.

e) That there was external interference in the election process

f) That there was a failure to comply with the AIBA Code of Ethics in
conducting the election.

The Association must submit the results of any election of officers and the
organizational structure of the Association to AIBA for final approval and
recognition.

ARTICLE 8: OFFICERS AND FUNCTIONS

RULE 9: The officers of the Association shall be elected every two (2) years at an
Annual General Meeting and shall comprise: -

a. President
b. 1st and 2nd Vice Presidents
c. General Secretary
d. Assistant General Secretary
e. Treasurer
f. Executive Committee Member

ELIGIBILITY CRITERIA
1. Candidates for the Presidency must:
a. Be able to communicate comprehensively in English.
b. Has a record of serving in the immediate past Executive Committee for
a full two years mandate as an EC Member.
c. Shall receive a total of at least four (4) nominations by members of the
Association submitted in writing.
d. Be able to prove that they have never been convicted of a criminal
offence.
e. Have not been sanctioned for any violation of the constitution of the
Boxing Association of Grenada and Technical & Competition Rules.
f. Candidates for the Vice Presidency and any position of the EC must
be in compliance with sections a, c, d and e.
2. If a paid employee of any club wants to run for the
Presidency, Vice Presidency or for any position of the Executive Committee
they must resign from their position before submitting their candidacy.
3. The President and Executive Committee members must be national
passport holders of Grenada. In the event the President or Executive
Committee member holds dual-nationality, he or she must decide upon one
country they wish to represent and provide proof that it is the country of
residence if requested to do so.

The President – shall preside over all activities of the Association, shall be an
ex-officio member on all committees and commissions, shall have an original
and casting vote, and shall co-ordinate with the General Secretary in the
supervision and general administration of the Association. The President is
responsible for the relations among Clubs, Gyms, Schools, Colleges,
Universities, the NOC, AIBA and other regional and international sports
organizations.

Vice-Presidents – shall assist the president in the performance of his duties,


shall work under the president direction, and shall act for the president in his
absence.

The Association cannot remain without an elected President for a period


exceeding six (6) months.

General Secretary – shall perform the duties in relation to the Association as


the executive require, shall be responsible for all correspondence, minutes,
notices and general administration of the Association.

The Assistant General Secretary – shall be responsible to record the


minutes, shall give general assistance to the General Secretary and perform
duties that are assigned to him/her from time to time.

The Treasurer – shall be responsible for keeping the accounts and


establishing appropriate financial procedures. At meetings he/she shall
required to:
1. Present financial report and accounts.
2. Submit estimate of expenditure for approval
3. Make comments on the financial viability of projects.

Annually he/she shall be required to: -

1. Present the annual accounts in draft to the Executive
Committee.
2. Forward the accounts from the Executive Committee to
the auditors.
3. Present the audited accounts to the Annual General
Meeting for approval.
Executive Committee Member – shall give general assistance and
perform duties that are assigned to him/her from time to time by the
President and the Executive Committee.

ARTICLE 9: TRUSTEE

RULE 10: Two Trustees – shall be appointed every four years at an


Annual General Meeting of the Association. They shall be
eligible for re-appointment and have the power to vote at all
meetings.

The property and funds of the Association shall be vested in


the Trustee in trust for the Association. The Trustees of the
Association shall have full power to sue and defend all legal
proceedings instituted by or against the Association and for
such purpose shall have powers of attorney or any other legal
documents.

ARTICLE 10: FINANCIAL YEAR

RULE 11: The financial year of the Association shall be the calendar year.

ARTICLE 11: MANAGEMENT

RULE 12: The Association shall be governed by and be under the
control and management of a committee called the “Executive
Committee” which shall consist of the officers of the Association.

Duties and Powers of the Executive Committee - The Executive


Committee shall have and exercise the following special powers,
authorities and functions concerning the association: -

1. The sole management of the affairs and business of the Association.


2. The election and or rejection of any club, school, university or person
for membership.
3. The arrangement, sanction and settlement of all financial matters
concerning the Association.
4. The appointment of any person or persons to represent the
Association. Any person or persons so appointed shall make a full
written report to the Executive Committee at its subsequent meeting.
5. The Appointment and dismissal of all employees, attendant and
member as it may think it.
6. The appointment of such committees as it may consider necessary
and the delegation of all or any of its power to any such committee.
7. The power from time to time to make such bye-laws regulations with
regards to the management of the Association and its Executive
Committee and in respect of competitions or otherwise as it may
deem expedient with power to revoke or amend the same, and to
settle all dispute connected therewith, provided that such does not
conflict with the AIBA Regulations. Its decision on any such matter
shall be final.
8. To take disciplinary measures in respect to offences committed in
connection with the sport of Boxing.
9. To hold enquiries into charges or complaints made against Clubs,
Gyms, Schools, Colleges, Universities and individual members of the
Association.

10. To take necessary steps to prevent infringement of the rules of the
Association.
11. To suspend, disqualify or expel any Clubs, Gyms, Schools, Colleges,
Universities or member of the Association found guilty of breaches of
the AIBA Regulations, the rules of competition of the Association or
any misconduct or unfair practice or any matter directly calculated to
injury or discredit the sport of Open Boxing, AIBA and the
Association.

The Executive Committee shall: -


a. Meet monthly and at such other times as the Executive Committee
or the President shall prescribe, or on the written request of any five
members of the Executive Committee.
b. Three days notice of any meetings of the Executive Committee shall
be given by the General Secretary to the member of the Executive
Committee, but an emergency meeting can be called by the
President, through the General Secretary at any time with
reasonable notice.
c. Should a vacancy occur among the office bearer of the Executive
Committee owing to death, resignation, absence from the country or
other cause, such vacancy shall be filled by the Executive
Committee until the next Annual General Meeting.
d. At all meetings of the Executive Committee, four members shall
form a quorum.
e. Any member of the Executive Committee who shall be absent from
three or more consecutive meetings of the committee and the
vacancy thereby created, shall be filled by the Executive Committee
until the next Annual General Meeting. The General Secretary shall
notify the member in writing that he/she is no longer on the
Executive Committee.

COMMISSIONS - The following Commissions of the association shall
be established by the Executive Committee: -
(A) the Coaches Commission
(B) the Refereeing & Judging and Technical & Rules Commission
(C) the Women’s Commission
(D) the Medical Commission

The Chairman of a Commission needs to be an expert or competent in the related


field. The commission shall record the minutes of their meetings, submit
activity reports and make recommendations to the Executive Committee.

ARTICLE 12: RESIGNATION

RULE 13: Any Member who wishes to resign from membership of the
Association shall be entitled to do so by giving to the General
Secretary one months notice in writing to that effect.

ARTICLE 13: PROPERTY

Rule 14: All property, real, personal or mixed goods, effects, chattels, funds
or things belonging to the Association, shall be vested in the
President, Vice-Presidents, General Secretary ,Treasurer and
Trustee of the Association.

ARTICLE 14: AUDITORS

RULE 15: An Auditor – (who shall not be a member of the Executive


Committee and shall be independent of the Association) shall be
appointed at an Annual General Meeting of the Association and
shall audit the accounts of the Association.

ARTICLE 15: ANNUAL REPORT

RULE 16: The Executive Committee shall submit a report on the Activities
and affairs of the Association each year at its Annual General
Meeting. Such report shall be in writing and shall be prepared by
the General Secretary of the Association. It shall be signed by the
President and the General Secretary and shall be circulated to each
member of the Association on or before the Annual General
Meeting.

ARTICLE 16: GENERAL MEETING

RULE 17: The Annual General Meeting of the Association shall be held
no later than the 30th of April in each year. The business of
the Annual General Meeting shall include: -

1. Minutes of the
last Annual General Meeting and matters arising therefore.
2. Approval/adoption of the Annual report.
3. Approval/adoption of an audited financial statement of the
Association.

4. Appointment of an auditor.
5. Election of the officers (if necessary).
6. The consideration of motions and resolutions which have
been properly submitted in accordance with these rules.

Any member desirous of having a motion or resolution placed on the


agenda for the Annual General Meeting Shall submit in writing to the
General Secretary of the Association at least thirty days prior to the
scheduled date of the Annual General Meeting.

The General Secretary of the Association shall give not less than five
days notice in writing of the date, time and place of any business to be
transacted at any General Meeting to all members of the Association,
duly recorded in the Association’s Register of Members.

Each member club, gym, school, college and university shall notify the
General Secretary of the Association of the names of the two delegates
so nominated to serve them.

A quorum at all General Meetings shall be one-third of the total


financial voting membership (any member whose subscriptions for
any year remains unpaid at the 31st March shall not be able to
vote at General Meetings and shall not be able to offer themselves
to any office or committee).

The chairman at any General Meeting shall be entitled to a casting


vote, only which he must exercise if these shall be an equality of votes
on any motion.

Voting shall be by secret ballot, however if there is a majority present


then they can decide if voting could be by show of hands.

ARTICLE 17: BANKING ACCOUNT

RULE 18: A bank account shall be maintained in the name of the Association
and all cheques, bills of exchange, promissory notes and other
documents shall be signed by the Treasurer and/or General
Secretary and countersigned by the President or other officers so
designated by the Executive Committee.

ARTICLE 18: DOPING

RULE 19: The Boxing Association of Grenada shall do all in its powers to
prevent doping in the sport of boxing. The Association shall adapt the
AIBA Anti-doping rules and promote the Anti-doping programmes
which seek to preserve what is intrinsically and often referred to as
“the spirit of sport”. This is characterized by the following values: fair
play, honesty, fun and joy, health, respect for rules and laws
and respect for self and other competitors.

ARTICLE 19: COMPETITION

RULE 20: The rules governing any competition sanctioned by the Boxing
Association of Grenada shall be the rules of AIBA.

ARTICLE 20: PATRON

The Executive Committee shall have the power to nominate and invite a
Patron of all member clubs, colleges or universities.

Rule: CAS
The Association recognizes the Court of Arbitration for Sport (CAS),
with headquarters in Lausanne, Switzerland, as the authority to
resolve appeals against decisions made in accordance with the
World Anti-Doping Code only. Each Association must recognize
CAS as an independent judicial authority but, in this regard, in
accordance with the World Anti-Doping Code only. The Association,
its Boxers and Officials must comply with the decisions passed by
CAS.

The Association recognizes the jurisdiction of CAS in relation to any


dispute covered by Rule 59 of the Olympic Charter, The Association,
its Boxers and Officials must comply with the decisions passed by
CAS in relation to disputes covered by Rule 59 of the Olympic
Charter.

Rule: Amendment
Following any amendment to the AIBA Statutes or Bylaws, The
Association shall update these Statutes to ensure that it complies
fully with the AIBA Statutes and Bylaws.

Definition – “The State of Grenada” refers to Grenada, Carriacou and Petite
Martinique and all other dependencies.

Approved by the General Meeting of The Boxing Association of Grenada,
