SELF-ADJUDICATION

     I, LEONILA L. IBANO, of legal age, Filipino, widow and a resident of Ormoc City, Leyte,
Philippines, Philippines, after having been duly sworn to in accordance with law, do hereby
depose and state, THAT:

1. I am sole heir of the late ELEUTERIA TANJAY who died on November 5,


1991 at Ormoc City, Leyte, Philippines;

2. Said deceased person died intestate, without any Last Will or Testament, and
without any outstanding debts or accounts;

3. The deceased person is the registered owner of a certain parcel of a parcel of


land covered by TCT No. 5224 containing an area of Twenty Thousand Six Hundred
Fifty Two (20,652) square meter more or less ;

5. Pursuant to Section 1 of Rule 74 of the Revised Rules of Court of the


Philippines, and being with full capacity to contract, I do hereby adjudicate unto myself
the above mentioned parcel of land;

CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:


This CONTRACT TO SELL made and executed on this __day of _______ by and
between the following parties:

LEONILA L. IBANO, of legal age, Filipino, widow and a resident of Ormoc City,
Leyte, Philippines, Philippines, hereinafter referred to as the “VENDEE;

Represented by Manuel Villahermosa, of legal age, Filipino, and with residence and postal
address at Vilbar St., Hilongos Leyte, hereinafter referred to as the “VENDEE;

WITNESSETH

SELLER/VENDOR is the sole heir of the late ELEUTERIA TANJAY on which the
registered owner of a certain parcel of land covered by TCT-T-5224 situated in the Municipality
of Mahaplag, Southern, Leyte, Philippines, containing an area of Twenty Thousand Six Hundred
Fifty Two (20,652) square meter more or less by virtue of Sole Adjudication and entered into the
notarial register of Atty. Gerentstein T. Banzon under Doc. No.:____; Page No.:____; Book
No.:_____; Series of 2020 and more particularly described as follows to wit:

“A parcel of land known an identified as Lot 1618 situated in the Municipality of
Mahaplag Southern Leyte, Philippines containing an area of Twenty Thousand
Six Hundred Fifty Two (20,652) square meters more or less.”

WHEREAS, the BUYER/VENDEE has offered to buy and the SELLER


/VENDOR has agreed to sell the above mentioned property containing an area of Twenty
Thousand Six Hundred Fifty Two (20,652) square meters more or less under the terms and
conditions herein below set forth;
 
        NOW THEREFORE, for and in consideration of the total sum of Six Hundred Thousand
(Php 600,000.00) Philippine Currency, and of the covenants herein after set forth
the SELLER/VENDOR agrees to sell and the BUYER/VENDEE agrees to buy the aforesaid
property subject to the following terms and conditions: 
 
1.     The total consideration shall be Six Hundred Thousand (Php 600,000.00) Philippine
Currency, payable as follows:

a) The amount of Two Hundred Thousand (Php 200,000.00) PESOS, representing as


down payment which shall be payable by the BUYER/VENDEE to
the SELLER/VENDOR upon execution of this Contract to Sell;
 
b) The remaining balance in the amount of Four Hundred Thousand (Php: 400,000.00)
PESOS, shall be paid in four (4) monthly installment through postdated checks in the amount of
One Hundred Thousand (Php 100,000.00) Pesos commencing from April up to May and for
the month of June, the amount of the check issued is amounting of One Hundred Fifty Thousand
(Php 150,000.00) Philippine Currency except the remaining Fifty Thousand Pesos (Php
50,000.00) shall be paid by the BUYER/VENDEE upon the new issuance of owner’s duplicate
copy of the Title;
 
c) In case the check representing the payment for the balance provided in paragraph b
above is dishonored by the drawee bank, the down payment in the amount of Two Hundred
Thousand (Php 200,000.00) PESOS, and the total amount paid prior to said dishonor, shall be
treated as payment to the portion covered in favor of the BUYER/VENDEE subject to whatever
penalties that may due by reason of the said delay or failure;
2.   Real Estate Tax shall be for the account of the BUYER/VENDEE;
3. Capital Gains Tax, Documentary Stamps Tax and Transfer tax shall be for the account of the
BUYER/VENDEE;
 
4.   Registration Fee, registration expenses, and all other miscellaneous fees and expenses shall
be to the account of the BUYER/VENDEE except the Attorney’s Fees on which will be account
by the SELLER/VENDOR and BUYER/VENDEE in half way basis;
 
5.     Possession to the subject property shall be delivered by the SELLER/VENDOR to
the BUYER/VENDEE upon signing of this instrument together with all improvements may
cause and found thereon and the Annual Real property Tax shall be for the account of the
BUYER/VENDEE;
 
6.    Upon full payment of the total price, the SELLERS/VENDORS shall sign and execute a
DEED OF ABSOLUTE SALE in favor of the BUYER/VENDEE.  The
SELLER/VENDOR shall likewise execute and/or deliver any and all documents, including but
not limited to the original copy of Transfer Certificate of Title, Tax Declaration and all other
documents necessary for the transfer of ownership from SELLER/VENDOR to
the BUYER/VENDEE.

NOW THEREFORE, for and in consideration of the sum of Six Hundred Thousand
(Php 600,000.00) Philippine Currency, Philippine Currency, the SELLER DO HEREBY
SELL, TRANSFER, and CONVEY by way of Absolute Sale unto the said BUYER a total of
Twenty Thousand Six Hundred Fifty Two (20,652) square meters more or less, her heirs and
assigns, the certain parcel of land together with all the improvements found thereon, free from all
liens and encumbrance of whatever nature including real estate taxes as of the date of this sale.
