SOFTWARE INSTALLATION AGREEMENT

(QUICKBOOKS ENTERPRISE 2018)

This Agreement this made and entered into by and between:

FKA AGRI-CHEMICAL CORPORATION, with address at FM Soriano Bldg., Catalunan


Grande, Davao City, represented herein by its Finance Consultant, Abigail T. Manuta,
referred to as “FKA”;

-and-

KIRBY C. LOBERIZA, of legal age, and a resident of La Verna Hills, Buhangin, Davao
City, shall be referred to herein as “KCL”;

WITNESSETH: That –

WHEREAS, KCL is engaged in the installation of Quickbooks Enterprise Accounting Software suited for
operations of FKA.

WHEREAS, FKA is engaged in the selling and distribution of agri-chemical products and desires to be
installed of 3-Users Quickbooks Enterprise 2018 to be used for their accounting and bookkeeping operations at their
head office in Catalunan Grande, Davao City.

NOW, THEREFORE, for and in consideration of the foregoing premises, the parties hereby agree on the
following terms and conditions, to wit:

1. Both parties have the responsibilities and tasking for the installation, proper use, support and maintenance
of the Quickbooks Enterprise 2018 software, as follows:

1.1 FKA shall:


1.1.1 Provide 3 desktops and/or laptop computers suitable and compatible with the installation
and smooth operation of the software;
1.1.2 Responsible for ensuring that computers are properly connected to a wired local area
network where the installed software shall operate;
1.1.3 Responsible for the internal accounting procedures in where the recording of transactions
within the software shall be followed;
1.1.4 Conduct proper computer equipment maintenance to allow a smooth operation of the
software;
1.1.5 Provide and set-up account balances and data master files;
1.1.6 Responsible for the competence of staffs in the use of the software post-system
demonstration/orientation by KCL;
1.1.7 Responsible for the accuracy of the accounting data being recorded in the software;
1.1.8 Conduct on its own the monthly closing procedures as may be needed by regulatory bodies
or the internal management; and
1.1.9 Be responsible for keeping the company files to back up transactions recorded in the system
as well as the passcodes elected by the users in accessing the system.

1.2 KCL shall:


1.2.1 Install and make the 3-Users system run in the network computers provided for by FKA;
1.2.2 Install a registration key-shared software, which features include:

1.2.2.1 Purchase order facility;


1.2.2.2 Inventory Receipt facility;
1.2.2.3 Bill Payment facility;
1.2.2.4 Vendor Debit facility;
1.2.2.5 Vendor Transactions facility;
1.2.2.6 Sales Order facility;
1.2.2.7 Credit or Invoicing facility;
1.2.2.8 Cash Receipt facility;
1.2.2.9 Statement Charges and Statement Writer facility;
1.2.2.10 Customer Transactions facility;
1.2.2.11 Customer Refunds and Credit facility;
1.2.2.12 Cash Deposit facility;
1.2.2.13 Accounts Reconciliation facility;
1.2.2.14 Check Writer facility;
1.2.2.15 Transactions Calendar;
1.2.2.16 Timesheet Recording, Manual Payroll facility, and Pay Slip generator;
1.2.2.17 Employee Transactions Facility;
1.2.2.18 Radio button dedicated for Cash and Accrual based reports;
1.2.2.19 Inventory Reporting facility;
1.2.2.20 Profit and Loss Statement generator;
1.2.2.21 Balance Sheet generator;
1.2.2.22 Statement of Cash Flow generator;
1.2.2.23 Trial Balance generator;
1.2.2.24 Retail or Trading Specific Report generator;
1.2.2.25 Purchases Reports
1.2.2.26 Sales Reports
1.2.2.27 Open Purchase Order report generator;
1.2.2.28 Open Sales order generator;
1.2.2.29 Banking details facility;
1.2.2.30 Budgeting facility and budget reports generator.

1.2.3 Provide a demonstration and brief orientation of the NEW FEATURES of the new software
version compared to FKA’s existing 2011 version of Quickbooks;

2. This price for the installation of the software shall be:

3. The Total Agreed Price is a one-time installation price and must be paid in the following terms:

3.1 Fifty Percent (50%) initial payment upon signing this agreement; and
3.2 The other Fifty Percent (50%) shall be paid upon the complete installation of all the software facilities
and after acceptance of the simulated financial reports generation.

4. Payment shall be made through check or bank deposit directly to:

KIRBY C. LOBERIZA, BPI S/A 8099-0621-43.

5. In the event of rescission, termination, or cancellation of this Agreement before its fulfillment, the party
who initiated the rescission, termination, or cancellation shall pay or refund the total agreed price as
stated.

6. This agreement constitutes the entire stipulations of the parties hereto and cannot be changed in any
manner except in writing, duly signed by the parties or their authorized representatives, and shall be
binding upon and inure to the benefit of the parties, their heirs, executors, administrators, and assigns;
