TERMS AND CONDITIONS OF SALE:


1. Responsibility of JOHNVYNN
a. Assign one (1) representative to coordinate with FAIC
representatives.
b. Provide access to technical documents concerning the equipment &
operation (list of inputs/outputs; sequence of operation and manual)
c. Provide access to and availability of the equipment during schedule
of work.
d. Provide wires and other consumable materials needed for the
installation of the items.
e. Provide free use of utilities, such as, electricity, water and air.
f. Provide a free and secured space for FAIC to be used as field office
with table and chairs.
g. Provide all transportation, accommodation and meals during site
testing.

2. Responsibility of FAIC
a. Supply of all manpower, tools and test equipment.

3. Exclusions
a. Any other works or equipment requested by JOHNVYNN that is not
within the scope of FAIC, as shown above, shall be quoted or billed
separately.

DELIVERY AND COMMERCIAL CONDITIONS:

1. Currency: Prices are in Philippine Peso currency, inclusive of 12%


Value Added Tax.

2. Price Validity: Thirty (30) days from the submission of proposal.

3. Delivery: 1-2 weeks after confirmed receipt of P.O. and payment.

4. Cancellation Charges: 5 to 10 days ARO – 15% of ORDER VALUE


11 to 20 days ARO – 50% of ORDER VALUE
more than 20 days ARO – 100% of ORDER VALUE

5. Payment terms: We propose the following terms of payment:


- 100% advance payment by telegraphic transfer

6. Force Majeure: If circumstances shall arise, such as acts of God or nature,


or labor disputes and the likes, causing stoppage of plant or equipment
operation for an indefinite period of time, the FAIC shall de-mobilize its
project team and the client shall pay to FAIC the full equipment price
and the price of partial billing up to the time of demobilization. FAIC shall
re-mobilize and continue the project after resumption of the plant or
equipment operation and availability.

7. Warranty: Our products are warranted to be free from functional defects


in materials and workmanships at the time they leave the factory and
for a period of one (1) year from the date of delivery. Engineering
services are guaranteed for a period of ninety (90) days from the date of
project turnover.
This warranty shall be void if the instruments or wiring had been
tampered with, without permission from FAIC; or if the instruments have
been subjected to negligence, accident, improper operating or storage
conditions of power, temperature, humidity, dust, & corrosive elements,
damaged by circumstances beyond FAIC’s control; or if the terms of
payment have not been met.
