Good day!

I am writing in behalf of FIRST COMMUNITY COOPERATIVE (FICCO) with principal


office address at Corrales corner Fernandez Streets, Cagayan de Oro City. FICCO is
the owner of certain properties covered by the following Transfer Certificates of
Title:

1. Transfer Certificate of Title No. T109940


2. Transfer Certificate of Title No. T-109941
3. Transfer Certificate of Title No. T-109942
4. Transfer Certificate of Title No. T-109943
5. Transfer Certificate of Title No. T-109944
6. Transfer Certificate of Title No. T-109945
7. Transfer Certificate of Title No. T-109946
8. Transfer Certificate of Title No. T-109947
9. Transfer Certificate of Title No. T-109948
10. Transfer Certificate of Title No. T-109949
11. Transfer Certificate of Title No. T-109950
12. Transfer Certificate of Title No. T-109951
13. Transfer Certificate of Title No. T-109952
14. Transfer Certificate of Title No. T-109953
15. Transfer Certificate of Title No. T-109954

The following properties were subject to a Deed of Sale with MEMORIAL SERVICE
COOPERATIVE FEDERATION (MSCF) as VENDEE dated 9 December 2015 the
transfer of title of which is currently under the process with your good office.
Should the transfer of title still be under the process, we request that you halt the
proceedings on the following grounds:

FICCO ceded to sell the properties to MSCF due to their utilization of the same.
However, MSCF did not pay cash in consideration of the sale of the above-
mentioned properties. Instead, they issued common shares. It should be noted
that prior to the sale, FICCO is already the majority shareholder of MSCF and
including the issued common shares, FICCO is the largest stakeholder of MSCF.
Despite of this fact, the present management does not accord due respect to
FICCO in the management of the affairs of the company.

In view of their lack of respect to FICCO, FICCO as the VENDOR would like to
cancel the sale of the properties and retain ownership thereof. However, should
the transfer of title be already completed, we ask that you annotate our adverse
claim thereon as we proceed with the appropriate legal procedures in the return
of the titles in our name.
