the Southern District of New York pursuant to the Notice of Removal filed by the

Removing Defendants’ on February 24, 2012. In consenting to the removal of this action,

Defendant Credit Suisse Securities (USA) LLC expressly reserves any and all defenses it

may have, including lack of personal jurisdiction. See, e.g., Cantor Fitzgerald, L.F. v.

Peaslee, 88 F.3d 152, 157 n.4 (2d Cir. 1996); Gay v. Carison, No. 89 Civ. 4757 (KMW),

1991 WL 190584, at *5 (S.D.N.Y. Sept. 17, 1991).
