 The main character Shakun Kothari has the desire to achieve high in his life right
from his childhood. He starts his career as a courier boy. He used to help those
business people who were illegally carrying diamonds and cash between Mumbai and
Gujarat by carrying those things in trains. Even if the IT department raids they won’t
doubt him since he was just 10. The way he started earning is not ethical, but what we
can observe here is his smartness at a very small age. While children of his age were
busy in studying, he started making money. His character throughout carries the same
level of greed to earn more and more.

 Shakun Kothari through his tactics and ability turns a 50 million worth diamond
company to 500 billion company. His motive always is to earn profit no matter what it
takes. Takeovers or acquisitions are always a good way of expanding businesses. It
can help business units to enhance further. The customers of the company being
acquired will turn into our customers increasing our market reach. But the thing here
is about acquiring right company. In the movie, the character Shakun Kothari takes
over other businesses and expands his company net worth continuously. But the thing
here is, those takeovers are hostile takeovers. A hostile takeover is one in which the
target company’s shareholders and Board of Directors do not approve the takeover.
Therefore, the acquirer usually engages in tactics to complete the takeover. It can be
through replacement of BOD of the company or by offering exciting incentives to
those company’s shareholders. By offering the shareholders acquirer will be in a
position to influence them and make the management agree to the takeover.

 Shakun Kothari engages in Insider trading and he makes the most out of it. Insider
trading means getting the information from the inside sources of an organization and
then he takes his call on investing. He is smart enough to use currency notes
(Example 10 Rs note) to pass the insider information. This is illegal in India. There is
possibility of being fined or penalised. In one instance Shakun Kothari tries to spread
news contrary to the insider news so that the share prices go down for that company.

 There is one particular scene in which the character Rizwan Ahmed (stock broker and
other main lead) expects that the stock would fall for a particular company. Apart
from him everyone else will think that the stock price will go up. It is about a merger
between an Indian agro and a foreign company. As estimated by Rizwan Ahmed, the
stock price falls. The key point to be noted here is we need to do proper background
study of a company before predicting its price fall or rise. This particular foreign
company acquires farm lands in the countries that they invest in which won’t be
accepted by Indian farmers generally. The thing that can be observed here is Rizwan
Ahmed was able to read the minds of farmers and the impact that could have on the
merger. Sometimes reading the intuitions of people can help us. But Shakun is
someone who just relies on calculations and not on emotions.

 Shakun Kothari just keeps thinking about future and he is someone who senses
opportunities well in advance and plans accordingly in his own style. He badly wants
to get the telecom spectrum license (2G) which is the next big thing in country at that
point of time. He gets to know that a company named Skycom is eligible to get the
license and makes Rizwan Ahmed to acquire that company in his (Rizwan) name. He
makes Rizwan Ahmed to buy that company, just only to carry his unethical business
transactions in that company’s name and the market regulator SEBI won’t doubt
Shakun. In the process he cheats Rizwan Ahmed. What he actually does is he bribes
the telecom ministry to allocate the license to other companies where he can earn his
commission. And if Skycom doesn’t get the license it will obviously get bankrupt
because of the expectations that it had regarding obtaining the license. So he is clever
enough to dump 4000 crores worth of shares even before the news of allocation
comes out and makes Rizwan Ahmed answerable to SEBI on account of Insider
Trading.

 What Shakun Kothari believes is one need not need high level of education to run and
develop a business, and he proves it with this intelligence and common sense. Even in
Skycom case he actually isn’t interested in running the business, he just wanted to
make money out of it. He believes that one should always stick to his roots and should
never forget that. According to him everyone in one way or other behaves unethical to
get things done.
