(Hereinafter called THE BUYER)

The above parties hereby agreed that Seller shall sell and Buyer shall buy the
following commodity with the following terms and conditions:
1. Commodity: Vietnamese Whole Black Pepper (Piper nigrum L.)
2. Specification:
- General size - Diameter(mm) (approx.): 2.5 – 7.0
- Extraneous matter (m/m) (max.): 2.5%
- Bulk density (min.) : 450 g/l
- Moisture (m/m) (max.): 13.0%
- Light berries (m/m) (max.): 10.0%
- Piperine content (m/m) (min.): 4.0%
- Non-volatile etherz extract (m/m) (min.): 6.0%
- Total ash (m/m) (max.): 7.0%
- Volatile oils (ml/100 g) (min.): 2.0%
- Crop: 2020
Quality is to be determined at unloading port by China certification &
inspection group;
Inspection cost shall be at seller’s account;
C/Q issued at unloading port shall be final and binding both parties.
1. Quantity:
- 3,000 MT (3% more or less at Seller’s options);
- Tolerance’s price is determined at the time of contract;
- The mentioned above quantity is understood as gross weight for net;
 - Quantity is to be determined at unloading port by China certification &
inspection group;
1. Delivery
- Time of delivery: no later than 30 Nov, 2020;
- 3,000 MT in November;
- Port of loading: Cat Lai Port, Vietnam;
- Port of discharge: Qihuangdao Port, China;
- Place of destination: Qihuangdao Port, China;
- Within 48 hours prior to vessel’s arrival while the seller should inform the buyer
of the details of ETA.

1. Price:
- Price currency: USD;
- Unit price: USD 2,000/ MT as per DPU Cat Lai Port, Vietnam, Incoterms®
2020; packing charges included;
- Total price: USD 6,000,000.00 (3% more or less);
(In words: Six million United States dollars only (3% more or less));

1. Packing: in new single jute bags of 25 kg net each, 25.3 kg gross each.
1. Payment:
- Payment shall be made in USD in cash at the same time as delivery
- The Seller shall be fully paid at sight against the presentation of the
following documents to the buyer
● Full set of (3/3) Commercial invoice
● Full set of (3/3) Clean on Board Bill of Lading
● 02 original Certificate of Quantity and Quality
● 02 original Certificate of origin form E
● Phytosanitary certificate

This sales contract is done in Qingdao 09 Nov, 2020 in 04 (four) English originals,
02(two) for each side.
