PARTNERSHIP AGREEMENT

Parties (thereafter referred to as member) agree to sign the partnership agreement with following
contents:
Article 1: General principle
1. Members voluntarily form partnership to participate in the package: “…” under project: ….???
2. Members agree that the name of partnership in all transactions relating to this package is: A-B Joint
Venture (hereinafter called “A-B”
3. Members commit that none of them in allowed to independently or participate in partnership with
other members to take part in this package. In case of winning the bid, none bidding
documents/contract. In case member of partnership denies completing his private duties as being
agreed in the bid then such partnership will be eliminated and the procuring entity will not refund the
bid guarantee to that member.
In case member of partnership denies completing his private duties as prescribed in the Contract then
that member will be:
- Indemnify losses for parties in partnership.
- Indemnify losses for employer in accordance with regulations stated in the contract.
Article 2: Responsibility assignment
Members agree on responsibility assignment to implement package: “…” under project: “…” for each
member as follows:
1. Member leading the partnership:
Parties agree on assigning for A to be the leading member of partnership who represents for partnership
for following work:
- Sign on the Bid;
- Sign on documents and materials of transaction with procuring entity in bidding process, including
proposal document for specifying bidding documents and for explanation and specification of the bid;
- Participate in negotiation and completing process of contract;
- Sign on petition application in case the contractor submits petition;
- Prepare bid Bond, performance security and warranty security (if bid won);
- Provide goods, products with high quality standards as well as products' technical specifications and
other necessary documents during the process of delivering the goods to (name of Investor);
- Issue commercial invoices to the investor;
- Provide technical advisory of the project during implementation;
- Other work except the signing of the contract;
2. Member in partnership: Company B
Parties agree on assigning for B to be the member of partnership for following work:
- Provide suggested solutions and other necessary documents in the Proposal for submitting to (name of
Investor);.
- If contract is awarded to Joint Venture A-B:
- Work with A to deliver and install equipment, deploy services and related training courses during and
after project deployment;
- Work with A on products' maintenance during the process of project deployment on terms and
conditions that will be agreed by the parties.
Article 3: Validity of Partnership agreement:
1. Partnership agreement takes affect from the date of signing.
2. Partnership agreement will terminate validity in following cases:
- Parties complete their duties, obligations and liquidate the contract;
- Parties agree to terminate together;
- Eliminate bidding for the package “…” in accordance with notice of procuring entity.
Partnership agreement in made into 05 copies, each party keeps 02 copies, 01 copy for proposal
document, which have equal validity.
