第一章 总则
Chapter I General provisions
第 1 条 总述

Article 1 Overview

为促进各教学中心外籍师资队伍建设,使外籍教师管理科学化、规范化及制度化;并且尽最大努力稳
定现有外籍教师团队,特制定外籍教师管理办法。

In order to promote the establishment of foreign teachers in each teaching center and make the management
of foreign teachers scientific, standardized and institutionalized, and try best efforts to stabilize the current team of
foreign teachers, the Management Measures of Foreign Teachers is hereby formulated.

第 2 条 适用范围

Article 2 Application scope

本办法适用于公司各教学中心所有外籍教师(包含港澳台员工)。

This Measures is only applicable to all foreign teachers (including Hong Kong, Macao and Taiwan employees)
of all teaching centers of the Company.

第 3 条 原则

Article 3 Principle

3.1 合法性原则:外籍教师管理应符合中国相关法律法规及公司规定;

3.1 Legality principle: The management of foreign teachers shall be in compliance with relevant laws and
regulations of China and the regulations of the Company;

3.2 动态性原则:公司将根据管理需要,适时对本方案进行动态的调整。

3.2 Dynamic principle: The Company will make dynamic adjustments to the scheme according to the
management needs.

第二章 招聘录用
Chapter II Recruitment and employment
第 4 条 招聘原则

Article 4 Recruitment principles

4.1 守法原则。所有应聘或被录用的外教须尊重并遵守中华人民共和国宪法及其他各项法律法规,自
双方签订《外籍教师雇佣协议》之日起至聘用合约结束之日,在此期间应聘/被录用人员一旦发生
违法行为,公司可以随时解除劳动关系。

4.1 Principle of compliance with laws. All foreign teachers who apply for employment or are employed shall
respect and abide by the Constitution of the People's Republic of China and other laws and regulations.

From the date of concluding the Employment and Non-Disclosure Agreement (for Foreign Teachers) by
both parties to the expiry date of the agreement, the Company may cancel the labor relation at any time in
case of any unlawful acts of the person who apply for employment or are employed.

4.2 招聘合规原则。被录用的外教须依法提供包括且不仅限于体检健康证明、无犯罪记录证明、学历
证明等各类材料,如无法依法提供办理《外国专家来华工作许可证》的各种资料,则不符合录用
条件,已签订雇佣协议的,予以解除。

4.2 Principle of recruitment compliance. The foreign teachers employed shall provide all kinds of materials
according to laws, including but not limited to physical examination certificate, certificate of no criminal
conviction, education certificate, etc. Any foreign teacher who cannot provide all kinds of materials
necessary for handling the Foreign Experts Work Permit in China doesn’t meet the employment
conditions. If Employment and Non-Disclosure Agreement has been concluded, it shall be cancelled.

4.3 招聘资料真实性原则。被录用员工应保证向公司提供的一切个人资料和信息均真实有效,无论何
时,公司一旦发现存在虚假或伪造的现象,可以随时解除劳动关系。

4.3 Principle of authenticity of recruitment information. The employee shall ensure the authenticity and
effectiveness of all personal data and information provided to the Company. The Company may cancel
the labor relation at any time once the Company finds any false or forged contents in personal data and
information provided.

第 5 条 录用流程

Article 5 Employment process

5.1 候选人面试通过后,由人力资源部与其签订《外籍教师雇佣协议》,《外籍教师雇佣协议》在外
籍雇员取得《外国人工作许可证》后生效。

5.1 After the candidate has passed the interview, the HR Department may conclude the Employment and
Non-Disclosure Agreement (for Foreign Teachers) with him/her, which will come into effect after the
foreign teacher obtains the Work Permit for Foreigner.

5.2 外籍雇员须在 1 个月内根据中方的要求准备好办理《中华人民共和国外国人工作许可通知》所需


的各种材料;

5.2 The foreign employee shall prepare all materials necessary for handling the Notice on Work Permit for
Foreigner of the People’s Republic of China within 1 month;

5.3 由聘用外教的校区为外教办理工作签证;

5.3 The campus that employs foreign teachers shall handle the work visa for them;

5.4 外教入境后在旅馆以外的其他住所居住或者住宿的,应当在入住后二十四小时内向居住地的公安
机关办理登记。

5.4 Foreign teachers who live or stay in other places other than hotels after entry shall register in the public
security organ of the place where they live within 24 hours after check-in.

5.5 外教抵达学校后第一天,应联系人力资源部为其办理入职手续,外教应提供个人简历,护照页,
学历,教师资格证文件。

5.5 A foreign teacher shall contact the HR Department for handling the introduction formalities on the first
day that he/she arrives the school. A foreign teacher shall provide the resume, passport page, educational
background and teacher certificate.

5.6 外教按照当地政策要求跟随签证专员到中国境内检验检疫机构参加体检。

5.6 According to the local policy, the foreign teachers shall have physical examination in the inspection and
quarantine institution in China with the visa specialist.

5.7 在入境后 15 日内提出申领《外国人工作许可证》。

5.7 Apply for Work Permit for Foreigner within 15 days after entry.

5.8 按照工作签证上的要求:于入境之日起 30 日内办理居留证件。

5.8 According to the requirements on the work visa: Handle the residence permit within 30 days after the
entry date.

5.9 办理居留证件时需提供保险证明的,确保保单于外教入境当日已经生效。

5.9 If an insurance certificate needs to be provided for handling the residence permit, please ensure that the
policy is in effect on the entry date of the foreign teacher.

5.10 试用期转正:合同期限小于一年,试用期为 1 个月;合同期限大于一年小于两年试用期限为 2


个月。试用期满前 3 日外教填写试用期自我评估表,由人力资源部为外教提交 OA 流程申请转正,
流程审批通过后则外教顺利通过试用期,外教应联系人力资源部办理转正手续。

5.10 Regularization after the probation period: The probation period is 1 month for the contract term less
than one year; The probation period is 2 months for the contract term more than one year and less than
two years. Foreign teachers shall fill in the Self-Assessment Form for the Probation Period with 3 days
before the expiry of the probation period. The HR Department shall submit the OA application for
regularization for foreign teachers. After passing the approval process, the foreign teachers successfully
pass the probation period. The foreign teachers shall contact the HR Department for handling
regularization formalities.

第 6 条 合同期限与续签

Article 6 The term and renewal of the contract

6.1 合同期限:外籍教师雇佣协议分为年签制及长期制两种:

6.1 Contract term: Employment and Non-Disclosure Agreement (for Foreign Teachers) is divided into annual
system and long-term system:

6.1.1 年签制外教的合同期以学年为单位,为每年 9 月 1 日前后至次年 6 月 30 日前后,无论入


职日期为何时,首次雇佣协议到期日期均为签订日次年的 6 月 30 日前后。如续签,则仍
为当年 9 月 1 日前后起至次年 6 月 30 日前后止。协议期限内如包含寒暑假,公司则按照

相关发放规定进行寒暑假薪资发放,未包含在协议起始日期内的寒暑假不计薪。

6.1.1 The contract term for foreign teachers with annual system shall be based on the academic year,
i.e., from about September 1 of each year to about June 30 of the next year. The expiration date
of the initial Employment and Non-Disclosure Agreement shall be about June 30 of the next
year of the concluding, regardless of the introduction date. If the agreement is renewed, the
term shall still be from about September 1 of the current year to about June 30 of the next year.
If winter holiday and summer holiday are included in the term of the agreement, the Company
shall pay them the salary for winter holiday and summer holiday in accordance with the
relevant provisions. No salary shall be paid for the winter holiday and summer holiday not
included in the start date of the agreement.

6.1.2 长期制外教的合同期首次签订协议到期日为至少 2 年后的 6 月 30 日前后,时长无上限。


合约到期后,如外教愿意进行续签,且仍签订长期制协议,则第二次续签日可从 6 月 30
日前后起签,时长仍为 2 年及以上。协议期限内如包含寒暑假,公司则按照相关发放规
定进行寒暑假薪资发放,未包含在协议起始日期内的寒暑假不计薪。

6.1.2 For foreign teachers with long-term system, the expiry date of the first agreement shall be
about June 30 after 2 years at least, with no upper limit. After the contract expires, if the
foreign teacher is willing to renew a long-term agreement the second renewal date can be about
June 30. The term shall be still 2 years or more. If winter holiday and summer holiday are
included in the term of the agreement, the Company shall pay them the salary for winter
holiday and summer holiday in accordance with the relevant provisions. No salary shall be paid
for the winter holiday and summer holiday not included in the start date of the agreement.

6.2 合同续签:人力资源部将于每年 3-4 月份统一为所有考评合格且当年协议到期的外教进行雇佣协议


续签办理,如外教仍选择年签制协议,则续签后雇佣协议期限仍为当年 9 月 1 日前后至次年 6 月
30 日前后;如外教选择长期制协议,首次签订期限为当年 9 月 1 日前后至至少 2 年后的 6 月 30 日。

6.2 Contract renewal: In March and April of each year, the HR Department will handle the renewal of the
Employment and Non-Disclosure Agreement for foreign teachers who pass the assessment and whose
agreement expires in the current year. If a foreign teacher chooses to renew an annual agreement, the
term of the renewed agreement shall be about September 1 of the current year to about June 30 of the
next year; If a foreign teacher chooses to conclude a long-term agreement, the initial term shall be from
about September 1 of the current year to June 30 after 2 years at least.

第 7 条 离职/解聘说明

Article 7 Description of resignation /dismissal

7.1 离职/解聘包括的情形为:协议到期终止、解除劳动关系、员工自请辞职

7.1 Under following circumstances, resignation /dismissal is allowed: Termination of the agreement,
cancellation of labor relation, automatic resignation of employee

7.2 Termination of the agreement

7.2.1 合同到期,员工本人不愿续签的,应符合以下程序:

7.2.1 If the employee is unwilling to renew the contract when it expires, the following procedures
shall be followed:

7.2.2 每年 3-4 月份,由人力资源部统一组织外教续签工作,在此期间,员工需明确续签合同


意向;

7.2.2 For March-April per year, the HR Department shall organize the renewal of foreign teachers
uniformly. During the period, the employee shall identify the renewal intention;

7.2.3 如员工不愿续签劳动合同,需书面确认,并由校区负责人向人力资源部报备,同时员工
须配合岗位需要完成工作交接,办理离职手续后方可离职。

7.2.3 If the employee doesn’t want to renew the labor contract, it shall be confirmed in written form,
and be reported to the HR Department for filing by the Principal of the campus. At the same
time, the employee shall complete the work handover according to the post requirements, and
shall not leave before handling the resignation formalities.

7.2.4 合同到期,员工愿意续签劳动合同,但公司不予续签的应符合以下程序:

7.2.4 If the Company doesn’t want to renew the labor contract when the employee wants to renew
the labor contract when it expires, it shall meet the following procedures:

7.2.5 公司在合同到期前至少 30 天以书面形式通知雇员公司不予续签劳动合同;

7.2.5 The Company shall notify the employee in writing at least 30 days before the expiration of the
contract that it will not renew the labor contract;

7.2.6 与员工签订劳动合同终止协议,说明法律规定。

7.2.6 Conclude a labor contract termination agreement with the employee and explain the legal
provisions.

7.2.7 合同到期时,通知员工办理离职手续,员工办理离职手续与工作交接后离职。

7.2.7 Notify the employee to handle resignation formalities when the contract expires. The employee
can leave after handling resignation formalities and handover.

7.3 解除劳动关系

7.3 Cancellation of labor contract

7.3.1 有下列情形之一,公司将与员工解除劳动合同:

7.3.1 In case of following circumstances, the Company may cancel the labor contract with the
employee:

7.3.1.1 违反中华人民共和国治安管理处罚法的;

7.3.1.1 Violation of Public Security Administration Punishments Law of the People's Republic
of China;

7.3.1.2 在试用期间被证明不符合录用条件的;

7.3.1.2 Be proved to fail to meet the employment conditions during the probation period;

7.3.1.3 严重违反公司的规章制度,根据规章制度可予以解除劳动关系的;

7.3.1.3 Serious violation of the rules and regulations of the Company, under which the labor
relation can be cancelled;

7.3.1.4 严重失职,营私舞弊,给公司造成重大损害的;

7.3.1.4 Serious dereliction of duties or malpractice, causing serious loss to the Company;

7.3.1.5 员工同时与其它用人单位建立劳动关系,对完成本单位工作任务造成严重影响,
或者经公司提出,拒不改正的;

7.3.1.5 The employee establishes a labor relation with other employers at the same time, which
has a serious impact on the completion of the work tasks of the Company, or refuses to
make correction after being proposed by the Company;

7.3.1.6 员工被依法追究刑事责任的;

7.3.1.6 The employee is investigated for criminal liability legally;

7.3.1.7 发布有违职业道德形象、或有违政治方向、或有损企业品牌声誉形象等不正当言
论的;

7.3.1.7 Publish comments which violate professional ethics image, or political direction, or
have damage to the reputation and image of the corporate brand;

7.3.1.8 公司某一实体宣告合作解除、或破产,或处于法定整顿期间的。

7.3.1.8 One entity of the Company declares the cancellation of cooperation, or bankruptcy, or
is under statutory reorganization.

7.3.1.9 有本办法其他条款规定可以解除劳动合同的。

7.3.1.9 Other circumstances that the labor contract shall be cancelled stipulated in other
provisions of this Measures.

7.3.1.10 国家劳动相关法律法规规定的有关解除劳动合同的其它情形。

7.3.1.10 Other circumstances related to the cancellation of the labor contract as stipulated in
relevant labor laws and regulations of the state.

7.3.2 解除劳动关系应符合以下程序:

7.3.2 The cancellation of the labor relation shall be in compliance with the following procedures:

7.3.2.1 辞退试用期员工,校区负责人应在在试用期满前 6 天提出申请,人力资源部提前


三天通知其离职;

7.3.2.1 For dismissal of an employee in the probation period, the HR Department shall notify
the employee for leaving the office after the Principal of the campus submits an
application 6 days before the expiration of the probation period;

7.3.2.2 辞退正式员工,辞退的理由必须有文字或事实的证明,并必须符合正式员工的辞
退条件;

7.3.2.2 For dismissal of an official employee, the reason of dismissal must be proved by texts
or facts and must meet the dismissal conditions for an official employee;

7.3.2.3 辞退正式员工之前必须通知人力资源部,并由人力资源部采取合法的方式进行处
理。

7.3.2.3 The HR Department must be notified before the dismissal of an official employee, and
must handle with a legal method.

7.4 员工自请辞职

7.4 Automatic resignation of employee

员工因个人原因主动要求终止劳动关系为辞职,员工辞职应符合以下程序:

The employee shall be deemed as resigned if he/she initiatively requires to terminate the labor relation
due to personal reasons. The following procedures shall be met for resignation of the employee:

7.4.1 外教有义务保障受教育学生的教育连贯性和教学质量,遵守职业道德,因此,公司不建
议员工在雇佣协议期间中请辞,如因个别原因需要离岗,可与校区负责人协商解决办法。
如实在无法协调,不得不在学年中请辞,该行为将为公司带来额外经济损失,该经济损
失包括且不仅限于:学员及家长的抱怨及投诉、合作校区的抱怨及投诉、相关教师替代
工作的全部经济支出、相关教师超负荷工作引发的抱怨与投诉、教育相关管理部门审计
中的不合格项认定、招聘同岗位教师所付出的经济与时间成本、课程衔接中断的教学质
量缺损等。因此,学年中请辞的教师需认真思考由此引发的可能的经济损失,并须为此
负责。如确因学年中请辞而造成经济损失,则公司有权依法追究请辞员工的赔偿责任。

7.4.1 Foreign teachers shall be obliged to guarantee the educational continuity and teaching quality
of educated students and to abide by professional ethics. Therefore, the Company does not
recommend the employee to resign during the Employment and Non-Disclosure Agreement. If
the employee needs to leave his/her post for individual reasons, he/she can negotiate with the
Principal of the campus to solve the problem. If it cannot be coordinated and the employee
must resign during an academic year, it will cause additional economic losses to the Company,
including but not limited to: Complaints from students and their parents, complaints for the
cooperative campus, total cost of relevant teacher substitution works, complaints caused by
overwork of relevant teachers, identification of non-conformance in the audit of relevant
education administrative department, economic and time cost of recruiting a teacher of the

same post, the defect of teaching quality caused by the discontinuity of course cohesion.
Therefore, teachers who resign during an academic year shall think carefully about the possible
economic losses caused by this and be responsible for it. For economic losses caused by
resignation during an academic year, the Company shall be entitled to investigate the
compensation liability of the resigned employee.

7.4.2 员工如确定辞职,则必须提前六十日以书面形式向校区负责人递交辞职报告,校区负责
人提交人力资源部备案。

7.4.2 If the employee decides to resign, he/she must submit the resignation report in writing to the
Principal of the campus with 60 days in advance. The Principal of the campus shall submit the
report to the HR Department for filing.

7.4.3 员工无论以何种理由提出辞职申请,自辞职申请被批准之日起,仍需在原工作岗位继续
工作六十天,在此期间完成工作交接;未被批准不得提前离职,擅自缺勤或离职者以旷
工论处,并赔偿因此给公司造成的经济损失,公司保留进一步追究责任的权利。若辞职
后受聘于第三方,除员工本人须承担直接赔偿责任外,第三方应当依法承担连带赔偿责
任;

7.4.3 The employee who submits a resignation application for any reason shall continue to work in
the original post for 60 days from the approval date of the resignation application, and
complete the handover during the period; The employee shall not leave his/her post in advance
without approval. The employee who is absent from duty or leaves his/her without
authorization shall be punished as absenteeism, and compensate the economic losses incurred
to the Company. The Company shall reserve the right for investigating liabilities further. If any
employee is employed by a third party after resignation, the third party shall be jointly and
severally liable for compensation in accordance with the law, in addition to the direct
compensation liability which shall be borne by the employee;

7.4.4 未能提前六十日以书面形式递交辞职报告或者未按照公司要求办理交接手续的,对于此
违反《劳动合同法》的情况,公司将在《终止/解除劳动合同证明》上予以详细注明。由
于员工未提前六十日以书面形式递交辞职报告交接工作,而给公司造成的经济损失,将
予以赔偿。

7.4.4 If the employee fails to submit the resignation report in writing with 60 days in advance or fails
to handle handover formalities as required by the Company, for the situation of violating the
Labor Contract Law, the Company will specify the situation in details in the Labor Contract
Termination/Cancellation Certificate. The employee shall compensate the Company for the
economic losses incurred on account of that the employee fails to submit the resignation report
in writing for handover 60 days in advance.

7.4.5 员工提出辞职的日期,以校区负责人收到本人的辞职申请邮件日期为准;

7.4.5 The resignation date of the employee shall be the date on which the Principal of the campus
receives the email of resignation application;

7.4.6 辞职申请获批后,员工须按照公司规定办理完工作交接,在办理完所有离职手续后,公
司将开具《终止/解除劳动合同证明》

7.4.6 After the resignation application is approved, the employee shall complete the work handover
in accordance with the regulations of the Company. After handling all resignation formalities,
the Company will issue the Labor Contract Termination/Cancellation Certificate;

7.4.7 员工在辞职申请被批准之日的六十日内的最后一个工作日,联系人力资源部办理离职手
续。

7.4.7 The employee shall contact the HR Department for handling the resignation formalities on the
last working day within the 60 days after the approval of the resignation application.

7.5 员工离职手续的办理:

7.5 Handling of resignation formalities:

7.5.1 员工应与校区负责人办理相关工作交接。

7.5.1 The employee shall handle relevant work handover with the Principal of the campus.

7.5.2 工作交接手续办理完毕后,个人在《解除劳动合同证明》上确认签字,人力资源部为员
工开出《工作证明》。员工各种离职手续办理完毕后公司将不再承担任何之后发生的费用。

7.5.2 After handling work handover formalities, the employee shall sign the Labor Contract
Cancellation Certificate and the HR Department shall issue the Employment Certificate. The
Company will not bear any expenses incurred after the completion of all resignation
formalities.

第 8 条 试用期

Article 8 Probation period

8.1 每位新员工均设试用期,试用期期间校区负责人和人力资源部共同考核员工,并对员工进行定期
评估。

8.1 All new employees shall be subject to a probation period. During the probation period, the Principal of
the campus and the HR Department shall jointly assess employees and evaluate employee regularly.

8.2 如果员工在试用期期间被确定不符合录用条件的,公司可以解除劳动合同。

8.2 If an employee is determined not meeting the employment conditions in the probation period, the
Company can cancel the labor contract.

第 9 条 保密义务

Article 9 Confidentiality obligation

9.1 为保守公司秘密,维护公司权益,公司全体员工都有保守公司秘密的义务。员工加入公司时均应
签署《保密协议》,承诺无论在何时何地都不得泄露任何在公司服务期间获得的公司内部资料
及保密资讯。

9.1 In order to keep the secrets of the Company and safeguard the rights and interests of the Company, all
employees of the Company shall be obliged to keep the Company's secrets. When joining the
Company, all employees shall sign the Confidentiality Agreement, promising not to disclose any
internal information and confidential information obtained when providing service for the Company
whenever and wherever.

9.2 员工在公司内部合作及对外交往与合作中,应严格遵守公司的保密制度,不得以任何方式自用公
司秘密;向公司内、外无关人员散布、泄漏公司秘密;更不准利用公司秘密进行任何形式的牟
利。公司对违反保密制度的员工将追究其相应责任。公司根据工作需要,对重要岗位设定脱密
期或签订竞业限制协议,并按相关规定进行管理。

9.2 Employees shall strictly abide by the Company's confidentiality system during internal cooperation,
external exchange and cooperation, and shall not use the Company's secrets for themselves in any
way; Spread or disclose the Company’s secrets to unrelated personnel in or out the Company; Shall
not use the Company’s secrets for any form of profit-making. The Company will investigate the
liabilities of employees who violate the confidentiality system. The Company shall set the period for
keeping away from confidential information or conclude the competitive restriction agreement for
important posts according to the work demand, and manage them according to relevant regulations.

第三章 考勤管理
Chapter III Attendance management
第 10 条 工时制度

Article 10 Working hour system

工作时间是员工依照公司的规定,在工作场所执行所指派任务的时间。公司实行一周五天工作日制。
(正常情况下工作日为周一至周五,如因个别教学中心工作需要调整工作时间,以及公司要求的其他时间
进行工作,会与雇员协商确定)。具体作息时间遵照各教学中心的安排执行。雇员每周在校办公时间 40 小
时(含上课时间及行政办公时间),校区可以在办公时间内为外教安排工作任务。

The working hour is the time that employees perform assigned tasks in the workplace in accordance with the
regulations of the Company. The Company implements the working system of five working days in one week.
(Normally, the working days are from Monday to Friday. If the working hours need to the adjusted due to the work
demand of single teaching center, or it needs to work during other times required by the Company, it will be
determined by negotiating with the Employee). The specific timetable shall be implemented in accordance with the

(including the class hours and administration hours). The campus can arrange the work tasks for foreign teachers
during office hours.

第 11 条 超时工作

Article 11 Overtime work

11.1 外教的合同期以学年为单位,为每年 9 月 1 日-次年 6 月 30 日,外教应在一学年内承担 720 课


时教学任务,超出的部分课时费额外计算。

11.1 The contract term of foreign teachers is based on the academic year, i.e., from September 1 to June
30 of the next year. A foreign teacher shall undertake the teaching task of 720 class hours in one
academic year. The expenses for the exceeding class hours shall be calculated additionally.

11.2 公司各部门应当合理安排工作,尽量避免或减少超时工作,以保障员工的身体健康。若确因经
营 管理需要或任务紧急,公司可以依法安排员工超时工作。员工因工作需要并经公司提前批
准,可以超时工作。一般每日不得超过 1 小时;因特殊原因需要加班的,在保障劳动者身体健
康的条件下,每日不得超过 3 小时,每月不得超过 36 小时。

11.2 Each department of the Company shall arrange work reasonably and try the best to avoid or reduce
overtime work, so as to ensure the health of employees. For the demand of operation and
management or emergency task, the Company may arrange overtime work for employees legally.
Employees may work overtime due to the requirement of work, with the prior approval of the
Company. Generally, the overtime work per day shall not exceed 1 hour; If overtime work is
required for special reasons, it shall not exceed 3 hours per day or 36 hours per month, under the
condition of guaranteeing the health of employees.

11.3 以下情形不视为加班:

11.3.1 Group activities such as dine together, travel and development arranged by the Company

11.3.3 未经公司安排或批准仅是在下班后或上班前逗留工作场所(岗位)的,不能记为加班,
不享有加班待遇;

11.3.3 Those who only stay in the workplace (post) after work or before work without the
arrangement or approval of the Company shall not be deemed as overtime work and shall not
be entitled to enjoy overtime work benefit;

11.3.4 员工自愿参加公司文体活动的业余训练和排练的时间;

11.3.4 The spare time for participating in training and rehearsal voluntarily for participating in the
recreational and sports activities of the Company;

11.3.5 员工在非工作时间自愿来公司。

12.1 法定假期,员工依法享有《劳动法》和其他相关法律规定的法定节假日。法定假日共 11 天,具体

Labor Law and other relevant laws. The statutory holidays are 11 days in total as follows (in case of changes, it

holiday and the summer holiday according to the specific situation.

12.1.2 Sick leave

12.1.2.1 外籍员工因病需要休养的,需由校区教务人员代为在 OA 中“请假”模块申请病


假。病假每次最少按 0.5 天计算。

12.1.2.1 If foreign employees need to recuperate due to illness, the academic affair staff of the
campus shall apply for sick leave in the "leave" module of OA on behalf. Each sick
leave shall be calculated as at least half a day.

12.1.2.2 员工每月允许 1 天缺医生证明的病假,不可累计。

12.1.2.3 超过 3 天(不含)的病假须提供当地外籍人员定点医疗机构挂号凭证、诊断证明
及医生开据的正规病假条(加盖医院公章),同时出据医生的诊断书,并 OA 请假
流程批准。

12.1.2.3 For a sick leave exceeding 3 (exclusive) days, the registration certificate issued by the
designated local medical institution for foreigners, proof of diagnosis and regular sick
note (with the official sea of the hospital) issued by the doctor shall be provided. At the
same time, the diagnosis certificate of the doctor shall be provided. And the approval of
OA leave process shall be obtained.

12.1.2.4 员工患有严重疾病涉及医疗期的按照劳动法的相关规定执行。医疗期满后如不能
从事原工作且不能就调换工作达成一致的,依据国家法律及公司相关规定,公司
提前三十日以书面形式通知员工或者额外支付员工一个月工资后可以解除劳动合
同。

12.1.2.4 For employees suffering serious illness involving a medical treatment period, it shall be
implemented according to relevant provision of the labor law. If the employee is unable
to take up the original job and cannot reach an agreement on changing the job after the
medical treatment period expires, the Company may cancel the labor contract after
giving a written notice to the employee with 30 days in advance or paying the
employee with the salary for an extra month in accordance with the national laws and
relevant provisions of the Company.

12.1.3 事假

第 13 条 休假期间的待遇

13.2 寒暑假工资按照合同约定的金额与发放时间发放。

13.3 员工病假期间按照日工资标准的 50%计发,病假期间不再享受的各类补贴。连续病假超过 22


个工作日的,从第 23 日起按日工资标准的 25%计发,但实发金额不低于当地当年最低工资标
准的 80%。

13.3 The salary of employees during the sick leave shall be calculated and paid as 50% of the daily salary
standard, all kinds of subsidies will not be paid during sick leave. If the continuous sick leave
exceeds 22 working days, the salary shall be calculated and paid as 25% of the daily salary standard
since the 23rd day. However, the actual amount paid shall not be less than 80% of the local minimum
salary standard of the same year.

13.4 事假每次最少按 1 小时计算,超出 1 小时不足 2 小时的按 2 小时计,以此类推。事假期间不计


薪,事假期间不再享受各类补贴。

14.1.3 教师的日常考勤根据学校相关要求进行管理,具体要求按照所在校区规定执行。

14.1.3 The daily attendance of teachers shall be managed according to the relevant requirements of
the school. The specific requirements shall be implemented according to the regulations of the
campus.

14.1.4 教师如发生上课迟到、早下课、旷课等情况,均记为教学事故,处理办法参照《教学事
故认定与处理管理规定》

14.2 旷工

14.2.1 员工发生以下情况视为旷工:

not approved by the leader or the Company (excluding special or emergency situations),
it shall be deemed as absenteeism. Absenteeism less than 1 day shall be calculated as 1
day/time;

14.2.1.2 雇员在未得到公司允许或事先审批的情况擅自离岗,视为旷工,记旷工一次;

14.2.1.2 If the employee leaves the post without authorization without the permission or prior
approval of the Company, it shall be deemed as absenteeism and be recorded as one
absenteeism;

14.2.1.3 例会无故缺勤 3 次,视为旷工,记旷工一次;

14.2.1.3 Absence of regular meeting for 3 times shall be deemed as absenteeism and be
recorded as one absenteeism;

14.2.2 旷工的处理:

济补偿。

14.2.2.2 For absenteeism exceeding 3 (inclusive) times in one academic year, the Company
shall be entitled to terminate the labor contract, without providing any economic
compensation.

14.3 换课:

14.3 Course change:

如果教师 A 需向教师 B 换课,必须得到教学主任或校区负责人的同意。A 有义务通知 B 上课,如果出


现 B 或 A 缺席,本学期将不再接受此两位老师换课。

If teacher A needs to change course with teacher B, the consent of the Director of teaching affair or the
Principal of the campus shall be obtained. Teacher A shall be obliged to notify teacher B for taking the class. In
case of absence of teacher B or teacher A, the course change of two teachers will not be accepted in this semester.

注:外教累计三次教学事故,公司有权解除劳动合同并不提供任何经济赔偿。因外教原因造成公司财
产损失的,公司会依法要求外教赔偿。

Note: For a foreign teacher with three teaching accidents accumulatively, the Company shall be entitled to
cancel the labor contract without providing any economic compensation. For property loss incurred to the
Company due to the reason of any foreign teacher, the Company will require the foreign teacher for compensation
in accordance with laws.

第 15 条 请/销假程序

Article 15 Procedures for leave request/resumption from leave

15.1 除法定节假日和寒暑假外,无论何种休假,外方方员工请假都应当由校区教务人员代为在 OA
中进行流程提报进行审批,在规定的时间内持本制度规定的证明材料履行请假程序,经批准后
方能休假。否则,请假无效。如不能保证岗位业务的正常运转,公司有权要求员工更改休假时
间。

15.1 In addition to statutory holidays, the winter holiday and the summer holiday, for all kinds of leaves,
the academic affair staff of the campus shall submit the leave request in the OA for approval on
behalf of the foreign employee, and perform the leave request procedures with the certificates
stipulated in the system within the specified time. And the foreign employee can take a leave after
obtaining the approval. Otherwise, the leave request shall be invalid. If the normal operation of the
post business cannot be guaranteed, the Company shall be entitled to ask employees to change their
holiday time.

according to the stipulated time and formalities or fails to provide necessary certificates; Those

15.2.3 因特殊情况可先电话短信告知直接主管和部门负责人,但需两日内补办请假手续,不按
规定执行的,视为擅自离岗,按旷工处理。

处理,按照事假处理天数超过 3 天的,按照旷工处理。

requirements of the Company, it shall be treated as days off firstly if there are days off, and
then be treated as personal leave. If the number of days treated as personal leave exceed 3, it
shall be treated as absenteeism.

15.3 销假

15.3.1 除法定节假日的所有休假,员工都应当于假满返岗后第一时间到直接上级主管处报到,
并到考勤人员处销假。假满后未到岗报道的,按旷工处理。

15.3.2 For each intentional concealing or falsification of the Principal for attendance and relevant
personnel, RMB 500 will be deducted and a notification of criticism will be circulated.
Fraudulent holiday shall be treated as absenteeism. The second time shall be deemed as a
serious violation of the rules and regulations of the Company. Under such situation, the
Company will unilaterally terminate the labor contract without paying any economic
compensation.

第四章 外教行为规范
Chapter IV Code of conduct for foreign teachers
该条款陈述了公司的纪律条例及教师职业道德行为标准,目的是使所有的员工都为了达到公司的总体
目标而遵守的职业行为规范。外教行为规范会作为外教续签,涨薪,和推荐信的重要考虑因素。

This article sets out the disciplinary rules for the Company and the standards of professional ethics for
teachers, with the aim of ensuring that all employees comply with the code of professional conduct in order to
achieve the overall objectives of the Company. The code of conduct for foreign teachers will be regarded as the
important consideration for the renewal, salary increase and recommendation letter of foreign teachers.

第 16 条 行为准则

Article 16 Code of conduct

16.1 在旅居中国期间,雇员需遵守中国的法律法规并尊重中国的文化和习惯。

16.1 Employee shall abide by laws and regulation of China and respect the culture and customs of China
when staying in China.

16.2 在行为上雇员应该在任何时候都以教育者的职业荣誉和尊严来约束自己。

16.2 With respect to behaviors, employees shall bind themselves with the professional honor and dignity
of an educator at all times.

16.3 在课内外,雇员需尊重所有人的尊严和权利,不得对不同种族、宗教、人种、性别、性取向、
年龄或级别的人进行歧视。

16.3 Both in and out classrooms, employees shall respect the dignity and rights of all people and shall not
discriminate against people of different races, religions, genders, sexual orientations, ages or grades.

16.4 上班期间按照公司规定着装, 不许穿背心、短裤、拖鞋等非职业化的服装。时刻规范自己的言


行举止,在学生、家长和学校树立自我良好形象。

16.4 During working hours, employees shall dress in accordance with the regulations of the Company,
and shall not wear vest, shorts, slippers and other non-professional clothing. Employees shall always
regulate their words and behaviors, and establish a good image for students, parents and school.

第 17 条 教学准则

17.1 根据教学中心所制定的学期教学计划和评估计划安排教学。每周按教学中心要求在规定时间内
提交下周教案或者周报。及时与教学中心负责人,教学负责人沟通考评实施状况、考评批改状
况、补考安排情况、学生表现等。

17.1 Arrange teaching works according to the teaching plan and evaluation plan of each semester
formulated by the teaching center. Submit the teaching plan or weekly report for next week within
the specified time as required by the teaching center weekly. Timely communicate with the Principal
of the teaching center and the Principal of teaching about the implementation situation of

第 19 条 雇员发生以下行为,将受到口头或书面警告。对于造成公司损失情况,依据实际情况进行赔付:

incurred to the Company, the compensation shall be conducted according to the actual situation:

19.1 违反公司对员工的着装等仪容仪表的规定;

19.2 对其他员工言辞行为粗鲁不礼貌,引起其他员工投诉或造成不良影响;

19.2 Have rude words and behaviors to other employees, causing complaint of other employees or
resulting in adverse effects;

19.3 工作拖沓,不能完成工作要求进度,不能很好的给其他员工提供工作协作;

19.3 Be laggard in work, cannot complete the required works progress, fail to provide work collaboration
to other employees;

19.4 不能与同事建立良好沟通,不能向主管领导汇报与工作相关的问题和信息;

注:外教累计受到三次书面警告,属于严重违反公司规章制度,公司有权解除劳动合同,不支付任何
经济补偿。因外教原因造成公司财产损失的,公司会依法要求外教赔偿。

contract, without paying any economic compensation. For property loss incurred to the Company due to the reason
of any foreign teacher, the Company will require the foreign teacher for compensation in accordance with laws.

第 20 条 雇员发生以下行为,公司有权立即解除劳动合同,不支付任何经济补偿,且不承担任何相关责任:

Article 20 In case of following behaviors of employees, the Company shall be entitled to cancel the labor contract
immediately without paying any economic compensation or bearing any relevant liabilities:

20.1 违反中华人民共和国刑法、治安处罚法的行为、被采取刑事强制措施的。行为包括但不限于酗
酒、打架斗殴、吸毒、滞留其他人员吸毒,辱骂、恐吓、威胁、殴打和强迫学生或其他老师;

20.1 Have behaviors violating the Criminal Law of the People's Republic of China and Public Security
Administration Punishments Law of the People's Republic of China, and be taken criminal coercive
measures. The behaviors include but not limited to alcoholism, fighting and brawling, drug use,
retention of other drug users, abuse, intimidation, threat, beating and forcing students or other
teachers;

20.2 未经授权擅自发布,公开传播公司内部信息、数据、材料、人员信息等商业秘密,散布不实消
息,负面消息给公司造成损失或者影响公司声誉,引起第三方投诉或者处罚的;

20.2 Release and publish the internal information, data, materials, personal information and other trade
secrets of the Company without authorization, spread false information and negative information
causing losses to the Company or affecting the reputation of the Company, resulting in the complaint
or punishment of any third party;

20.3 给公司造成严重的经济损失或者收入减少,达人民币 5000 元或以上的;

20.3 Cause serious economic losses to the Company, or reduce the revenue of the Company, with the
amount reaching up to RMB 5,000 or above;

20.4 泄露公司商务机密,并破坏财务规定和损害公司利益的行为;

20.4 Disclose the trade secrets of the Company, violate financial regulations and damage the interests of
the Company;

20.5 违反合同规定,泄露薪资及相关福利,并造成不良影响;

20.5 Violate regulations of the contract, leak salary and relevant benefits, causing adverse effect;

20.6 不遵从教学中心负责人或者公司相关部门工作要求和管理指导的行为;

20.6 Fail to comply with the work requirements and management guidance of the Principal of the teaching
center or relevant departments of the Company;

20.7 不及时汇报工作中的重大失误,隐瞒实情或由于玩忽职守造成公司严重损失的行为,达人民币
5000 元或以上的;

20.7 Fail to report major mistakes in work timely, conceal the truth or cause serious losses to the
Company due to neglect of duty, with the amount up to RMB 5,000 or above;

20.8 无法承担教学或保质保量完成教学,经两次(不含两次)以上提醒仍无明显改善或导致学生流
失或造成学生家长严重投诉;

20.8 Cannot undertake teaching or finish teaching on quality and quantity, have no obvious improvement
after over two (exclusive) reminds, or lead to loss of students or serious complaints of student
parents;

20.9 雇员在基于任何情况下旷工达到 3 天或 3 天以上;

20.9 Any employee is absent from work for 3 days or more under any circumstances;

20.10 引诱、唆使或者蓄意引诱、唆使本公司以及本公司分支的职员离职;

20.10 Induce, instigate or intentionally induce or instigate employees of the Company or its branches to
resign;

20.11 从事其他兼职工作,影响在公司的正常工作及运行;

20.11 Engage in other part-time jobs, affecting the normal work and operation of the Company;

20.12 严重侵犯他人隐私,传播不良言论;

20.12 Infringe the privacy of others seriously, spread bad comments;

20.13 违反职业道德标准的行为,经提醒及警告仍无明显改善,或造成严重影响或损失。

20.13 Violate professional ethnics, and don’t make obvious improvement after reminding and warning or
result in serious effect or loss.

20.14 假期已满,仍未销假上班且未履行请假手续者。

20.14 Fail to resume from leave and perform procedures for leave after the holiday expires.

20.15 索要、收受学生及家长财物,参加由学生及家长付费的宴请、旅游、娱乐休闲等活动,或利用
家长资源谋取私利。

20.15 Ask for or receive the properties of students and their parents, participate in any banquets, travels,
entertainment and leisure activities at the cost of students and their parents, or seek own interests by
utilizing the resources of parents.

第 21 条 雇员有下列情况之一出现,公司有权立即解除劳动合同,不支付任何经济补偿,并不承担任何相
关责任。

Article 21 In case of following behaviors of employees, the Company shall be entitled to cancel the labor contract
immediately without paying any economic compensation or bearing any relevant liabilities.

21.1 欺骗、偷盗、渎职行为、本性罪恶、品行举止过分,如道德败坏,非法挪用公共资产或将其据
己有,粗暴侵犯公司财产或名誉;

21.1 Have cheating, theft, misconduct, criminal nature, excessive conduct, such as demoralization,
misappropriation or possession of public assets, gross violation of the property or reputation of the
Company;

21.2 与公司失联达 3 天或 3 天以上;

21.2 Lost contact with the Company for 3 days or more;

21.3 性骚扰行为,个人生活不检点,包括但不限于与学生有越界关系等,在教师和学生、家长中造
成不良影响;

21.3 Have sexual harassment and indiscretions of personal life, including but not limited to having a
cross-border relation with students, having adverse effect on teachers, students and parents;

21.4 其他任何违反中国法律的行为,包括公司规定之外或员工职业范围之外的违法行为;

21.4 Any other behaviors in violation of Chinese laws, including illegal behaviors not stipulated in the
regulations of the Company or professional scope of employees;

以上各条,公司有权诉诸法律,追究相关法律责任。因外教原因造成公司财产损失的,公司会依法要
求外教赔偿。

For above articles, the Company shall be entitled to bring to court and investigate relevant legal liabilities. For
property loss incurred to the Company due to the reason of any foreign teacher, the Company will require the
foreign teacher for compensation in accordance with laws.

第五章 福利制度
Chapter V Benefits system
第 22 条 商业保险

Article 22 Commercial insurance

公司统一经保险公司为外籍雇员缴纳意外伤害险和医疗保险,作为员工福利的一部分。标准由公司与保
险公司协商确定。本保险包括重大疾病险、住院医疗险、意外伤害险、航空意外伤害险、门诊医疗险以及
健康管理服。具体参照保险手册。

The Company shall pay accident insurance and medical insurance for foreign employees through an insurance
company uniformly as a part of benefits of employees. The standard shall be determined by the Company through
negotiation with the insurance company. This insurance covers critical illness insurance, in-patient medical
insurance, accident insurance, aviation accident injury insurance, outpatient medical insurance and health
management service. Refer to the insurance manual for details.

22.1 保险合同生效之日起第一个月内为重大疾病免赔付期,若雇员在此期间发生医疗费用,保险公
司以及公司不承担任何赔付责任。若公司代为垫付的,则雇员应当全额补偿公司,雇员同意由
公司从其后续工资中扣除,不足部分由雇员另行补偿。

22.1 The first month since the effective date of the insurance contract is the deductible period of critical
illness. If medical expenses of employees occur in the period, the insurance company and the
Company shall not be liable for compensation. If the Company pays it in advance on behalf, the
employee shall make full compensation to the Company. And the employee agrees that the Company
can deduct it from subsequent salary. The insufficient part shall be compensated by the employee
separately.

22.2 若雇员生病符合医疗保险理赔条件的,公司负责代为向保险公司在投保保险理赔金额范围内进
行索赔,报销医疗费用。对雇员在医疗保险起付点以下和最高支付限额以上的医疗费用部分,
由雇员自行承担责任。

22.2 If the illness of the employee meets the medical insurance claim conditions, the Company shall be
responsible for making claims and reimbursing medical expenses to the insurance company within
the scope of insurance claims. The employee shall bar the medical expenses below the deductible
amount of medical insurance and above the maximum payment limit.

22.3 若雇员生病是与先天疾病或者已有病史有关,则雇员应当自己承担由此而发生的一切医疗费用,
公司和保险公司均不承担任何赔付责任。若公司代为垫付的,则雇员应当全额补偿公司,或者
由公司从其后续工资中扣除,不足部分由雇员另行补偿。

22.3 If an employee's illness is related to a congenital disease or existing medical history, the employee
shall bear all medical expenses incurred thereby. The Company and the insurance company shall not
be liable for any compensation. For the expenses paid by the Company in advance on behalf, the
employee shall compensate the Company in full, or the Company shall deduct it from subsequent
salary. The insufficient part shall be compensated by the employee.

22.4 每次就医,雇员需收集必要的医疗证明,并遵循一定的程序。因未能提供足够医疗证明而造成
无法向保险公司索赔的,公司没有责任对雇员进行偿还。若公司代为垫付的,则雇员应当全额
补偿公司,或者由公司从其后续工资中扣除,不足部分由雇员另行补偿。

22.4 For each medical treatment, employees shall collect necessary medical certificates and follow certain
procedures. If it cannot make a claim against the insurance company due to failure in providing
sufficient medical certificates, the Company shall not be liable to make compensation to the
employee. For the expenses paid by the Company in advance on behalf, the Employee shall
compensate the Company in full, or the Company shall deduct it from subsequent salary. The
insufficient part shall be compensated by the employee.

22.5 如雇员辞职、违约或被公司辞退,保险费由雇员自己承担,届时公司会从雇员最后一个月的薪
资中按比例扣除。

22.5 If the employee resigns, breaches the contract or is dismissed by the Company, the insurance
premium shall be borne by the employee. At that time, the company shall deduct it in proportion
from the salary of the last month of the employee.

第 23 条 福利

23.1 交通补贴:当外教正常履行劳动合同到期,公司将给予外教特殊交通补贴,标准如下:

23.2 逢重大节日时,由公司视情况为员工发放节日慰问品或节日补贴,或者组织相关活动,共贺节

第 25 条 附则 Article 25 Supplementary provisions

25.1 本制度由人力资源部制定,经股东会及董事会批准后发布执行,修改亦同。

25.1 The system is formulated by the HR Department, issued and implemented after being approved by
the Board of Shareholders and Board of Directors, the same for modification.

25.2 本制度自发布之日起执行,今后若相关国家法律法规、公司内外环境及政策的化,公司保留进
行相应调整的权利。

25.2 The system shall be implemented from the issuance date. The Company reserves the right to make
corresponding adjustments in the future in case of changes to relevant national laws and regulations,
internal and external environment and policies of the Company.
