DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF ABSOLUTE SALE is made, executed and entered into by:

BOY BERMUDEZ FLORES, of legal age, Filipino citizen, and a resident of

Cuyapo, Nueva Ecija, hereinafter referred to as the SELLER.

-AND-

GACULA TERRA HOLDINGS is a private corporation, duly organized and

existing under and by virtue of the laws of the Republic of the Philippines with principal
office address at San Andres, Victoria, Tarlac, and herein represented by its Chairman,
GEORGE P. GACULA, of legal age, Filipino citizen, and a resident of San Andres,
Victoria, Tarlac, hereinafter referred to as the BUYER.

WITNESSETH:
       WHEREAS, the SELLER is the heir of the registered owner/tenant, FELIX
BERMUDEZ (by virtue of Barangay Certification which is hereto attached for
reference) of a parcel situated in the Barrio of Bonifacio, Cuyapo, Nueva Ecija with an
area of NINE THOUSAND FOUR HUNDRED TWENTY (9,420) SQUARE
METERS more or less with Lot No. 2066;
WHEREAS, the BUYER has offered to buy and the SELLER have agreed to sell
the above mentioned property for the amount of TWENTY THOUSAND
(PHP20,000.00) Philippine Currency;
  NOW THEREFORE, for and in consideration of the sum of TWENTY
THOUSAND (PHP20,000.00) Philippine Currency, hand paid by the vendee to the
vendor, the SELLER DO HEREBY SELL, TRANSFER, and CONVEY by way of
Absolute Sale unto the said BUYER, their heirs and assigns the above mentioned parcel
of land free from all liens and encumbrances of whatever nature including real estate
taxes as of the date of this sale.
IN WITNESS WHEREOF, the parties have hereunto set their hands this
