WHEREAS, the Vendor became vested with land having an extent of 33.19 Ares; in
which 5.26 Ares comprised in Re-survey 58/1 and 27.93 Ares comprised in Re-
Survey 58, Block 11 of Muttambalam Village, Kottayam Taluk, Kottayam District, as
per the Sale Deed No. 2327 of 2014, registered in Book 1, Volume 1611, Pages
from 197 to 204 of Kottayam Additional Sub Registry.

AND WHEREAS, Vendor has carried out mutation of rights in the Village records
and has paid land tax for the Financial Year 2019-2020 for the said land under
Thandapper account number 13177 in Muttambalam Village office. The said
land is more particularly mentioned and described in Schedule - A below.

AND WHEREAS, the Vendor envisaged a project in the said land and for that
purpose Vendor obtained approved plan and Building Permit No. PW3/BA/540/
13-14, Dated 31/12/2014 issued from Kottayam Municipality to put up multi –
storied building therein.

AND WHEREAS, Vendor has obtained all necessary sanctions from the statutory
authorities for developing the land by constructing multi-storied residential
apartment building under the project named “KALYAN SANCTUARE”.

AND WHEREAS, Vendor constructed the said multi-storied residential apartment


building with common amenities and facilities, which is named “KALYAN
SANCTUARE”.

AND WHEREAS, Vendor has offered to sell and Purchasers have agreed to
purchase, undivided share in the land mentioned in the Schedule – A and an
apartment together with exclusive car parking facility as a special privilege
attached to the apartment, and with right to use all common facilities and
amenities, more particularly described in the Schedule – B hereunder exclusively
for residential purpose.

AND WHEREAS, as per Resolution passed in the meeting held on 11 May 2011,
the partners of the said firm has empowered the said Managing Partner Karthik
Ramani to execute and register sale deeds and to do everything for the transfer of
right in the undivided share in the land mentioned in Schedule – A land and the
Schedule - B apartment, together with exclusive car parking facility and right to use
all common facilities and amenities provided therein, to any intending Purchaser/s for
and on behalf of the firm.

AND WHEREAS, as per Resolution taken at the meeting held on 03 January 2020
of the partners of the said firm has empowered the said Managing Partner Karthik
Ramani to sign, execute, submit and file all kinds of documents related with the
said firm before KERALA REAL ESTATE REGULATORY AUTHORITY.

AND WHEREAS, Vendor has assured and convinced the Purchasers that the
Vendor is having absolute, clear, valid and marketable title to Schedule - A and B
properties, more particularly shown in the Schedule hereunder and that, it is free
from any mortgage, lien, agreement for sale with others, attachment, third party
claims, encumbrances, arrears of taxes, boundary disputes, litigations or any other
legal impediments and that Vendor is in absolute ownership and possession of the
said properties. Apart from the Vendor, none else has got any right or claim over
the properties.

AND WHEREAS, Vendor has agreed to sell and the Purchasers have agreed to
purchase 1.33% undivided share in the land more particularly described in Schedule
– A hereunder and the Apartment No. 17C, bearing Kottayam Municipality Door
No. 17/754-WC, having super built up area of 1964 Sq. ft. (approx) on the
Seventeenth Floor of the said building named “KALYAN SANCTUARE”, together
with the right to use one exclusive covered car parking area marked as Slot No. B
21 in basement floor, as a special privilege attached to the said apartment, more
particularly described in Schedule B hereunder, along with the right to use common
facilities and amenities appurtenant to the said land and building, for a total sale
consideration of Rs. 87,29,863/- (Rupees Eighty Seven Lakhs Twenty Nine

Thousand Eight Hundred and Sixty Three only), free from all encum
brances, mortgage, charge, lien, suits, lease, attachment, third party claims,
arrears of taxes, boundary disputes, litigation or any other legal impediment.
Out of the total consideration, Rs. 11,95,903/-(Rupees Eleven Lakhs Ninety
five Thousand Nine Hundred and Three only) is the value of undivided
share of land and Rs. 75,33,960/- (Rupees Seventy Five Lakhs Thirty
Three Thousand Nine Hundred and Sixteen only) is the value of the
apartment and other rights appurtenant thereto.

NOW THIS DEED OF SALE WITNESSETH AS FOLLOWS:

IN PURSUANCE to and in consideration of a sum of Rs. 87,29,863/-


(Rupees Eighty Seven Lakhs Twenty Nine Thousand Eight Hundred and
Sixty Three only) paid by the Purchasers to the Vendor as follows: a sum of
Rs. 65,474 paid as TDS as per ........... Bank Internet Banking challan No.
........ Dated ............., and the balance sum of Rs. 86,64,389/- was paid by
the purchasers by transfering into the Vendor’s Account No. 67298249674 of
SBI, Paramekkavu, Thrissur Branch, through RTGS, the receipt of which
sum, the vendor here by acknowledges and discharges the Purchasers
there from, the vendor doth hereby grant, convey, sell, transfer and assign
unto the Purchasers 1.33% undivided share in piece and parcel of land
having an area of 33.19 Ares, more specifically described in Schedule ‘A’
hereunder and the absolute right in the apartment more particularly described
in the Schedule ‘B’ hereunder and hereinafter referred to “The said property”
with rights in common with other ‘Purchasers’ of the other undivided shares,
present or future in the said piece and parcel of land described in Schedule
‘A’ hereunder, together with the compounds drains, water courses, liberties,
assessments, advantages and appurtenances, whatsoever in and to the said
property or in any way appertaining thereto usually held, occupied or en-
joyed therewith or reported so to be.

THE ‘VENDOR’ doth hereby covenant with the ‘Purchasers’ that the
‘Vendor’ has a perfect, lawful, absolute authority to effect the sale of the said

property and is entitled to grant, convey and sell the same unto the ‘Purchas-
ers’ with full rights of ownership and that the said property shall remain unto
the ‘Purchasers’ and be quietly held and enjoyed and the rents and profits
there from received by the Purchasers without any interruption of distur-
bance from the Vendor or any other person or persons whatsoever claim-
ing through or under them and that the Purchasers shall apply for mutation of
name in the register of Muttambalam Village, Kottayam Municipality and other
concerned authorities and obtain confirmation of title on the name of the
Purchasers.

The ‘Vendor’ doth hereby assure the ‘Purchasers’ that the property
hereunder conveyed is free from any mortgage, attachment, or lien of any
kind, whatsoever;

The ‘Vendor’ further covenants that all kists, rents and other revenues,
taxes, annuities, levied and payable to the Muncipality, or any other local
authorities have been paid upto this date and if there is any amount due in
respect of the above ‘Vendor’ undertakes to pay the same.

The Vendor has installed/constructed Generator, Transformer, Sewage


Treatment Plant, trash guard, swimming pool, party hall, gym, mini theatre,
Association room etc. at the places as per approved plan in the property
under their possession

The ‘Vendor’ covenant that the ‘Purchasers’ (in common with all the Co-
owners and persons authorised by them) shall have the right to enter and use
the land and common passages and amenities such as staircase, water tank,
sump, septic tank to be provided in the building.

The ‘Vendor’ covenant that the “Purchasers” shall have the right to free
and uninterrupted Passage for running water, electricity etc., and to lay tele-
phone line from and to their portion of the building, through the amenities
being provided or which at any time hereinafter be provided in the building.

The Vendor doth hereby covenant with the Purchasers that the
Vendor is absolutely entitled to the said property, hereby conveyed and that
no person has any right, claim, title or interest whatsoever in the said property
and that the said property is not subject to any claim, Land Acquisition,
Encumbrances, Mortgages, Charge or Lien, Revenue Recovery Or Insolvency
Act or subject matter of any legal or other pending proceedings, attachments
or demand for any arrears of rates and taxes on the said property hereby
conveyed. The Schedule property is not under the Ceiling Act or Kerala Land
Reforms Act, and also indeminified that the said schedule property shall not
come under Reserve Forest and Non-Reserve Forest Land Limited and
proposed Wild area, ecologically fragile land or Pattayam land assigned
to scheduled caste or scheduled tribes, and in pollutory lands. The Vendor
hereby indemnifies that they do not possess the land more than ceiling Act
and thereby the Vendor has the right to transact and sale this property. No
person with any of the disabilities mentioned under the National Trust Act has
any legal right over the property being transacted and by this transaction the
rights of such individuals are not being deprived of or infringed upon.

The ‘Purchasers’ and all persons authorised by them shall have the right
to enter into the other parts of the building at all reasonable times and after
due notice for the purpose of repairing and maintaining the amenities pro-
vided in the building which pass through or are supported by other portions of
the building.

The ‘Vendor’ undertakes to incorporate similar clauses in respect of the


Sale Deed of other “Purchasers”.

The ‘Vendor’ doth hereby state that the sale is subject to the follow-
ing conditions which the Purchasers have agreed to:

The ‘Purchasers’ shall not be entitled to claim or demand partition of


their share in the land described in Schedule ‘A’ hereunder and the same
shall remain undivided and impartible.

The ‘Purchasers’ shall treat the said property as forming an indivis-


ible and impartible part of the portion of the building.

The ‘Purchasers’ shall bear their proportionate share of expenses in-


curred in maintaining the premise along with other co-owners of undivided
shares in the land.

The ‘Purchasers’ shall not use or permit to be used in any manner


which would diminish the value or the utility of the portions owned by other
co-owners.

The ‘Purchasers’ shall not be entitled to put up any temporary or per-


manent structure on the land described in Schedule ‘A’ hereunder or change
the elevation or plan of the building.

Purchasers/Owner Association shall not use for permit in the premises/


property for any time. (except builders board) for advertising or commercial
purpose.

The ‘Purchasers’ shall not obstruct the rights of the co-owners for entry
and use over the land and common passage and amenities provided in the
building.

The ‘Purchasers’ shall have the half right on the common wall and roof-
ing that are common to the adjoining Apartments on all the sides.

The ‘Purchasers’ shall keep the premises, internal walls and parti-
tion walls, sewers, drains, pipes and appurtenances in good tenantable re-
pair and shall not make any alterations or demolition in the Apartment.

The Purchasers or the Apartment owners’ Association so formed shall


not change the name of the building complex.

The Purchasers shall be bound to co-operate with, participate in and


contribute to any Apartment Owners’ Association or any other arrangements
for the maintenance and management of the building or any facility therein.

The top open terrace of the building shall stand in the common
possession of all the Purchasers and the Purchasers alone or along with
other co-owners can utilize the same without prejudice to the equal rights of
the other co-owners. However, the open terrace should not be used for any
religious gathering/meetings, political meetings, unlawful purposes or any
other purpose which may require permission from the local authorities.
The purchasers shall not store any prohibited goods or goods
which are hazardous, combustible or dangerous to life and property; and in
case any damage is caused to the building or people on account of purchasers
negligence, the purchasers shall be liable for the consequences of breach.
The Original of the above said Sale Deed is not handed over to the
Purchasers, since it relating to the remaining undivided share in the land.
Thandapper Account No. 13177 in Serial No. 2019/17756/05 Dated
on 6.4.2019 and Thandapper Account No. 13177 in Serial No. 2019/17757/
05 Dated on 6.4.2019 issued for the landed properties from Muttambalam
Village Office.
If anything happens contrary to what Purchasers have been made to
believe and any loss and damage happens to the Purchasers that will be
indemnified by the Vendor with own responsibility.
The fair value in Re Sy.No’s 58 and 58/1 of Muttambalam Village is
Rs.8,40,000/- per Are for the PWD Road access as per Kerala Gazette
Notification in the fair value list.
In regards to the Kerala Stamp Act and Rules, adequate total Stamp Value of
Rs. 6,98,592/- levied for this document by calculating 8% of the Sale
consideration of Rs. 87,29,863/- and Rs. 200/- needed for agreements
mentioned above.
