SALES AND PURCHASE AGREEMENT HELICOPTER

This Purchase and Sales Agreement Effective as of Januari 1, 2020, is

between PT.Multiauto, Inc (seller),an aviation company located at Malang
duly organized and existing under the laws of Indonesia. And Alviant,Ltd
(buyer), an aviation company located at Mississippi, USA duly organized
by existing under the laws of United States of America. Both Are
collectively referred to as the “parties”.

RECITALS

Whereas :

A. Incorporate PT.Multiauto,Inc is in the business of aviation

transport
B. Alviant,Ltd is in the business of aviation transport is in need of
for purpose to conduct its business
C. Alviant,Ltd desires to purchase helicopter type Bell-412 as more
specifically set forth in this SALES AGREEMENT from
PT.Multiauto,Inc
D. Incorporate Multiauto,Ltd desires to sell helicopter type Bell-412
to Alviant, Ltd.
E. It is the intention of the parties that PT.Multiauto,Inc shall sell
good as more specifically set forth in this contract
F. The Second Party declare with full responsibility under the laws
in force in the Republic of Indonesia.
G. Both parties are free from the demands of other parties , debt or
other hook to a third party and are free from criminal or civil
action
H. In this case the Parties have agreed to execute the transaction
Sale - Buy Helicopter is an earnest and committed accountable
consensus or applicable legal deliberation in the Republic of
Indonesia as stipulated in articles below.

Therefore,the Parties Agrees as follows :

 Article 1

Definition

 “Dollars” or “$” means the basic monetary unit in America

 “Parties” means both Buyer and the Seller

 “Product” means Aviation Transportation in this case helicopter

Article 2

Commitment

 The parties are willing and agree to purchase and accept the

delivery of PT.Multiauto,Inc

 The types of item to be sold-traded is Aviation transportation in

this case Helicopter type Bell-412

 The item condition is ready for sell

 The Condition of Helicopter is properly used

 Number of Product that will be sent is as much as 150 items.

Article 3

Right and Duties

• Cost arising the manufacture of this contract borne by Aviation,

Ltd. As the buyer.

• PT. Multiauto, Inc. as the buyer Shall pay off shortly after the

ships carrying items headed to location.

• PT.Multiauto,Inc as the seller must complete the agreed items

later less than a year from the date contract is signed.

• The parties agreed that the items will be ship twice a year in

each 75 Unit.

Article 4

The Cost and Term of Payment

• The parties agreed that the price of items is $ 5.000 / Unit so

that if 150 Unit is $ 750.000 (seven hundred fifty thousand US

Dollars) according to the terms of this contract.

• The parties agreed that the buyer will provide full payment

shortly after all of the items is already sent.

Article 5

Representations and Warranties

The Seller hereby represents and warrants that:

• The Seller is a company duly organized and validly existing under

the law of the Republic of Indonesia.

• The Seller has taken all necessary action to authorize the

execution and delivery of this Agreement.

• No default, event of default under any agreement has occurred

and its continuing, and no such event will occur upon the making

of the Sales.
• The seller has good title to the goods free and clear of all

encumbrances.

Article 6

Covenant

(a) The seller will send the goods in good condition.

(b) The seller will send the goods according to the quantity

agreed in this Agreement.

(c) The seller will not sell the goods in this Agreement to a third

party.

(d) The parties agree that the goods in this Agreement is only for

medical purposes.
