2. Severance Amount. I very much appreciate the offer of 13 bi-weekly payments and the truck.

I hope you'll
understand that I feel it is appropriate to ask for a little more than that, i.e., 20 bi-weekly payments. I put over 15
years into this, and these last few years have been particularly hard, as you know. From a practical standpoint,
this decision came with no notice or time to prepare. At my age and in this economy, I will be hard pressed to find
something comparable in 40 weeks, much less in 26 weeks. Thank you for considering this relatively little
additional amount that I have requested.

3. Mutual release. My attorney recommended that there be a mutual release in the agreement, qualified by my
assurances that there are no liabilities on my part to the organization, as stated in para. 3 (d). The added para. 3(e)
is to make clear that my separation from employment is not due to any misconduct.

Personal records. When items/docs etc. were removed from my office without my involvement, some personal
items were inadvertently taken and that I would like to have. So there is a change to reflect that in para. 15, since
I haven't received back my "Personal" folder that was on the computer and the other documents that I mentioned
or can describe to you. Also, if there has been an inventory of the items taken from my office, I would appreciate
having a copy of that so I could identify any other personal documents that should be supplied to me. It is hard to
remember everything I had in my office after 15 years. Thank you for your help on this issue.

Hourly pay for litigation support. My lawyer also proposed language for para. 14 to include compensation to me
for time that I might spend in a non-expert capacity as a fact witness in defense of TWIA's litigation. Such
involvement could be very time consuming since I've been told previously that there could be days or weeks of
deposition time, etc. Making myself available for that could interfere with my ability to hold other gainful
employment, so I think it is appropriate to include a reasonable hourly rate for that time should it be necessary in
the future.

If these changes are acceptable, I am ready to sign and finalize the agreement. Thank you again for working with me on
this, and please don't hesitate to call me if you have questions.

Sincerely,

Reggie
