OFFICIAL RULES
NO PURCHASE NECESSARY

OPEN TO LEGAL RESIDENTS OF THE UNITED STATES (EXCLUDING PUERTO RICO,

THE U.S. VIRGIN ISLANDS, AND OTHER COMMONWEALTHS, TERRITORIES AND
POSSESSIONS), 16 YEARS OR OLDER

1. HOW TO ENTER: The “106 & Park Livest Home Viewer” Contest (the “Contest”)
begins at 9am ET on Wednesday, August 20, 2008 and ends at 6pm ET on
Thursday, September 25, 2008 (the “Entry Period”). You may enter the Contest by
performing the following steps:

Step 1: Log on to www.BET.com/contests, click on “Enter Contest,” fill-out the

registration information and submit the entry form;

Step 2: Upload a video clip (“Submission” or “Entry”) that shows why you’re the
“livest home viewer.”

The Submission must comply with the following standards:

a) Submission video must be no more than two minutes (00:02:00) in
length;
b) Submission video must include only the entrant and not anyone else;
c) Submission content must be 100% original and not infringe upon any
copyrights, trademarks or other intellectual property;
d) Submission material must be “radio-friendly” and contain absolutely NO
obscene, profane or other objectionable words; sexually explicit or
derogatory lyrics, images or gestures; or objectionable content of any form;
and
e) The Submission must not mock, ridicule or disparage the Contest, Sponsor
(as defined below in Section 9 of these Official Rules), or any ethnic, religious
or national group, gender, or sexual orientation.

Upon proper submission of the video, you become an entrant (“Entrant”) in the
Contest. Refer to Section 3 (Conditions of Entry) of these Official Rules for
additional restrictions and terms governing the submission of an Entry. All entries
must be received during the Entry Period.

By entering, Entrants consent to the receipt of promotional email materials from

Sponsor. Sponsor assumes no responsibility for any computer, telephone, cable,
network, satellite, electronic or Internet hardware or software malfunctions,
failures, connections, availability, or garbled or jumbled transmissions, or service
provider/Internet/website/use net accessibility or availability, traffic congestion, or
unauthorized human intervention. Sponsor reserves the right to modify, suspend or
terminate the promotion by giving such notice, in any form and manner deemed
appropriate by Sponsor. Should promotion be modified, suspended or terminated as
aforesaid, the prize will nevertheless be awarded from all eligible entries received
prior to (or after, if applicable) the modification, suspension or termination and in
accordance with these Official Rules.

2. ELIGIBILITY: This Contest is open only to legal residents of the United States
(excluding Puerto Rico, the U.S. Virgin Islands, and other commonwealths,
territories, and possessions) 16 YEARS OR OLDER as of Wednesday, August 20,
2008. Employees, and their immediate families (spouses, parents, children,
siblings, and their respective spouses), including household members of Black
Entertainment Television LLC and BET Interactive, LLC and their respective
affiliates, subsidiaries, divisions, advertising and promotion agencies are not eligible
to enter. VOID IN PUERTO RICO, OUTSIDE OF THE UNITED STATES, AND WHERE
PROHIBITED BY LAW. This Contest is subject to all federal, state and local laws. By
entering this Contest, each Entrant agrees to release and hold harmless the
Sponsor and their respective parent companies, affiliates, subsidiaries, agencies,
employees¸ officers, directors, representatives, and advertising and promotion
agencies from any injury, loss, death, damage, action, claim, demand or other
liability that may occur from Entrant’s participation in this Contest or from the
acceptance or use of any prize awarded, or attendance at any event. Sponsor
reserves the right to verify eligibility qualifications of any winner. U.S. law governs
this Contest. By entering, Entrants agree to be bound by these Official Rules.

3. CONDITIONS OF ENTRY: An eligible Entry must be received via online as

described above. Incomplete Entries are void. By entering, Entrants agree to
comply with these Official Rules, including all eligibility requirements. To enter, your
computer must accept cookies, or any successor or similar technology (now known
or hereafter devised or discovered), which may be used by Sponsor for the
purposes of entry tracking and as set forth in BET.com’s Privacy Policy. Entry will be
deemed to have been submitted by the authorized account holder of the e-mail
address from which the entry is made. Sponsor is not responsible or liable for lost,
stolen, mutilated, incomplete, incorrect, delayed, late, interrupted, illegible or
misdirected entries. All entries become the property of Sponsor and will not be
returned.

4. PRIZES: One (1) winner (“Winner”) will receive a trip for two (2) to New York
City to go to the studio for 106 & Park to watch a taping of the 106 & Park Show
and to go behind-the-scenes of the 106 & Park TV show. Prize includes two (2) 3
round-trip coach class airfares to New York City (for Winner and a Guest) from the
closest major gateway airport to the Winner’s residence; ground transportation in

New York City to and from the airport and hotel, and to and from the hotel and the
106 & Park studio, two (2) nights stay in a hotel (double occupancy) selected by
Sponsor. Approximate Retail Value (ARV) Two Thousand Five Hundred Dollars
($2,500). Travel companion or Guest must be the parent or legal guardian of the
Winner if the Winner is under the age of 21 at the time of travel. Total ARV may
vary depending on time of booking and place of departure. Prize does not include
meals, gratuities, ground transportation to and from winner’s residence and the
airport, and any other expenses not specifically listed herein shall be the sole
responsibility of the Winner and his or her travel companions. Travel dates and
accommodations subject to availability and scheduling; certain restrictions and
blackout dates may apply. Prize package has no cash redemption value. If Winner
cannot travel on any specified dates, prize will be forfeited and the prize may be
awarded to an alternate winner. Winner is responsible for obtaining all necessary
and required travel documents. ANY FEDERAL AND STATE TAXES ON A PRIZE ARE
THE SOLE RESPONSIBILITY OF THE WINNER. No substitution or transfer of prizes
permitted, except at the sole discretion of Sponsor. If prize, or any portion of a
prize is unavailable, Sponsor reserves the right to substitute that prize or portion of
the prize with a prize of equal or greater value. All prizes will be awarded, provided
properly claimed.

5. DETERMINATION OF WINNER:
Step 1:
The Entries will be posted on http://www.bet.com for viewing and voting by
BET.com users between August 20, 2008 at 9am ET and September 25, 2008 at
6pm ET. BET.com users will vote to recommend, not select, a Winner for the
Contest. The Winner will be selected by Sponsor, in its sole discretion.

Step 2:
Sponsor will consider the recommendations of the BET.com users and select, based
on originality, creativity and overall composition, as determined by Sponsor, in its
absolute and sole discretion, one (1) Winner from among the Entrants on or about
October 1, 2008. For clarity, Sponsor may or may not select the Entrant
recommended by BET.com users as the Winner of the Contest. Sponsor will notify
winner by phone and/or email after the drawing. If a potential winner cannot be
reached after a reasonable effort has been exerted, if he/she is found to be
ineligible of if he/she cannot or does not comply with these Official Rules, potential
winner will be disqualified and an alternative potential winner may be selected at
Sponsor’s sole discretion.

6. GENERAL CONDITIONS: Potential winners, their parent/legal guardian if

potential winners are residents of a jurisdiction that deems them to be minors and
4 guest (if applicable) will be required to sign and return any applicable documents
sent by Sponsor related to the Contest, which may include, but are not limited to a
Letter of Prize Acceptance, Waiver of Liability, and an Affidavit of Eligibility within 5
days of notification. Failure to return documents as specified or if prize notification
is returned as undeliverable will result in entry being disqualified, and an alternate
potential winner being selected. Where permitted by law and Sponsor’s Privacy

Policy, the Winner (his/her parent/legal guardians if the Winner is a resident of a

jurisdiction that deems the Winner to be a minor) agrees to grant to Sponsor and
Sponsor’ licensees, affiliates and assigns, the right to print, publish, broadcast and
use, worldwide, in any media now known or hereafter developed, including but not
limited to the world wide web, at any time or times, the Winner’s name, portrait,
picture, voice, likeness and biographical information as news or information and for
advertising and promotional purposes without additional consideration; and further
without such additional compensation, appear for, or provide biographical
information for use in, any presentation or other activity which may include
filming/audio/video/electronic or other recordings and/or interviews as may be
determined by Sponsor. Failure to grant such rights may result in disqualification
with an alternate winner or potential winner selected. Further, by accepting a prize,
the Winner (his/her parent/legal guardians if the Winner is a resident of a
jurisdiction that deems the Winner to be a minor) agrees to release and hold
harmless Sponsor, its parent, subsidiaries, licensees, affiliates, subsidiaries,
advertising and promotion agencies, and its respective directors, officers,
employees, representatives, and agents from any and all liability for any injuries,
loss, or damage of any kind to person, including death, and property arising whole
or in part, directly or indirectly, from acceptance, possession, use or misuse of a
prize, participation in any Contest related activity, or participation in this Contest.
Odds of winning depend on the number of eligible entries received. IN NO EVENT
WILL SPONSOR, ITS PARENT, SUBSIDIARY, LICENSEES, AND OR AFFILIATES AND
RELATED COMPANIES, ITS ADVERTISING OR PROMOTION AGENCIES OR ITS
RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPERESENTATIVES, AND
AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY
KIND, INCLUDING DIRECT, INDIRECT INCIDENTAL, CONSEQUENTAL OR PUNITIVE
DAMAGES ARISING OUT OF YOUR ACCESS TO USE OF INTERNET SITE
www.BET.COM OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL
DOWNLOADED FROM SAID SITE. WITHOUT LIMITING THE FOREGOING,
EVERYTHING ON THIS SITE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY
KIND, EITHER EXPRESS, OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE
IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS, FOR A PARTICULAR
PURPOSE OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE
LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL
DAMAGES. ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK
YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE
LIMITATIONS OR EXCLUSIONS. Sponsor reserves the right, at its sole discretion, to
disqualify any individual it finds, in its sole discretion, to be tampering with the
entry process or the operation of the Contest or Website; to be in violation of the
Terms of Service of the Sponsor’s web site, to be acting in violation of the Official
Rules; or to be acting in a non-sportsmanlike or disruptive manner, or with intent to
annoy, abuse, threaten or harass any other person. Any use of robotic, automatic,
macro, programmed, or like entry methods will void all such entries by such
methods. In the event of a dispute as to entries submitted by multiple users having
the same email account, the authorized subscriber of the email account used to
enter the Contest at the actual time of the entry will be deemed to be the
participant and must comply with these rules. Authorized account subscriber is

deemed to be the natural person who is assigned an email address by an Internet

access provider, online service provider or other organization, which is responsible
for assigning email addresses email, addresses or the domain associated with the
submitted email address.

7. DISPUTES: As a condition of participating in this Contest, each Entrant agrees

that any and all disputes which cannot be resolved between the parties, and causes
of action arising out of or connected with this Contest, shall be resolved individually,
without resort to any form of class action, exclusively, before a court located in the
District of Columbia having competent jurisdiction, which Court shall apply the laws
of the District of Columbia without regards for doctrines of Conflict of Law. Further,
in any such dispute, under no circumstances will entrant be permitted to obtain
awards for, and hereby waives all rights to claim punitive, incidental, nor
consequential damages, or any other damages, including attorney’s fees, other
than entrant’s actual out-of-pocket expenses (i.e., costs associated with entering
this Contest), and each Entrant further waives all rights to have damages multiplied
or increased.

8. WINNERS’ LIST: For a list of prize winner(s), available after October 25, 2008
mail a self-addressed stamped envelope to: 106 & Park Livest Home Viewer
Contest, BET Interactive, LLC, 810 Seventh Avenue, 4th Floor, New York, NY 10019.
Washington and Vermont residents may omit return postage when requesting list of
prize winners.
