Bids are invited to set up petrol bunk retail outlet dealership in open land at
Bapughat, langar house on lease basis from the eligible Individuals who
were selected and awarded the RO dealership in open bid by Bharat
Petroleum Corporation Ltd or any other Government company in December
2018 or later who fulfill the eligibility criteria which is mentioned below.

Tender Forms could be obtained from General Manager (Admn, P &AMC), TSTDC
Ltd. “Tourism House” Himayathnagar Hyderabad on payment of Rs.2,000/-
(Rupees Two Thousand only) plus 18 % GST for each tender form on all working
days during office hours 10.30 a.m. to 5.00 p.m. between 17.02.2019 to 22.02.2019
Same should be submitted for bidding. The details of Tender conditions and terms
can be viewed from the Telangana State Tourism Development Corporation Ltd.

The bidder should submit the particulars in the format specified in the tender
schedule along with following substantiating certificates/documents.

Petroleum Corporation Ltd or any other Government
company as a proof of their selection for RO dealership.

5. IT/ Returns duly filed for 3 immediate preceding years along


with copy of annual accounts supporting.

6. Bank statement of last 3 years certified by the Bank Manager as on


date not less than 15 days prior to the submission of Tender form.

1) The scheduled land of Ac1.9 Gts approximately is given on


lease for thirty three (33) years on BOT basis initially.

2) The lease rent is Rs. 5,01,500/- approximately (Rupees Five


Lakhs one thousand and five hundred only p.m.) as per
Government rate.

3) Bidder will be permitted to sub lease the total property or


part thereof.

4) The escalation on lease rent will be 5% every year.

5) Date of opening of tender is 22.02.2019 at 3.00 p.m.

6) Applications are available for sale from 18.02.2019 from the


office of GM (Admn, P & AMC)

1. Cost of application is Rs. 2,000/- + 18% GST.

2. E.M.D. to be paid by way of Bank Crossed Demand Draft of any Nationalized


Bank for an amount of Rs. ____________ Rupees ____________________________

3. Bids with all enclosures should be submitted to General Manager (Admn, P &
AMC), TSTDC Ltd., Himayathnagar, Hyderabad-29 on or before 1:00 P.M.
on 22.02.2019. The same will be opened at 3.00 p.m. on 22.02.2019.

4. Period of License is 33 years with one year Lock-in period.

5. The bidders can view/ down load the tender documents from the web site of
TSTDC (http:// tourism.telangana.gov.in/ ) which are for information only.
Purchased bid document will only be valid.

2. PROCEDURE FOR SUBMISSION OF BIDS:


10. Bidders need to submit the bids in the Box located in the office of General
Manager (Admn, P &AMC), TSTDC, “Tourism House” Himayathnagar,
Hyderabad.
11. Documents pertaining to Bid need to be attached to the tender while submitting the
bids. The attested copies of all these documents of Bid, signed undertaking of tender
should be dropped in the box in the office of General Manager (Admn, P & AMC),
TSTDC before closing time as specified in para 1.3 above.

3. PROCEDURE FOR BID SUBMISSION.


1. The bidder will be disqualified if the EMD and the copies of
substantiating certificates / documents are not submitted before opening
of Bid.

2. The Tenderers who are desirous of participating in Bidding shall submit


their bids., in the Standard formats prescribed in the Tender documents.
The tenderers should submit copies of documents in support of their bids
in the box provided. The bidders shall sign on all the statements,
documents, certificates, submitted by them, owning responsibility for
their correctness / authenticity.

3. The attested copies, certificates, documents, original Demand Drafts/ in


respect of EMD along with the bid are to be submitted by the bidder to
the General Manager (Admn, P&AMC), TSTDC, so as to reach before
1.00 PM on 22.02.2019, no additional documents/statements will be
accepted after the above mentioned time.

4. GENERAL TERMS & CONDITIONS
AUTHORITY INVITING BIDS: Committee as constituted by the orders
of Managing Director TSTDCL.

1. Bids are invited on the single bid system for the above-mentioned property
from the eligible individuals.

2. E.M.D. to be paid by way of Crossed Demand Draft drawn in favour of


TSTDC Ltd, Hyderabad.

3. Period of lease to set up petrol bunk retail outlet dealership is Thirty three
(33) years.

4. Tender Schedules: tender schedules can be viewed and downloaded from the
Web site http:// tourism.telangana.gov.in/ for information only.

5. The documents that are submitted in the bids will only be considered for
technical bid evaluation.

6. The tenderer should bear the cost of operating, electricity, water, licenses
from other statutory authority like Excise Department for liquor license, trade
license, food license and any other license and or tax in force by law.

5. TENDER OPENING AND EVALUATION


Tender opening
1. The bids will be opened by the Tender Committee at the time and date as
specified in the Notice Inviting Tender. All the Statements, documents,
certificates, Demand Draft etc., submitted by the Tenderers will be verified for
evaluation. The bids will be evaluated against the specified parameters / criteria
same as in the case of conventional tenders and the qualified bidders will be
identified. The result of bids evaluation will be informed to all the tenderers who
participated in the Tenders.

2. Clarification on the Bid.


The tender opening authority may call upon any tenderer for clarification on
the statements, documentary proof relating to the bid. The request for
clarification and response thereto shall be in writing and it shall be only on
the qualification information submitted by the tenderer. The clarification
called for from the tenderers shall be furnished within the stipulated time,
which shall not be more than a week.

3. The tenderer if so desirous, shall agree in writing to furnish the clarification


called for within the stipulated time or Disqualification and rejection of his tender
may result in the event of failure to do so.

6. EXAMINATION OF BIDS AND DETERMINATION
OF RESPONSIVENESS
1. The Tender Committee will evaluate whether each Tenderer is satisfying
the eligibility criteria prescribed in the tender document and declares them as
a qualified Tenderer.

2. If any alteration is made by the tenderer in the tender documents, the


tender will be rejected.

3. If tenderer is found to have misled or furnished false information in the


forms / statements / certificates submitted in proof of qualification
requirements or record of performance. The tenderer is subjected to be black
listed and the EMD will be forfeited.

4. Tenders shall be scrutinized in accordance with the conditions stipulated in the


Tender document. In case of any discrepancy of non-adherence to conditions, the
Tender accepting authority shall communicate the same which will be binding
both on the tender Opening authority and the Tenderer. In case of any ambiguity
or dispute, the decision taken by the Tender Accepting Authority on tenders shall
be final.

7. EVALUATION AND COMPARISON OF QUOTATION.


1. The Tender Committee will evaluate and compare the bid quote of all the
Tenderers.

2. Selection of Tenderer among the highest & equally quoted tenderers will
be in the following orders.

8. Validity of tenders
The tender is valid for a period of 90 days from the date of submission of sealed
tender form.

9. Successful tenderer shall enter into Lease Agreement duly fulfilling all the formalities of
the tender within one month from the date of award of tender.

a) If the successful tenderer fails to enter into Lease agreement within the
stipulated period, the EMD amount would be forfeited.
b) The successful tenderer should commence commercial operations within six
month from the date of execution of the lease agreement.
c) Lease rent is payable from the date commercial operations maximum six (6)
months rent holiday is allowed.

10. TSTDCL reserves the right to:


a) Verify any or all information submitted by the tenderer.

b) The information provided by the tenderer in the tender form or any
information provided by the tenderer in response to any subsequent query
by TSTDCL, if found to be incorrect or is a misrepresentation of facts, then
the tender will be liable for rejection. Mere clerical errors or bona-fide
mistakes may be treated as an exception at the sole discretion of TSTDCL.

c) TSTDCL reserves the right to cancel/postpone the tenders at any time


without assigning any reasons whatsoever.

11. Principles of lease agreement:


a) Leasse period is for Thirty Three (33) years from the date of signing of the
agreement.
b) Lease agreement should be registered with the local sub-registrar as per the
provisions of Stamps and Registration Act within three months of signing the
Agreement. Failing which security deposit shall be forfeited.
c) Lock in period is for 1 year.
d) The lease comes into operation from the date of entering into lease
agreement by the successful tenderer.

12. Security Deposit:


a) The E.M.D. amount would be adjusted towards security deposit in case of
successful tenderer.

b) The successful tenderer herein after called ‘lessee’ shall deposit an amount
equivalent to six (6) months of lessee rent quoted as security deposit, which will
remain with the TSTDCL, during lessee period of 33 years for satisfactory
performance of the contractual obligations and such amount does not carry any
interest.

c) Security deposit will not be refunded to the licensee, if the license


agreement is terminated by TSTDCL or the licensee under the terms of the
agreement before completion of lock in period and the same shall be adjusted to
dues if any.

d) TSTDCL reserves the right to deduct from the security deposit any
amount due to statutory authorities and license fee due to TSTDCL.

e) If any violations of tender conditions are committed by the tenderer the security
deposit will be forfeited.

13. Lease Rent


a) The Lease Rent should be paid in advance on or before 10th of every month
failing which a penal interest of 16% per annum would be levied on the
amount due.
b) Apart from the lease Rent the lessee has to arrange the water supply at his
own cost and pay the water, electricity charges, Municipal tax, property tax,
insurance premium and all other statutory payments and all kinds of taxes
etc.

c) All the Labour laws should be honoured in letter and spirit. Statutory
payments like ESI, PF, etc should be paid punctually. In case of violations
tenderer will be held liable.

d) Sales/Commercial tax/Service tax and other local/central taxes whatsoever


shall have to be paid by the licensee only.

e) Minimum standards have to be maintained for operating Property like


quality of interiors, ambience of the place, furniture etc.

f) It is the responsibility of the licensee to get all the licenses, permissions and
approvals for running the business at the scheduled property.

g) The Lessee shall obtain necessary licenses from the concerned authorities and
shall have to adhere to various provisions contained in Employee’s Provident
Fund Scheme 1952 and other labour enactments such as Minimum wages
Act, ESI Act, etc.

h) The lessee shall carry out any repairs & renovations at his own cost with
prior approval of TSTDCL. TSTDCL shall not take any responsibility for such
repairs.

i) TSTDCL shall not entertain any claim of the lessee for re-imbursement of
expenditure incurred in procuring fixtures, fittings, utensils and equipments
and carrying out repairs of equipment including air-conditioners, bore well,
electrical, plumbing etc & renovations made by the lessee.

j) The lessee should ensure that he gets the property, equipment and
manpower insured from time to time.

14. Termination of Lease:


a. Lease agreement cannot be terminated by lessee during lock-in period of one
year from the date of entering into agreement.

b. In case, the lessee decides to terminate the lease agreement during lock-in
period, the lessee has to pay the lease rent for the remaining of the lock in
period.

c. The lease agreement is terminable without assigning any reason by either


party by issuing of three months notice after the lock in period is completed.

15. Termination of lease agreement by TSTDCL:


a) Default in payment of lease rent continuously for 3 months.
b) Violation of any terms & conditions of lease agreement.
c) Lessor reserves the right to recover from lessee any dues accrued during the
course of Lease period by invoking Revenue Recovery Act.

16. Jurisdiction:
Any dispute arises between lessor and lessee, the Courts at Hyderabad alone
shall have jurisdiction to try and or entertain any proceedings, suits, complaints or
any other matter arising.

17. PROCESS TO BE CONFIDENTIAL.
i. Information relating to the examination, clarification, evaluation and
comparison of Tenders and recommendations for the award of a contract
shall not be disclosed to Tenderers or any other persons not officially
concerned with such process until the award to the successful Tenderer has
been announced by the tender accepting authority. Any effort by a Tenderer
to influence the processing of Tenders or award decisions may result in the
rejection of his Tender.

ii. No Tenderer shall contact the Tender Committee or any authority concerned
with finalization of tenders on any matter relating to its Tender from the time
of the Tender opening to the time the tender is awarded. If the Tenderer
wishes to bring additional information to the notice of the Tender Committee,
it should do so in writing.

iii. Before recommending / accepting the tender, the tender recommending


/accepting authority shall verify the correctness of certificates submitted to
meet the eligibility criteria and specifically experience.

18. AWARD OF LEASE (AWARD CRITERIA)


a. The Tender Committee will submit the recommendations to the competent
authority to award the lease.

b. The tender accepting authority reserves the right to accept or reject any Tender
or all tenders and to cancel the Tendering process, at any time prior to the
award of Lease, without thereby incurring any liability to the affected
Tenderer or Tenderers or any obligation to inform the affected Tenderer or
Tenderers of the reasons for such action.

19. NOTIFICATION OF AWARD OF LEASE AND


SIGNING OF AGREEMENT.
1. The Tenderer whose Tender has been accepted will be notified of the award of
the Lease prior to expiration of the Tender validity period by registered letter.
This letter (hereinafter and in the Conditions of Contract called “Letter of
Acceptance”) will indicate the sum that the tenderer quoted for the bid to set up
the petrol bunk and commercial activity on lease basis.

2. When a tender is to be accepted the concerned tenderer shall attend the office of
the General Manager (Admn , P &AMC) on the date fixed in the Letter of
acceptance. Upon intimation being given by the General Manager (Admn, P
&AMC), of acceptance of his tender, the Tenderers shall make payment of
security deposit wherever needed by way of Demand Draft obtained from a
Nationalized / Scheduled Bank /Commercial Bank.

3. Failure to attend the General Manager (Admn, P &AMC) office on the date
fixed, in the written intimation, to enter into the required agreement shall entail
forfeiture of the Earnest Money Deposited. The written agreement to be entered
into between the Lessee.

4. The successful tenderer has to sign an agreement within a period of one month
from the date of receipt of communication of acceptance of his tender. On failure
to do so his tender will be cancelled duly forfeiting the E.M.D., paid by him
without issuing any further notice and action will be initiated for black listing the
tenderer in future tender participating.

20. CORRUPT OR FRAUDULENT PRACTICES


1. The Corporation requires that the bidders, observe the highest standard of
ethics during the execution of license.

b. Define for the purposes of the provision, the terms set forth below as
follows:
c. “Corrupt practices” means the offering, giving, receiving or soliciting
of anything of value to influence the action of a Corporation/
Government official in selection of eligible bidder and/or highest
bidder.

2. “Fraudulent practice” means a misrepresentation of facts in order to


influence for executing the contract to the detriment of the
Corporation/Government and includes collusive practice among Tenderers
(prior to or after Tender submission) designed to establish in Tender prices at
artificial non-competitive levels and to deprive the other bidders benefits of
free and open competition.

3. Will reject a proposal for award if it determines that the Tenderer


recommended for award has engaged in corrupt or fraudulent practices in
competing for the tender in question.

21. RIGHTS OF THE CORPORATION

1. The Corporation reserves the right to reject any or all of the tenders, without
assigning any reason whatsoever.

2. In the event of any dispute regarding any of the tender conditions, the
decision of the Managing Director shall be final.
