Bharti Tele-Ventures Limited was incorporated on July 7, 1995 for promoting
investments in telecommunications services. Its subsidiaries operate telecom
services across India. Bharti Tele-Ventures is India's leading private sector
provider of telecommunications services based on a strong customer base
consisting of approximately 11.84 million total customers which constitute,
approximately 10.98 million mobile and approximately 857,000 fixed line
customers, as of March 31 , 2009.

Bharti Airtel (BSE: 532454) formerly known as Bharti Tele-


Ventures LTD (BTVL) is the largest cellular service provider in
India, with more than 124 million subscribtions as of February 2010.

With this, Bharti is now the worlds third-largest, single-country
mobile operator and sixth-largest integrated telecom operator. It
also offers fixed line services and broadband services. It offers its
TELECOM services under the Airtel brand and is headed by Sunil
Bharti Mittal. The company also provides telephone services and
broadband Internet access (DSL) in top 95 cities in India. It also
acts as a carrier for national and international long distance
communication services. The company has a submarine cable
landing station at Chennai, which connects the submarine cable
connecting Chennai and Singapore.

It is known for being the first mobile phone company in the world to
outsource everything except marketing and sales. Its network
operations are provided by Ericsson, business support by IBM and
transmission towers by another company.[3] Ericsson agreed for the
first time, to be paid by the minute for installation and maintenance
of their equipment rather than being paid up front. This enables the
company to provide pan-India phone call rates of Rs. 1/minute
(U$0.02/minute).

The businesses at Bharti Airtel have always been structured into


three individual strategic business units (SBU's) - Mobile Services,
Airtel Telemedia Services & Enterprise Services. The mobile
business provides mobile & fixed wireless services using GSM
technology across 23 telecom circles while the Airtel Telemedia
Services business offers broadband & telephone services in 95
cities and has recently launched a Direct-to-Home (DTH) service,
Airtel Digital TV. Shahrukh Khan is the brand ambassador of the
mobile company and Kareena Kapoor and Saif Ali Khan are the
brand ambassadors of the DTH Company. The company provides
end-to-end data and enterprise services to the corporate customers
through its nationwide fiber optic backbone, last mile connectivity in
fixed-line and mobile circles, VSATs, ISP and international
bandwidth access through the gateways and landing station.

Globally, Bharti Airtel is the 3rd largest in-country mobile operator


by subscriber base, behind China Mobile and China Unicom. In
India, the company has a 24.6% share of the wireless services
market, followed by 17.7% for Reliance Communications and 17.4%
for Vodafone Essar. In January 2010, company announced that
Manoj Kohli, Joint Managing Director and current Chief Executive
Officer of Indian and South Asian operations, will become the Chief
Executive Officer of the International Business Group from 1st April
2010. He will be overseeing Bharti's overseas business. Current Dy.
CEO, Sanjay Kapoor, will replace Manoj Kohli and will be the CEO
with effective from 1st April, 2010.

Organisation Structure
As an outcome of a restructuring exercise conducted within the company; a
new integrated organizational structure has emerged; with realigned roles,
responsibilities and reporting relationships of Bharti’s key team players. With
effect from March 01, 2006, this unified management structure of 'One Airtel'
will enable continued improvement in the delivery of the Group’s strategic
vision.

Company History - Bharti Airtel
Bharti Tele-Ventures was incorporated on July 7, 1995 as a company with
limited liability under the Companies Act, for promoting telecommunications
services. Bharti Tele-Ventures received certificate for commencement of
business on January 18, 1996. The Company was initially formed as a wholly-
owned subsidiary of Bharti Telecom Limited. The chronology of events since
Bharti Tele-Ventures was incorporated in 1995 is as follows:

- First Indian private fixed-line services launched in Indore in the Madhya

1999

- Warburg Pincus (through its investment company Brentwood Investment


Holdings Limited) acquired a 19.05% equity interest in Bharti Tele-Ventures

- Bharti Tele-Ventures (by acquiring a 63.45% equity interest in SC Cellular


Holdings) acquired an effective 32.36% equity interest in Bharti Mobile
(formerly JT Mobiles), the cellular services provider in Karnataka and

- New York Life Insurance Fund, or NYLIF, acquired a 3% equity interest in

2000

- Bharti Tele-Ventures acquired an effective equity interest of 40.5% in Bharti


Mobinet (formerly Skycell Communications), the cellular services provider
in Chennai

- Bharti Tele-Ventures acquired a 30.2% equity interest of Telecom Italia in


Bharti Telenet and 18.8% from Bharti Telecom there by making Bharti
Telenet a 100% subsidiary of Bharti Tele-Ventures

- SingTel (through its investment company Pastel Limited) acquired STET's


15.3% equity interest in Bharti Tele-Ventures

- Bharti Tele-Ventures acquired an additional effective 41.64% equity interest


in Bharti Mobile (by acquiring the remaining 36.55% equity interest in SC
Cellular) resulting in Bharti Tele-Ventures holding an effective 74% equity
interest in Bharti Mobile.

2001

- Bharti Tele-Ventures acquired NYLIF's 3% equity interest in Bharti Cellular.


- Bharti Telesonic entered into a joint venture, Bharti Aquanet, with SingTel f
or establishing a submarine cable landing station at Chennai

- Bharti Tele-Ventures issued additional equity for approximately US$ 481.30


million to SingTel, Warburg Pincus, AIF group, IFC, NYLIF, and Seejay
Cellular and Bharti Telecom

- Bharti Cellular acquired a 100% equity interest in Bharti Mobitel (formerly


Spice Cell ), the cellular services provider in Kolkata

-Company accorded its approval for amalgamation of its Subsidiary companies

and Bharti Comtel Ltd through scheme of Amalgamation. The merged entity
would be renamed as Bharti Infotel Ltd

Bharti Announces New Organisational Structure


Among other management changes, effective 1 April 2007, Sanjay
Nandrajog will be the new executive director, international operations and
managed services, and P Swaminathan will take over as executive
director, Bharti Infratel.

Tuesday, March 13, 2007: Bharti Airtel has announced a new organisational
structure to help propel the organisation towards aggressive growth, effective 1
April 2007. Sanjay Nandrajog will be the new executive director, international
operations and managed services. P Swaminathan will take over as executive
director, Bharti Infratel, which is the new foray of Bharti group into telecom
infrastructure management.
In his new role, Sanjay will be responsible for locations like Sri Lanka, a wholly
owned operation and in Seychelles, Jersey and Guernsey as managed
services.

In addition, any other new licenses will also come under his purview and all
current CEOs of these operations will now directly report to Sanjay Nandrajog.
In his previous stint as executive director, north, he was leading the largest
region for the mobility business of the group.

In his new role, Swaminathan will help build synergies and cost efficiencies
based on substantial infrastructure sharing, energy conservation etc. He has
successfully led the integrated Tamil Nadu, as a director and CEO. Both Sanjay
and Swaminathan will continue to report to Manoj Kohli, president, Bharti Airtel.

K Srinivas is being promoted as executive director, mobility east. Jayant Khosla


is the new executive director, mobility west. Deepak Mehrotra is being
promoted as director, mobility south. Additionally, Mehrotra will provide the
guidance and ensure a smooth transition to his successor V. Venkatesh, who is
being promoted as CEO, Karnataka circle. K Srinivas, Jayant Khosla and
Deepak Mehrotra will continue to report to Sanjay Kapoor, Jt president, Bharti
Airtel Ltd. Commenting on the new organisational structure, Manoj Kohli,
president, Bharti Airtel Ltd, said, "The formation of a new structure is the result
of the organisation's objective to transition high performers across businesses
and provide them with larger responsibilities. I am confident that through these
changes in the leadership teams, we will enable Bharti Airtel to take a quantum
leap in setting 'best in class' performance parameters both in India as well as
overseas."

- AirTel on December 16, 2003 announced the launch of expense tracker
service, which provides customers the option of tracking their day-to-day
expenses on a daily or monthly basis. To avail of this service, the customer
should register himself by sending EXP REG Your mail ID{gt} to 3020. This
service will allow a user to track expenses, while on the move by sending
an SMS. Each SMS sent to 3020 would cost Rs 3.

1000 for the family 1000 pack. The offerings under family pack 450 include 15
free mobile to mobile STD minutes within the family, 50 free local calling

paise per minute, 25 free local SMS and one subscription alert service free for
3 months.

-Bharti Tele-Ventures enters into a three year service agreement with Ericsson

-Bharti Tele-Ventures (BTVL) has signed and received unified access service
licence to provide GSM services in five circles including Uttar Pradesh (East),
West Bengal & Andaman Nicobar, Orissa, Bihar and Jammu & Kashmir. The
licence has been granted to Bharti Cellular Ltd (BCL), the cellular arm and
subsidiary of BTVL.

between an Indian mobile service provider and its counterpart in Pakistan. This
facility will be available to pre-paid as well as post-paid customers. AirTel's
roaming agreement is with Mobilink, the only GSM cellular service provider in
Pakistan

- Nokia Siemens Networks on Jan 3 declared that it has been awarded a


multi million euro contract from Bharti Airtel Ltd for deployment of a single
interactive voice response (IVR) platform across 23 circles. The three-year
turnkey contract comprises designing, planning, systems integration and
optimisation services to raise overall customer experience. The new IVR
solution will enable Airtel to deliver services such as voice SMS, televoting, call
management services, caller ring back tone and voice portal on a faster time-
to-market basis and, therefore, reduce OPEX costs.

- Bharti Airtel Ltd on February 13, 2008 has announced that it has
achieved the 60 million customer mark. This landmark has catapulted
Bharti Airtel into the club of top mobile operators in the world in
terms of subscriber base. The 60 million customer base covers mobile

- Bharti Airtel tied up with US-based Apple Inc to bring the popular
GSM-based iPhone in the country.

- Bharti Airtel Ltd has forged a technology alliance with Infosys Technologies

2009

- Bharti Airtel HAS signed a five-year managed services deal valued


at 0 million with Alcatel Lucent for its fixed-line and broadband

Branding has everything to do with consumer perception. Brand

Perception is, in itself, a complex phenomenon that plays a major role in

in receipt of sensory signals that get translated into images or objects in their
mind. In reality, what those signals depict may not be what it is interpreted to
be.
Perception and Human Behaviour: This problem of perception, where
what is perceived may not be what it really is, arises on account of the
numerous sensory impulses that the human mind receives. And perception is
largely dependant on the personality, the person’s experiences, his mood, his
emotions, his past and his future aspirations. Experiments conducted on

perception have yielded results that have underlined the importance of


projecting the right image to the person to whom the message is addressed; on
a similar scale, the phenomenon of perception also provides insights into the
vulnerability of the human mind, as to how easily human perception can be
distorted and manipulated to suit the purpose and intent of the message.

Psychological Experiment on Perception: In an experiment done on


two sets of subjects, they were presented with the CV of a lecturer. Team A
was presented with the CV where words were modified to give a dull and
boring impression of the lecturer; Team B was given the same CV of the same
lecturer where words were modified to give an impression of energy and vitality.
Expectedly, teams A and B portrayed the same CV as being dull and
interesting, respectively.

Later, members of the two teams were asked to attend a lecture by the lecturer
simultaneously. At the end of the lecture, when asked for their feedback, Team
A said the lecturer was cold and aloof while Team B said the Lecture was warm

AIRTEL 3G-I PHONE
Bharti Airtel will sell iPhone 3GS in India

Bharti Airtel has announced that it has reached an agreement to sell the iPhone
3GS in India. Bharti Airtel is the largest cellular service provider in India, with
more than 124 million subscribers. In a statement, Bharti Airtel said the
agreement would allow Bharti to bring the latest iPhone to India "in the coming
months" without setting an exact release date.

The iPhone 3G has been sold in India by both Bharti Airtel and Vodafone since
August 22, 2008, but the iPhone 3GS has yet to go on sale.

Most Indian service providers struggle to ensure decent call quality and while
the rest of the world is preparing to adopt 4G, India is gearing up to welcome
3G. The announcement came a day after Bharti submitted its bid in a
bandwidth auction for 3G mobile telephony services in India.

The successful bidders will be allowed to offer 3G services on a commercial


basis from September 1st. At present, no deal has been announced for the
iPhone 3GS at Vodafone.

Consumers choose goods and services based on the assumption that they
will be rewarded with value and satisfaction. Consumption is the process by
which goods and services are used and assigned a level of value by the
consumer. That level could be positive, if the customer was satisfied, or it
could be negative if they did not find any value in their purchase. Marketers
have to provide the right combination of quality, price and customer service
in order to give customers positive value and satisfaction. That will in turn
create happy, loyal customers. The formula looks like this:
Quality + Price + Customer Service = Value and Satisfaction
If a product/service is provided that has low quality, and a
high price, that does not create a happy, satisfied customer. At the same
time, having a great product at the best possible price means nothing if the
customer is treated badly, or not provided with the opportunity to return
unwanted items.

Environment, Health and Safety


Overview
At Bharti we believe in the philosophy to refuse, reduce, reuse and recycle. The
company has taken many initiatives in this regard, both within the offices for the
benefit of our employees; and for outside world for the convenience of the
people

Few examples of the initiatives taken are mentioned below:


(a) Most of the new Airtel buildings recycle waste water for sanitary and cooling
of equipment purposes e.g. DG sets and AC systems. These buildings also
have rain water harvesting systems for ground water replenishment where
appropriate.

(b) All Airtel offices have energy efficient light fittings and DG sets. We also
ensure automation that enables energy savings in our buildings. Building
Management System (BMS) – Intelligent Building concept is being followed in
all the new Airtel building and campuses that are coming up. The BMS controls
The Heating, Ventilation and Airconditioning (HVAC) system,, electricity load
management, water management, parking management, security and safety
systems to ensure an efficiently run building on optimal resources.

(c) New buildings also incorporate the concept of and Energy Wheel which
optimises energy efficiency in buildings. The AC system in our buildings adds a
certain amount of fresh air periodically; In the process of adding this fresh air
the cool air within the building vents out which may result into higher usage of
energy to bring the cooling/ temperature back. The Energy Wheel concept
ensures that as we bring the fresh air in it is pre-cooled thereby optimizing
energy efficiency.
(d) Air quality is checked periodically in all Bharti Airtel offices, and based on
the results, duct cleaning, carpet cleaning, chair and sofa shampooing is
undertaken. Water quality is also monitored in cooling towers for DG sets and
Air Conditioner systems so that water born diseases such as legionella, etc. are
avoided.

(e) Use of air curtains on major office exits and double glazing also results in
significant energy saving.

(f)At the time of oil change in DG sets etc. the discarded oil for disposal is only
sent to companies/ vendors approved by the Central Pollution Control Board
(CPCB) for proper disposal as per CPCB approved processes. All Bharti Airtel
offices follow the basic requirements specified by the Pollution Control Board)
and ensure statutory compliance.

(g) All Bharti Airtel offices have fire alarm systems. Periodic fire drills are
carried out in Bharti Airtel offices as a practice. All Airtel offices are provided
with First Aid boxes and have identified people as First Aid specialists..

Bharti Airtel takes all its equipment from its key vendors, namely Nokia and
Ericsson, who comply with all the required health and safety norms. Each
contract with the supplier has a clause that they will comply with our code of
conduct and each year suppliers have to give Bharti Airtel a certificate that they
are compliant. There is an induction manual for sub-contractors to ensure that
they follow all the safety and statutory compliances as well as Bharti Standard
Operating Procedures.

Bharti Airtel is in the process of finalizing its Environment/ Health & Safety
Policy (EHS) and will apply for ISO 14001 compliance within the next 3 years
for each of its facilities.

For outside world

Reduce Paper usage: Due to technological innovations such as e-bills and


electronic recharging, Bharti Airtel customers are given a chance to help save
the environment. This has led to the major achievement of paper savings of
approximately 32,500 sq meter every month. This leads to the saving of 96
trees every year. In addition, as per calculations during 2005-06, and is
continuously improving since then. We save 49,000 sq meter in plastic monthly
as the reduced usage of paper coupons and bills. These results are all the
more remarkable, as these paper savings were achieved despite our customer
base increasing
Sharing Infrastructure: We promote and believe in sharing of
infrastructure (passive) with other telecom operators. This ensures that we can
continue to serve our customers while utilizing minimum resources. This is of
great help in nation like ours where we have a huge burden on our natural
resources
At present, we share around a quarter of our mobile cell sites across the
country, with other service providers.
We have extended our approach of sharing even for the rural areas, where it
makes lesser business sense for operators to roll out. Our efforts have been
well acknowledged by the regulator and the government, who have initiated
efforts for shared rural roll out.

Reducing Fuel Consumption due to travel: Bharti, having grown to


be a large company on many counts, faces the key issue of operations
coordination. While one would usually coordinate with others through face-to-
face meetings, Bharti has institutionalized the habit of using videoconferencing
and intranet facilities to interact. This significantly reduces the need for
transport and thereby fuel consumption, it saves on time and generally creates
a much more efficient working atmosphere. Bharti’s earnings calls, i.e. sharing
the results with our stakeholders, also happen via audio-bridge. This enables
investors and analysts world-wide to link in to the call and raise queries. Bharti
does not stop at providing these facilities for internal use though. By offering
our services, we enable people across the country to follow the same path and
cut down on transport. This is not only convenient; it also saves tremendous
fossil fuel consumption.

Green-Shelters: Another key initiative has been the deployment of


environmental friendly green-shelters at around 7,000 sites. These green-
shelters use high insulation material and Passive Cooling techniques like PCM,
a thermal salt, for indoor Base Transceiver Stations (BTS). Due to its high
freezing point, PCM provides cooling for 4 to 5 hours without any Air
conditioning, thus negating any need of electrical power or diesel generator
during that time. This not only saves cost but also minimizes pollution. These
green-shelters also keep noise at a minimum. Bharti is the first company in
India to initiate such a measure, and is well ahead of governmental regulations
on the matter.

Our Green shelter initiative has been appreciated by operators across the world
and is being studied for mass deployment in many countries.

Free-Cooling is another technique that we use to maintain temperature level


during night hours by circulating cooler natural air from outside to inside the
shelter by reworking air conditioner flows. This has reduced air conditioner
consumption by almost 30%.
Bharti Airtel is also working with its suppliers and experimenting with alternate
sources of energy like solar, wind, bio-fuel/ hydrogen to further reduce
environmental impact. We are very keen to look at the viability of these
technologies once experiments are being found to be successful like in the
case of Green Shelters.

Advertisement Material: Bharti Airtel uses aqua-based ink for all its in-
shop branding, in spite of its cost being three times the cost of ink which is
normally used. The aqua-based ink is environment friendly and does not emit
any fumes and hazard. Sometimes flex materials are used for hoardings, but
since they are not disposable these hoardings are donated to poor people so
that they can use it as roof-material on their huts.

Community Initiatives

Overview
Corporate Social Responsibility is embedded in, and built upon, the stated ‘values’ of
Bharti – the institution. These values guide all our activities and each employee is
encouraged to take decisions and design business-linked processes that are sensitive to

Response to Disaster

Bharti Airtel’s response to Tsunami Disaster: Bharti Airtel undertook


the following initiatives for immediate relief and rehabilitation to Tsunami
victims:

1) Built a mobile network in Andaman & Nicobar islands in less than 3

months to aid rapid rehabilitation of the island

2) Donated Rs. 1 Crore to the Prime Minister’s Relief Fund, in

resources for Tsunami victims by initiatives such as a ‘Benefit Cricket Match’

Employees of Bharti Airtel also contributed through a Donation Collection Drive,


with a difference. All employees were not only given the freedom to choose the
amount they wished to donate, but also the agency they wished to donate to.
One if the most memorable actions was the heroic way in which a Bharti
employee re-established connections after Tsunami hit Tamil Nadu. After being
washed away by the wave, this employee went back to work on restoring
connectivity for the struck region. Word of his dedication spread within Bharti
and he received tremendous response from his fellow Bhartians. Over 80
emails addressed to him were and presented to him in recognition.
Bharti Airtel’s response to Assam, Bihar and West Bengal floods: Bharti Airtel
also partnered with an NGO to provide relief to the flood victims in the flood hit
areas of Assam, Bihar and West Bengal. A ‘Material Collection Drive’ was
undertaken across Bharti offices, for collection of material such as clothes,
utensils, footwear, blankets, dry ration and monetary donations. 55 cartons of
clothes and 65 kilos of ration were dispatched, in addition to monetary
contributions.

Bharti Airtel during Mumbai Floods: Bharti Airtel employees climbed up the
towers to restore the networks so that our customers could conveniently reach
its employees.

Bharti Airtel’s response to Kashmir earthquake: Bharti Airtel’s ‘Rapid


Response Team’ responded to the Kashmir earthquake by bringing more than
2000 food packets and water bottles to the affected area. Money, clothes,
woolens and blankets were also collected from employees to distribute among
earthquake victims.

about diabetes on ‘World Diabetes Day’, organized by the Indian medical
Association

Airtel Maharashtra & Goa team visited the Thalassemia Ward of Sassoor
Hospital to interact with children as well as the families affected

Airel Kerala team visited an old age home and shared a day full of fun with the
members of he home

A tree plantation drive was carried out by Access-NCR, Access-North and


Access-UP West Circles, where in free tree saplings were planted.
Airtel Madhya Pradesh & Chhatisgarh planted trees on its fourth ‘Circle
Inception Day’
In Tamil Nadu, Airtel has adopted a corporation park in Chennai city.

Mobile Services Rajasthan supported the ‘Red Ribbon Caravan’ initiative of the
Rajasthan State AIDS Control Society, to spread awareness about HIV/ AIDS.
During the month-long campaign a caravan of fve vans covered 32 districts of
Rajasthan, to spread the awareness of HIV/ AIDS.
