ASSIGNMENT QUESTION

PURPOSE:

The purpose of this assignment is to enhance learners’ ability to elaborate on the benefits of
business organisations and to apply principles regarding contents of Memorandum of Association
and Articles of Association and dissolution to the company formed.

REQUIREMENT:

Anne and Hanny plan to set up a business selling and supplying children books. They also plan to set
up a publishing firm in the future. Their initial capital is RM 100,000. Both of them agreed to be the
only members and directors of the firm.
Elaborate the types of business organisation which is suitable for them. What would be the content
of a Memorandum of Association and Articles of Association if they decide to form a private limited
company to run the business? There is no clear agreement by both of them regarding the content.
How the company can be dissolved one day?
