Mission Statement

Mercantile Bank Limited is one of the well known, continuously-


operating banks in Bangladesh. The Bank is a service-oriented, locally-managed,
community banking institution. Mercantile Bank Limited pledges its dedication to serve
the community with quality services and set an example of professionalism and ethical
business practices in the industry. It believes that it would make finest corporate citizen.
Mercantile Bank Limited will become the most caring bank and will focus on equitable
growth based on diversified development if resources and believes that it would remain
healthy and gainfully profitable bank. Its brand is so much a part of who it is and what it
will continue to strive for. Mercantile Bank Limited believes, “efficiency is our
strength.”

Executive Summary

Banking Industry is the potential industry where the growth of a


country depends a lot. In Bangladesh banking industry is also very influential. And
Mercantile Bank Limited is a very important part of the banking industry in Bangladesh.
Mercantile Bank Limited emerged as a new commercial bank to provide efficient
banking services and to contribute socio-economic development of the country. The Bank
commenced its operation on June 2, 1999. Mercantile Bank Limited’s Founder is Mr.
Md. Abdul Jalil who is also the Chairman of the bank. He was then a member of
parliament and still is. He always expressed his satisfaction at the achievement of the
bank and advised the executives and officers to come forward with new banking products
and innovative ideas.

Right from the beginning, Mercantile Bank limited was always focused
on its goals and objectives. Everyone in the bank knew what they are looking for and
they want to achieve. The bank always is keen to serve the best to the customers and
fulfill their demand. The Bank provides a broad range of financial services to its
customers and corporate clients. The Board of Directors consists of eminent personalities
from the realm of commerce and industries of the country.

Mercantile Bank Limited was always aware that profit is the main
focus of a business. No matter how dedicated a firm is towards its work, if there is
nothing in return, there is no point of giving the best shot. Mercantile Bank Limited
always tries to do everything it is needed to gain profit from the business and giving the
shareholders the most in return.

In 2009, Mercantile Bank Limited made 807.52 million BDT profit


from its activities and the amount is 191.64 million BDT more from what it made last
year. The bank’s dividend per share was 22 million BDT in 2009. The board of directors
recommended 22% stock dividend for the year 2010. The bank paid out 20% stock
dividend to the shareholders for the last two years. The bank enjoyed 1.22% return on
asset and 18.80% return on equity last year. Since the inception and enlistment in stock
exchange, the bank has been making positive Earning Per Share.

Mercantile Bank Limited has its network in all over the country and
currently the bank is operating throughout the nation. Mercantile Bank Limited currently
has 61 branches all across the nation and serving the need of the people of this country.
Its head office is situated in 61 Dilkusha Commercial Area, Dhaka-1000.

Mercantile Bank Limited has always kept the customer demand in


mind and tries to serve according to the customer demand. Mercantile Bank Limited has
launched different schemes according to the customer demand.

Situational analysis

Situational analysis involves evaluating the situation and trends in a


particular company's market. Situational analysis is often called the "three c's", which
refers to the three major elements that must be studied:

 Customers
 companies
 competitors

The number of "c's" is sometimes extended to four, five, or even six, with
"Collaboration", "Company", and "Competitive advantage"

External Factors:

External factors are opportunities and threats outside of an


organization. External factors are forces that act on organization from outside.

Some external factors of Mercantile Bank Limited are:

Unstable political environment:

Political environment of Bangladesh has never been stable. This


unstable political environment has had an effect in every aspect of this country and
Mercantile Bank Limited is no exception. The unstable political environment has always
been one of the main obstacles for the bank to do business safely. Moreover some
personal problems of the bank’s chairman with one of the leading political parties have
also affected the reputation of the bank greatly.

Present Inflation Rate:

The current inflation rate also has an impact on the business of
Mercantile Bank Limited. In economics, the inflation rate is a measure of inflation, the
rate of increase of a price index (for example, a consumer price index). It is the
percentage rate of change in price level over time. The rate of decrease in the purchasing
power of money is approximately equal. The current inflation rate of Bangladesh is
5.40% and Bangladesh is ranked 149th in the whole world.

On going world economic crisis:

The on going world economic crisis (recession) has a tremendous


affect in world economy and in every business. Many firms have to even shut down
because of the recession. The recession has had an effect on Mercantile Bank Limited
too. Foreign currency as remittance is coming less than it was used to be few years ago.

Implementation of BASEL || guidelines:

BASEL || means a set of banking regulations put forth by the Basel


Committee on bank supervision, which regulates finance and banking internationally.
Basel || attempts to integrate Basel capital standards with national regulations, by setting
the minimum capital requirements of financial institutions with the goal of ensuring
institution liquidity. Mercantile Bank Limited tries its best to implement the guidelines
given by Basel committee.

Cash Reserve Ratio:

Mercantile Bank Limited has to reserve a certain ratio of its capital to


the central bank that is Bangladesh Bank. This policy is called monetary policy. By this
the central bank keeps an eye on other banks like Mercantile Bank Limited.

Infrastructure of the country:

The infrastructure of the country has a tremendous impact on the
attitude of a firm such as Mercantile Bank Limited. Bangladesh is not a big country in
terms of its size and economic power. That restricts the opportunities of Mercantile Bank
Limited to expand its business as per its capability. Although it has the money and
support needed, Mercantile Bank Limited cannot utilize its opportunities to the best
because of the infrastructure of this country.

Regulatory policies of Bangladesh Bank:

The central bank of Bangladesh, Bangladesh Bank has some policies


that every other bank, such as Mercantile Bank Limited has to follow. As per Bangladesh
Bank’s rules are concerned, every bank has to reserve a ratio of its capital to the
Bangladesh Bank which has been stated earlier. Another rule “the banks desirous of
financing the purchase of used cars shall prepare uniform guidelines for determining
value of the used vehicles. However, in no case the bank shall finance the cars older than
6 (six) years.” Mercantile Bank Limited has to follow these and every other rules set up
by the central bank.

Corporate governance Practice:

Corporate governance is the set of processes, customs, policies, laws,


and institutions affecting the way a corporation (or company) is directed, administered or
controlled. Corporate governance also includes the relationships among the
many stakeholders involved and the goals for which the corporation is governed. The
principal stakeholders are the shareholders, the board of directors, employees, customers,
creditors, suppliers, and the community at large. Mercantile Bank Limited tries its best to
practice corporate governance and serve the best to its shareholders, directors and
everyone connected with this bank.

Continuous pressure on interest margins, commissions and exchange earnings:

Mercantile Bank Limited has a huge pressure on itself to increase the
interest margins, commissions and exchange earnings. The shareholders and directors
pressure to increase the margins, earnings has motivated the bank to fulfill its goals and
objectives.

Decreasing Investment Opportunity:

In Bangladesh, the availability of power and gas supply is very scarce.


Due to this reason, in spite of having the potential, Mercantile Bank Limited’s Investment
opportunity is decreasing. Due to the unavailability of gas and power supply, government
has become very strict and hardly allowing new industries to start their activities.
Because of that, Mercantile Bank Limited is losing the chance to invest in new industries.

Internal Factors:

Internal factors examine the environment inside the organization in


which a manager must function. Internal factors are day-to-day forces within the
organization in which managers perform.

Some internal factors of Mercantile Bank Limited are:

Management Level:

Like every other organization, Mercantile Bank limited’s management


department also works in three level. Those are:

Strategic: Top level managers of the bank set up strategic plans of the bank like MD,
AMD, and DMD.

Operational: Middle level managers of the bank who carries the plans from the top
level managers to the bottom level managers. Examples are SVP, VP

Technical: Bottom level managers of the bank who implement the plans. Examples are
AO, TAO.

Managing core risk:

Banking operation is not easy. It is a courageous field to work in


and there are many risks involved in banking business. Mercantile Bank
Limited tries to mange and minimize the risks in banking operations. To
manage risks, Mercantile Bank Limited has a regulator who can pull data firm-
by-firm to better grasp system wide exposure and identify hot spots.

Setting the acceptable level of risk:

One prime condition of gaining profit is that a company has to take


some risks. It is always appreciated to take calculated risks. Mercantile Bank
Limited has taken some calculated risks in order to gain profit. Their
management level has set some standards considering risks. They believe that
up to that level, risks are not that dangerous and will not cost them much if a
plan does not works.

Implementation of stress taking guidelines:

Stress testing is a simulation technique, which are used to


determine the reactions of different financial institutions under a set of
exceptional, but plausible assumptions through a series of battery of tests. At
institutional level, stress testing techniques provide a way to quantify the
impact of changes in a number of risk factors on the assets and liabilities
portfolio of the institution. Mercantile Bank Limited is successfully
implementing the stress taking guidelines provided by Bangladesh Bank.

Technology:

Technology is rapidly changing in the banking sector. From the
beginning, Mercantile Bank Limited has adopted modern hardware and software
technologies to reach services easier and quicker way to the customers. Mercantile Bank
Limited has introduced online banking and SME banking services to the customers. The
bank is giving importance in providing the ATM system. The IT department of the bank
has already deployed 19 ATMs. Mercantile Bank Limited has also introduced the Mobile
Money Electronic Remittance System with mobile payment facilities.

SWOT Analysis

SWOT analysis is a strategic planning method used to evaluate


the Strengths, Weaknesses, Opportunities, and Threats involved in a projector in
a business venture. It involves specifying the objective of the business venture or project
and identifying the internal and external factors that are favorable and unfavorable to
achieve that objective.

In SWOT analysis:
“S” stands for Strength; in where Diversification of business appropriate.
“W” stands for Weakness; in where Turnaround planning is necessary.
“O” stands for Opportunity; in where Aggressive expansion could be sensible.
“T” stands for Threat; in where Rebuild or Exit step is required.

Strength:

Dedicated & Efficient work force:

Mercantile Bank Limited has a dedicated &efficient workforce, which
is one of the biggest strength for the bank. This efficient workforce helps the bank to
achieve the bank’s objectives in terms of new branch opening, new product innovation
for the customer. They do their best to help the bank to be one of the best banks in
Bangladesh. They try to serve and deliver the best.

Excellent working environment:


The working environment of Mercantile Bank limited is very warm
friendly. The employees are very friendly with one another and always willing to help
each other. The top management is also very friendly with the middle and lower level
managers. The healthy relation also helps the bank to achieve their goals and objectives.

Warm relationship with the customers:


The employees of the bank maintain a very healthy relation with the
customers of the bank. The employees are always helpful and ever ready to solve any
problems of the customers. The employees sometimes deliver personalized services to the
customers. The ongoing relationship between the employees and the customers is an asset
for the bank. The employees always help the customers to understand the bank
procedures.

Introduced a variety of lucrative products:


Keeping the demand of the customers in mind, Mercantile Bank
Limited has always tried to serve new, innovative and effective products to the
customers. Mercantile Bank Limited frequently do market surveys to know what the
customers want and try to serve according to that. The bank has launched many schemes
to satisfy the need of different customers.

Network across the country:


Through the 61 branches, Mercantile Bank Limited has a very strong
network throughout the country. Mercantile Bank Limited has a very strong network and
is able serve the needs the demand of customers of the whole country.

Weakness:
Unable to implement branch banking yet:
One of the biggest drawbacks of Mercantile Bank Limited is that the
bank has not been able to implement any branch banking yet. Branch Banking means
engaging in banking activities such as accepting deposits or making loans at facilities
away from a bank's home office. Mercantile Bank Limited’s main problem has been that
the bank has a very strong control over its main branch but looses it when it comes to
other branches specially those branches which are in remote places.

Alignment of HR policy is job based not skill based:


Another problem of Mercantile Bank Limited is that the alignment of
Human Resource policy is job based instead of being skill based. That makes a lot of
deserving candidates demoralized. This policy is not good for the bank too. The bank can
also suffer in the long run.

Decision making process is not as fast as expected:


A main problem of Mercantile Bank Limited is that the bank’s
decision making process is not as fast as it should be. The top management of the bank
takes suggestions from other managers. Sometimes confliction arises in making a
decision. That makes the decision making process slow.

Unavailability of foreign training:


Another weakness of Mercantile Bank Limited is the availability of
foreign training in the bank. Foreign training is very important for employees, managers
and for the bank too. They come to know how banking is done in abroad. That helps to
develop the creativity and excellence of an employee or a worker. But, so far, Mercantile
Bank Limited does not have foreign training.

Opportunities:

Positive economic growth:


Economic growth means A positive change in the level of production
of goods and services by a country over a certain period of time. Nominal growth is
defined as economic growth including inflation, while real growth is nominal growth
minus inflation. Economic growth is usually brought about by technological innovation
and positive external forces. The positive economic growth of the country is a big
opportunity for Mercantile Bank Limited. If the bank can use its resources well,
Mercantile Bank Limited will be much beneficed from this opportunity.

Exploration of new business avenues:


Exploration of new business avenues is one of the biggest
opportunities for Mercantile Bank Limited. New factories are continuously being
established in Bangladesh. These factories are opening new doors of profit for the banks.
Mercantile Bank Limited can allow them loans at higher interest rate and increase profit.

Expansion of credit operation:


Expansion of credit operation in SME, agriculture & renewable energy
sector is a very big opportunity for Mercantile Bank Limited. People in rural areas are
taking loans from banks for SME and agricultural activities. If it has the needed
resources, Mercantile Bank Limited should pounce upon the opportunity.

Bringing mass into the banking net:


More and more people are entering into the banking net now-a-days. Mercantile
Bank Limited should take the opportunity and bring mass into their banking net.
Corporate Philanthropy:
To make their image more acceptable to mass, Mercantile Bank
Limited must do social things. That will help their reputation they will be more
acceptable by the mass.

Threats:

Extreme competitive market:

The banking market today is very tough and competitive. Competitors


are very tough and competitive. Mercantile Bank Limited has a tough competition in the
banking sector. The bank should continuously implement new plans to keep their place in
the market.

Excessive dependency on RMG sector:

Mercantile Bank Limited is excessively dependent on RMG(Ready-


Made Garments) sector. That is an alarming situation. If any fall comes in the RMG
sector, Mercantile Bank will also crash. So it should decrease its dependency on RMG
sector.

Aggressive marketing policy:

Aggressive marketing policy by the competitive banks is a big threat


for Mercantile Bank Limited. Other banks are becoming very aggressive. Mercantile
Bank Limited must think of a way to keep their place in the market.

Deposit rate Fluctuation:

Deposit rate in the central bank can fluctuate any time. This is a big
threat for Mercantile Bank Limited.

Objectives

Objectives are something that a company's efforts or actions


are intended to attain or accomplish. Objectives are the endpoint of mission.. Objectives
are what a company wants to achieve. Objectives of Mercantile Bank Limited are very
specific and achievable. Some of Mercantile Bank Limited’s objectives are:

Strategic Objectives:
Objective 1- To be market leader in product innovation.

To present unique product and service is very important to satisfy the


different needs of different needs of different customers. Mercantile Bank Limited has
always given serious importance in product innovation and offering customers something
new than usual.

Strategy:
Mercantile Bank Limited is trying to be market leader in product
innovation. That’s why the bank has done market research and survey that what an
individual customer wants and is trying to launch different schemes according to that.
The bank has also tried to keep the interest rate according to the customers liking.

Objective 2- To be one of the top three Financial Institutions in Bangladesh in terms


of cost efficiency.

Cost efficiency refers to the relative balance of effectively meeting


reach and frequency goals at the lowest price. Cost efficiency also refers cost of reaching
members of the target audience for a particular product or service as compared to the cost

of reaching the entire audience of the medium in which the advertising has been placed;
usually expressed in terms of cost per thousand. Mercantile Bank Limited is working very
hard achieve cost efficiency.

Strategy:
Mercantile Bank Limited is trying to be one of the top three financial
institutions in terms of cost efficiency by managing their cost of transaction, reducing
wastage of money. Mercantile Bank Limited has reduced the advertise costs and trying to
get loans at lower interest rate.

Objective 3- To achieve positive Economic Value Added (EVA) each year.

Economic value added is an estimate of the amount by which earnings


exceeds or fall short of required minimum return for the shareholders at comparable risks,
indicates the true economic profit of the bank. Shareholders and equity providers are
always conscious about their return. Mercantile Bank Limited wants to achieve positive
economic value added each year.

Strategy:
Mercantile Bank Limited wants to achieve positive EVA by increasing
their income and decreasing cost.

Financial Objectives:

Objective-1 To achieve a return on shareholders’ equity of 20% or more, on average.

ROE measures a company's returns on its shareholders' investments in


the same manner. ROE is a company's annual net income divided by its shareholders
equity Shareholders invest in a company in the hope of making maximum profit.
Mercantile Bank Limited has decided to achieve a return on shareholders’ equity of 20%
or more, on average.
Strategy:
The bank has decided to decrease their cost and increase the earnings.
The bank is planning to increase the interest rate when giving loans and decrease the
interest rate when receiving loans. The bank has also planned to buy treasury stock.

Management Issue

Management issue is the responsibility of the entire organization. That


responsibility crosses all units, and all reporting lines. It is the external component of
strategic management.

Management issue framework involves few functions. These are:

• Gathering/monitoring intelligence and information.


• Analyzing the information and classifying the issue.
• Taking action and evaluating the results.

Mercantile Bank Limited’s management issue involves few things


which are:
• Organizational structure of the bank.
• Leadership style of the bank.
• Communication style of the bank.

Organizational Structure:
Organizational Structure of a company means formal and
informal framework of policies and rules, within which an organization arranges
its lines of authority and communications, and allocates rights and duties.
Organizational structure determines the manner and extent to which roles, power,
and responsibilities are delegated, controlled, and coordinated, and
how information flows between levels of management. The organizational structure of
Mercantile Bank Limited is centralized. The decision making power of the bank is
concentrated in the top layer of the management and tight control is exercised
over departments and divisions. The centralization of authority of Mercantile Bank
Limited is placed in the top level of the bank.

Leadership Style:
Leadership style is the manner and approach of providing direction,
implementing plans, and motivating people. The three major styles of leadership are:

• Authoritarian or autocratic
• Participative or democratic
• Delegative or Free Reign

Mercantile Bank Limited’s leadership style is participative or


democratic. In this style, the top level managers involves one or more employees in the
decision making process and determines what to do and how to do it. However, the top
level managers maintain the final decision making authority. Using this style is not a sign
of weakness; rather it is a sign of strength that the bank’s employees respect.

Communication Style:
Communication means the transformation of common
understanding through the use of word and symbols. A communication can be between

two individuals, can be from one to many or many to one. Communication is the process
that helps the top level of the management to interact with every other level. There are
several types of communication style. Some of those are:

• Downward Communication
• Upward Communication
• Lateral Communication
• Diagonal Communication

Out of these, Mercantile Bank Limited follows the upward communication style. Here
employees from the lower levels communicate with the highest level. Sometimes the top
level managers of the bank take suggestions from the lower level managers.
Departmentalization:
Departmentalization refers to the process of grouping activities of a
company into several departments. Mercantile Bank Limited uses the functional
departmentalization system. Jobs of the bank are combined according to the different
functions of the bank. Mercantile Bank Limited has Finance, Marketing, Human
Resource, Accounting, Management and IT department in their bank.

Findings and Recommendation

No doubt banking sector is a risky sector. It is a brave and courageous


decision to enter in the banking market. Mercantile Bank Limited has entered into the
market when many other banks were well established. In spite of that, Mercantile Bank
Limited has come into the banking market and has done quite well. But still, Mercantile
Bank Limited has some threats and weaknesses against which some steps must be taken.
Mercantile Bank Limited has been unable to implement any branch banking yet. They
must give same importance to the other branches as much as their main branch. The
alignment policy of HR policy is job based and not skill based. Mercantile Bank Limited
must respect the skill and talent of an employee. That will boost the employee moral and
they will give their 100%. Decision making process in the bank is not fast. That is a big
minus point for the bank. They can use empowerment and delegation of authority. That
will take the pressure from the top level managers and decision making process will be
fast. Mercantile Bank Limited has not implemented foreign training. The bank must have
foreign training to compete in the competitive market. Mercantile Bank is too much
dependent on the Ready-Made Garments sector. The bank must reduce the dependency
on RMG sector and find another reliable source too to be safe. The image of Mercantile
Bank Limited is not that well because of the political issue with the chairman of the bank.
The must do some social service to improve the bank’s reputation.

Conclusion

Mercantile Bank Limited is a very promising name in the banking
sector of this country. It has been evident from all the factual presentations that
Mercantile Bank Limited is committed and resourceful for making a change in the typical
banking system of the country. In spite of some of their problems, the owner and the
