BYLAWS
Section A.
The official name of this body shall be The Crenshaw/LAX Transit Plus Corridor
Community Leadership Council.
Section B.
The purposes and duties of the above-named advisory council shall be to:
ARTICLE II – MEMBERSHIP
Section A.
The advisory council will consist of a minimum of nine (9) members and a maximum of
25 members, excluding ex-officio members.
Section B.
Appointments to the advisory council shall be made by the Los Angeles County
Metropolitan Transportation Authority (Metro) in consultation with Metro Executive
Management and the Metro Board of Directors.
Section C.
The council membership will be drawn from persons who reside and/or work within the
boundaries of the Crenshaw/LAX Corridor study area. Representation on the Council
will seek to include persons with knowledge and background in several functional areas,
including but not limited to:

Each appointment of an advisory council member shall be for one (1) or two (2) year
terms, except when the appointment is to fill an unexpired term.
Section E.
At least (15) of the members will be retained each year, with none serving more than
three successive years, and one year will expire before any outgoing member may be
reappointed for a full term after serving the unexpired term of a member who has left the
council.

An individual will automatically lose membership in the council if s(he) fails to attend
three successive meetings without presenting in advance to the chair of the council a
valid reason for his/her absence.
Section I.
No advisory council member shall serve for more than three (3) years.
Section J.
Throughout their appointed terms of service, all of the members appointed to serve on
the advisory council must meet one (1) or more of the following requirements:

Each officer shall be elected annually by a majority vote of the council members at the
annual meeting. The Council, annually, or at its July meeting and at such other time as
there may be a vacancy, shall elect officers. The term of office shall be one year. Each
shall serve for the balance of the current term.
Section C.
The officers of the Council shall consist of two (2) Co-Chairpersons, each of whom shall
be elected from among members of the Council.
The Chairperson shall preside at all meetings of the Council and shall
exercise and perform such other powers and duties as may be assigned
by the Council or prescribed herein.
Section D.
The Crenshaw Transit Corridor Plus Management Team shall provide staff support to
the Council, and keep or cause to be kept minutes of each meeting. The Crenshaw
Transit Corridor Plus Management Team shall maintain, or cause to be maintained, an
up-to-date roster of members, (and those individuals receiving agendas and minutes)
and have it available at all meetings of the Council.
Section E.
In the absence of the Co-Chairs, the Council shall determine the presiding officer for the
meeting.

The officers of the Council have the authority to represent and speak on behalf of the
Council before municipal agency boards, councils, committees and the public. No other
council members have the authority to represent the Council or speak on behalf of the
Council without the approval of the Co-Chairpersons.
ARTICLE IV—MEETINGS
Section A.
Regular meetings of the advisory council will be held during the calendar year. Meetings
shall be scheduled for the fourth week in January, April, July and October.

The July meeting of the advisory council shall be designated as the annual meeting.

Written notices of meetings shall be mailed by the Crenshaw LAX Transit Corridor Plus
Management Team to all members at least two weeks before each meeting.
Section F.
Meetings shall not be more than (2) hours long, unless a majority of the members vote
to continue a particular meeting.
Section G.

The advisory council will plan and operate under an annual program of work. Plans,
topics and goals will be included in the program.
Section B.
The program of work for each ensuing year will be discussed during the July meeting
each year.
Section C.
Proposals by the members will be considered by the executive committee, which will
formulate a proposed annual program to be presented to the advisory council during the
July meeting for its action.
ARTICLE VI—SUBCOMMITTEES
Section A.
As the need for standing and special subcommittees arises, such subcommittees may
be appointed by the co-chairs.

Subcommittees may be of any size, but will usually include three or four members.

ARTICLE VII—AMENDMENTS
The meetings and activities of this advisory council shall be conducted according to
Robert’s Rules of Order, except as otherwise provided by these bylaws.
USE OF CELL PHONES AND PAGERS DURING COUNCIL MEETINGS. All pagers
and cell phones must be placed on vibrate mode or be turned off while the Council
meeting is in session.
PUBLIC COMMENT - NON-AGENDA ITEMS. Members of the public shall have the
right to address the Council on items of interest which are within the subject matter
jurisdiction of the Council. A person requesting to address the Council on a non-agenda
item will be allowed up to two (2) minutes per meeting. Any individual found to exhibit
disruptive conduct may be prohibited from addressing the Council during public
comment at future meetings.
