CRENSHAW/LAX TRANSIT PLUS CORRIDOR


COMMUNITY LEADERSHIP COUNCIL

BYLAWS

ARTICLE I – NAME AND PURPOSE

Section A.

The official name of this body shall be The Crenshaw/LAX Transit Plus Corridor
Community Leadership Council.

Section B.

The purposes and duties of the above-named advisory council shall be to:

1. Advise Metro on the preferences of project area residents regarding development


and construction of the Crenshaw/LAX Light Rail Project;
2. Participate in the development of strategic plans that highlight activities that
would enhance economic development, community vitality and safety within the
project area;
3. Review project schedules, timelines, milestones and planned activities to provide
input on behalf of project area residents;
4. Assist in the development of community-based programs that would enhance
economic development and job creation in the project area;
5. Coordinate with Metro in the development and implementation of programs to
mitigate impacts to the business community resulting from project construction;
6. Advise Metro on issues of importance to residents of the project area

ARTICLE II – MEMBERSHIP

Section A.

The advisory council will consist of a minimum of nine (9) members and a maximum of
25 members, excluding ex-officio members.

Section B.
Appointments to the advisory council shall be made by the Los Angeles County
Metropolitan Transportation Authority (Metro) in consultation with Metro Executive
Management and the Metro Board of Directors.

Section C.

The council membership will be drawn from persons who reside and/or work within the
boundaries of the Crenshaw/LAX Corridor study area. Representation on the Council
will seek to include persons with knowledge and background in several functional areas,
including but not limited to:

• Block Clubs / Homeowner Associations


• Business Associations
• Community Organizations
Economic Revitalization Groups
• Education
• Law Enforcement Agencies
• Labor Organizations
Religious Organizations
• Senior Citizens
• Youth, and Student Organizations

Section D.

Each appointment of an advisory council member shall be for one (1) or two (2) year
terms, except when the appointment is to fill an unexpired term.

Section E.

At least (15) of the members will be retained each year, with none serving more than
three successive years, and one year will expire before any outgoing member may be
reappointed for a full term after serving the unexpired term of a member who has left the
council.

Section F.

Up to (10) of the total membership shall be appointed each year.

Section G.

The term of a new council member shall begin on August 1.

Section H.
An individual will automatically lose membership in the council if s(he) fails to attend
three successive meetings without presenting in advance to the chair of the council a
valid reason for his/her absence.

Section I.

No advisory council member shall serve for more than three (3) years.

Section J.

Throughout their appointed terms of service, all of the members appointed to serve on
the advisory council must meet one (1) or more of the following requirements:

1. They continuously reside in the corridor area

2. They own or manage an existing business concern in the corridor area

3. They supervise a public agency in the corridor area

4. They represent an active community-based homeowner or neighborhood


organization

5. They represent [as a member in good standing] a membership-based business


group or organized labor constituency based in the Crenshaw/LAX Transit
Corridor.

6. They represent a religious organization in the corridor area

ARTICLE III—OFFICERS AND THEIR DUTIES

Section A.

The officers of the Council shall consist of a two (2) Co-Chairpersons.

Section B.

Each officer shall be elected annually by a majority vote of the council members at the
annual meeting. The Council, annually, or at its July meeting and at such other time as
there may be a vacancy, shall elect officers. The term of office shall be one year. Each
shall serve for the balance of the current term.
Section C.

The officers of the Council shall consist of two (2) Co-Chairpersons, each of whom shall
be elected from among members of the Council.

1. Duties of the Chairperson:

The Chairperson shall preside at all meetings of the Council and shall
exercise and perform such other powers and duties as may be assigned
by the Council or prescribed herein.

a. To preside at the meetings of the advisory committee;


b. To serve as chair of the executive committee; and
c. To create special subcommittees and appoint their members.

Section D.

The Crenshaw Transit Corridor Plus Management Team shall provide staff support to
the Council, and keep or cause to be kept minutes of each meeting. The Crenshaw
Transit Corridor Plus Management Team shall maintain, or cause to be maintained, an
up-to-date roster of members, (and those individuals receiving agendas and minutes)
and have it available at all meetings of the Council.

Section E.

In the absence of the Co-Chairs, the Council shall determine the presiding officer for the
meeting.

Section F.

The executive committee shall consist of the Co-Chairpersons. It shall:

a. Act on urgent advisory council matters between meetings;


b. Coordinate with the Crenshaw Transit Corridor Plus Management Team in
the preparation of an agenda for each meeting; and
c. Call special meetings of the advisory council as they are needed.

Section G.

The officers of the Council have the authority to represent and speak on behalf of the
Council before municipal agency boards, councils, committees and the public. No other
council members have the authority to represent the Council or speak on behalf of the
Council without the approval of the Co-Chairpersons.
ARTICLE IV—MEETINGS

Section A.

Regular meetings of the advisory council will be held during the calendar year. Meetings
shall be scheduled for the fourth week in January, April, July and October.

Section B.

The July meeting of the advisory council shall be designated as the annual meeting.

Section C.

Meeting dates may be changed by consensus.

Section D.

The Co-Chairpersons may call special meetings of the advisory council.

Section E.

Written notices of meetings shall be mailed by the Crenshaw LAX Transit Corridor Plus
Management Team to all members at least two weeks before each meeting.

Section F.

Meetings shall not be more than (2) hours long, unless a majority of the members vote
to continue a particular meeting.

Section G.

All meetings will be open to the public.

ARTICLE V—ANNUAL PROGRAM

Section A.

The advisory council will plan and operate under an annual program of work. Plans,
topics and goals will be included in the program.

Section B.

The program of work for each ensuing year will be discussed during the July meeting
each year.
Section C.

Proposals by the members will be considered by the executive committee, which will
formulate a proposed annual program to be presented to the advisory council during the
July meeting for its action.

ARTICLE VI—SUBCOMMITTEES

Section A.

As the need for standing and special subcommittees arises, such subcommittees may
be appointed by the co-chairs.

Section B.

Subcommittees may be of any size, but will usually include three or four members.

Section C.

Subcommittees will elect their own chairs.

Section D.

Subcommittees shall report regularly to the advisory council.

Section E.

A subcommittee will automatically be discharged upon accomplishing the task(s) for


which it was established.

ARTICLE VII—AMENDMENTS

The constitution, articles and bylaws may be amended or added to by a two-thirds


majority vote of active members at any regular advisory council meeting.

ARTICLE VIII—RULES OF ORDER

The meetings and activities of this advisory council shall be conducted according to
Robert’s Rules of Order, except as otherwise provided by these bylaws.

The rules of conduct for council meetings are outlined below:


DISRUPTIONS. All demonstrations, including cheering, yelling, whistling, hand clapping
and foot stomping are prohibited.

DISTRIBUTION OF LITERATURE. Except with prior authorization of the Chair, the


distribution of literature, of whatever nature or kind, is prohibited.

USE OF CELL PHONES AND PAGERS DURING COUNCIL MEETINGS. All pagers
and cell phones must be placed on vibrate mode or be turned off while the Council
meeting is in session.

REQUESTS TO ADDRESS THE COUNCIL ON AN AGENDA ITEM. A person


requesting to address the Council will be allowed a total of two (2) minutes per item, or
at the discretion of the Chair. Requests to be heard must be submitted to the meeting
secretary before the item is called. Any individual found to have engaged in disruptive
conduct, may be prohibited from addressing the Council on agenda items at future
meetings.

PUBLIC COMMENT - NON-AGENDA ITEMS. Members of the public shall have the
right to address the Council on items of interest which are within the subject matter
jurisdiction of the Council. A person requesting to address the Council on a non-agenda
item will be allowed up to two (2) minutes per meeting. Any individual found to exhibit
disruptive conduct may be prohibited from addressing the Council during public
comment at future meetings.
